WHAT IS A SHELL STOCK?
Basically, a Shell Stock is a public company that no longer has any business! It retains its capital structure with the intention to "reverse merge" into a non-public company with an on-going business. This merger creates a new company that is both public and generating revenues.
Why would a private company with an on-going business want to reverse merge into a Shell Stock? The goal of the private company is to become a public company. There are many benefits in becoming a public company. The traditional method of becoming a public company, via an IPO (initial public offering) can be very expensive and time consuming. Becoming public via a reverse merger is less expensive and much quicker.
The SEC (Securities and Exchange Commission) refers to a Shell Stock as a Blank Check Company.
TYPES OF SHELL STOCKS
Public traded stocks generally fall into one of two categories. Either they report to the SEC or they do not.
REPORTING: they are required to file periodic Quarterly and audited Annual financials with the SEC. They also report changes in stock ownership and any material changes in the company's structure.
NON-REPORTING: they forgo any reporting to the SEC.
When comparing a REPORTING Shell Stock to a NON-REPORTING Shell Stock, keep in mind that with a REPORTING Shell Stock, you can visit the SEC website and review detailed audited financial and stock owner information. With a NON-REPORTING Shell Stock, you can only rely on what the company chooses to report.
SHELLSTOCK STRATEGY
Most investors buy Shell Stocks when there are rumors of a potential reverse merger. But, they become impatient when the reverse merger does not happen and sell . . . usually at a loss.
So what is the best Shell Stock strategy? Probably it is best to buy several Shell Stocks and forget about them. Hopefully you will resist the temptation to sell when things get boring, increasing your chances of participating in a reverse merger - sometimes producing huge returns.

I have tried several times to buy some AEGP at .006 with no luck...then I tried .007....no luck. They keep raising the ask and no volumn.

PNMS: The PR is out...do you understand what all this means? Will you be pulling your certs? If we bought a couple of times will there be more than one cert we have to pay for per brokerage? I've not requested certs before. Why wouldn't we be able to do a stock transfer? It wasn't that long ago that I had PYPR send PDR's to TDAMrd.
So, do we get one cert with all of our holdings on it or more than one?
A while ago PYPR had us request our PDR's be sent to our brokerage accounts...now they want us to send them to the Fundacion Account...will that deposit cost us too...as a trade:$10?

I hate to say this but there was a small window of time after the symbol change with LFZA before the PPS started to go way down. I actually made out well on that one but would have done much better had I sold two days later. Timing....

Signing of Workover and Completion Services Agreement and Scheduling Renewal of Operations on the Ma’anit #1 Well
On March 15, 2007, we signed a Workover and Completion Services Agreement (the “agreement”) with our drilling contractor, Lapidoth – Israel Oil Prospectors Corp. Ltd. (the “contractor”) for the performance of certain remedial workover, completion and testing services (the “services”) on our Ma’anit #1 well. The agreement was signed pursuant to the memorandum of understanding we signed with the contractor on December 10, 2006. Under the agreement, the services are scheduled to commence on April 11, 2007. The revised schedule for commencement of operations was approved by the Israeli Petroleum Commissioner and the work program of the Ma’anit-Joseph License revised accordingly. The economic terms of the agreement are the same as those provided for in the December 10 memorandum of understanding, with the addition of a $20,000 rescheduling fee being paid in connection with the deferral of the commencement of operations until April 11 from the originally scheduled March 21. See prospectus at pages 43 and 45 (“BUSINESS AND PROPERTIES - - Properties” and “-- Current Status of Drilling Operations”) and Prospectus Supplement No. 2 (“Entry into a Workover and Completion Services Agreement”).

Extension of Offering, Rescheduling of Final Closing and Additional Interim Closings
Zion has exercised its right to extend the final closing of the offering by up to sixty (60) days beyond March 26, 2007. Specifically, Zion is extending the offering and has rescheduled the final closing to take place on the earlier of (a) May 25, 2007 or (b) the completion of a cement bond survey in the Ma’anit #1 well to determine the quality of the cement bond between the well casing and the surrounding formations, unless subscriptions for the maximum offering of 2,000,000 shares have been received and accepted prior thereto. Notwithstanding, in its discretion, Zion may terminate the offering at any time following March 26, 2007.
Between March 26, 2007 and the final closing, we may schedule one or more additional closings in which we may close qualifying subscriptions. We have tentatively scheduled an additional closing for April 18, 2007 and have set April 13, 2007 as the date by which subscriptions must be received in order to be included in that closing, provided documentation is in order and funds received by the closing. Subscriptions received after the cutoff which are not able to be closed on by the scheduled closing date will continue to be deposited in the Zion escrow account at Sterling Trust Company pending their acceptance and disbursement in a subsequent closing unless the offering is earlier terminated,in which the funds will be returned with interest. Terms of the continuing offering will be the same as the current terms, with a per share price of $7.00 and a 100 share minimum.

Could someone please direct me to a post that explains what is going on - what is the R/S terms, why does TDA still say the Ticker is AGHC but that the ticker changed to AGHD in Oct. 2005? On TDAmrd it shows ZN having a 200 ask...wondering why that would be unless it is just an after market glitch. I hadn't checked it before the close.

I've watched METP go up and down for several months...this went up like it did today last month...so I am wondering why you added at .01 when you will probably have the opportunity to add lots lower? Well, it is probably the same reason I didn't sell when I could have several times with METP....I could have made $1000 a few times over by now. I will buy more again if (and when) it dips again. I have been trying to get myself to try to take some profits when I can since I have lost out so many times....learning the hard way, I am.
