ZMP Sells Robot Running On Microsoft's Robotics Software

TOKYO (AP)--ZMP of Japan began selling a two-legged walking robot Thursday that runs on Microsoft's new robotics software - a product the companies said will make it easier to transfer technology from one robot to another.
U.S. software maker Microsoft Corp. (MSFT) is a relative latecomer to robotics. Microsoft Robotics Studio, a package of software especially made to program movements and other applications for robots, went on sale December 2006.
Up to now, robots have tended to run on different kinds of software, although open-source robotics platforms already exist.
In a demonstration Thursday, a Microsoft Xbox 360 remote controller was used to get the 35 centimeter tall, 2.5 kilogram Y588,000 ($5,345) "e-nuvo WALK," developed by ZMP Inc., to take a few steps, lift a leg and kick a small plastic ball.
The robot, which has six motors in each leg and a boxlike headless torso, is available by Internet order only. Orders are limited to Japan so far, although the robot will work overseas. Shipments are expected in January.
The collaboration with the major Japanese robot maker reflects Microsoft's recent foray into robotics, which company founder Bill Gates has said is the next hot field in technology.
Tandy Trower, a Microsoft general manager overseeing robotics, said he foresees a day in which robots will be in every home - just as in the 1970s, Gates started out with his vision that a PC would prove a valuable tool in every home.
"This really isn't about Microsoft trying to create any kind of an exclusive solution," Trower told The Associated Press. "We think that this is the natural evolution of the PC technology, that PCs will start to get up from our desk and move around and interact with us in a richer way."
Microsoft Robotics Studio is free for noncommercial use, and there have already been some 150,000 downloads, according to Microsoft. The companies said the offering from ZMP is the world's first biped robot that uses Robotics Studio.
ZMP makes robots for research and schools. It also makes consumer products such as the Nuvo humanoid and the Miuro music-playing rolling robot.
Japan has a thriving robot culture, partly because of a history of animation and TV shows that depict robots as friendly. The government is also pushing robotics as a way to put the nation ahead of the world. Robots are used in the schools here, and robot competitions are popular.
Masaki Segawa of ZMP said Microsoft's resources, financial power and global reach will likely boost the appeal of Microsoft Robotics Studio as a programming platform for Japanese robot fans. But he acknowledged more time is needed to see what will emerge as the industry standard.

ITEM 12 CERTAIN RELATIONSHIPS AND RELATED TRANSACTIONS
On July 22, 2005 the Company borrowed $30,000 from a beneficial shareholder and
director, Rick Wynns, and entered into a short term note for that amount, the
terms of which are: interest at the annual rate of 5%, due date in six months,
and principal and accrued interest are convertible into common stock of the
Company at $0.15 per share.
The due date of the note has been extended to
December 31, 2007. To date there have been no conversions.
When I read the Settlement Agreement posted on Innovas site thats what I get from it, I could be wrong. It's posted under All filings / 8-K dated 2007-03-02, Seq. #2, Ex 10.1 (it's a fax copy can't cut & paste it sorry.)
If there were more to the story don't you think we would know by now?
If I remember correctly they (inra) waived any right to sue ABB in the future over said case.

Item 1.01 Entry into a Material Definitive Agreement.
On October 25, 2007, Innova Robotics and Automation, Inc. (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) with Yorkville Advisors LLC (the “Investor”) providing for the sale by the Company to the Investors of (i) 12% Secured Convertible Debentures in the aggregate principal amount of $600,000 (the “Debentures”) due on October 25, 2009 (the “Repayment Date”) and (ii) common stock purchase warrants (the “Warrants”) issuable if the Debentures are redeemed.
The Debentures are convertible into shares of the Company’s common stock at the lesser of (1) 0.02 or eighty five percent (85%) of the lowest closing bid price, as quoted by Bloomberg LP, of the Company’s common stock for thirty (30) trading days immediately preceding a conversion date.
The Company will have the right to redeem any or all of the amounts outstanding under the Debentures with 3 trading days advance written notice to the Investor. The redemption price will be equal to 120% of face value. In the event that the Company exercises its right of redemption for either all or a portion of the outstanding Debentures, the Investor shall receive a warrant to purchase 35,000 shares of Common Stock for every $100,000 redeemed at an exercise price of $0.025.
The Investor has agreed not to short any of the shares of Common Stock of the Company. The Investor shall be granted a security interest in all the assets of the Company, including a first security interest on all the intellectual property of Robotic Workspace Technologies, Inc., a wholly-owned subsidiary of the Company.
In connection with the Purchase Agreement, the Company also entered into a registration rights agreement (the “Registration Rights Agreement”) providing for the filing of a registration statement (the “Registration Statement”) with the Securities and Exchange Commission registering the Common Stock issuable upon conversion of the Debentures no later than 30 days following a written demand from the Investors requesting the filing of such Registration Statement. The Company is obligated to use its best efforts to cause the Registration Statement to be declared effective no later than 120 calendar days from the filing date of the Registration Statement. In the event the Registration Statement is not timely filed or declared effective, then the Company shall pay to the Investors, a cash amount equal to 2.0% of the aggregate purchase price paid by the holder pursuant to the Securities Purchase Agreement for any Debenture then held by such holder, with a cap of 24%, as liquidated damages and not as a penalty.

According the chart on scottrade that sale of 150000 for a big $3000.00 was a planned sale,not that it matters much. How far in advance that was set up is anybodys guess. I wouldn't really call that small ammount dumping. Maybe she got laid off at Al's & couldn't pay her rent.

Seems to me CoroWare is allready starting to run the show by making ALL the money so I don't see it as being that far fetched. I don't think a mutinous situation will have to take place for CoroWare to do what they want. INRA neeeeeeeeeeds them.

Seems to me the two point whatever million from ABB is squat compared to what this Co. could be making in a year or two with the CoroWare crew calling the shots.
I would have to say CoroWare should be running the show. INRA would cease to exist without them & it seems they might have come to that realization.

Negotiations with control manufacturers, other developers and commercial users have begun.
FORT MYERS, FL – July 10, 2007 – Innova Robotics & Automation, Inc. (INRA.OB) announced today that it is offering licenses for its PC control system technology, which is protected by three Pioneer Patents (6,442,451 issued in 2002; 6,675,070 issued in 2004; and 6,922,611 issued in 2005). After more than two years in Federal Court, the Robotic Workspace Technologies (RWT) subsidiary reached a settlement in March 2007 with a large international industrial robot manufacturer with regard to its control system technology. The company has begun contacting companies regarding the proposed license. Innova Robotics and Automation intends to use every means possible to protect the company’s intellectual property and enforce its patents.
“We believe there are a number of cases of patent infringement and our first choice is to offer a licensing option that will make the market more efficient. We intend to provide licensing choices tailored to each application so that robotic PC control systems can continue to proliferate in a legal and fully-paid for manner,” said Walter Weisel, Chairman and CEO. “We will also give companies wishing to develop advanced PC robotic controllers for any robotic application the opportunity to team with us to shortcut lead-time to market and decrease the investment in development costs for what I would call ‘reinventing the wheel’.”
The patents cover the company’s real-time PC control system capable of controlling robots and automation equipment of various electromechanical configurations from a common programmer/operator interface. Management believes the benefits of open PC control systems are well documented as manufacturing companies have for many years moved away from proprietary systems. The company’s PC control system provides the ability for automated equipment of different types to communicate and share data over factory networks in a fashion that emulates production flow. Further, open PC control systems enable manufacturers to integrate complementary hardware and software for quality control, inventory management, and a wide range of other process and business management functions that result in significant economic advantages to the manufacturer and product enhancements for the consumer. Open PC control systems greatly simplify operator training, programming, maintenance, spare parts inventories, and related tasks that in a complex proprietary control environment can significantly increase production lead-time and cost.
Innova Robotics and Automation markets its patent-protected PC control system through its RWT subsidiary under the brand name Universal Robot Controller (URC). Fortune companies as well as smaller manufacturers are using the URC in production settings ranging from material handling to arc welding to 8-axis welding and plasma cutting. Universities and developers are using the URC for education, training, and research. Some of the most compelling research projects that use the URC are at NASA because the URC is the only commercially available controller that provides the computational speeds required to simulate the movements of a robotic arm and other devices in a zero gravity environment.

They announced that 'licensing' idea on July 10. Is 10 weeks time really long enough to declare it dead? Seem to be jumping to conclusions at this point. As far as the rumors go I hope that's all they are, so far on this board nearly all rumors posted over the last year have proven to be false or never substantiated.
