A new smoke alarm order came in. Downs didn't like the old deal so he told the buyers IDWD gets to keep more than half now but the purchase price remains the same. Shareholders still get the money.
Another smoke alarm order came in. Yassarstein terrorized a village and an 82 year old grandmother decided to protect herself from the hazards of smoke inhilation. Downs tells the new buyers he wants IDWD to not only control more than half of the HLS division, but he wants IDWD to control more than half of the stock of the company that bought a minority percentage of HLS as well. The shareholders get even more money.
It's all so easy to understand once you lay it out on a flow chart like some of the real longs do over on the HSM board.

I think before Downs writes a PR he first decides what the subject will be. Then he does a google search for a glossary of terms for the given subject and just starts typing away. He never neglects to electornics a few words. (probably a bit dyslexic) nor to forget to use message board shouting techniques (as in capitalization) lol The fact that very little of it "flows" nor makes sense doesn't matter. Downs's target audience is obviously the market player with a very short attention span.

He simply states once again that IDWD shareholders would receive a special dividend worth between .87 and 1.01 due to this so-called "buyout". To make matters worse, he followed it with a PR saying that due to all the wonderful business of the division, the special dividend has been upped to 1.10. If it was a spin-off he should have said so. But he didn't. And that is the point. He knows this will confuse people Many have written him emails asking for the details but he always refuses to directly answer the question.

Jim I'll join you on that. For the purposes of paper trading, I am officially short here. If the stock climbs another 20 cents, it won't matter. Shorting IDWD at .84 seems to be a low risk endeavor and if my brokerage firm would allow it I would definitely do it here.
You can't blame them for expecting cash or the equivalent. In Down's only clarification on the matter he said you can't necessarily expect all cash but you might get a combination of cash and stock.
Now, given the usual tendency of companies who are claiming to pay out the proceeds of a windfall, to pay out that windfall in liquid currency (be it cash or stock) and given the fact that Downs has been too much of a low down slimeball to tell them just what it is they will be getting and lastly, given that this stock is being pumped hard on the coming dividend, what would you expect them to think?

It's time for a tip of the hat to Mr Downs. He understands something that 95% of all the people in this game do not understand. Momo is king. There has never been any doubt that Downs has this part of it right. He seems to sell the rallies and he seems to support the bottoms. Unlike most scammers, he doesn't keep dumping as the stock is declining. He sells on the ask and as far as I can see, he doesn't hit a lot of bids.
It's too bad he is such a relentless PR scammer. If he would have done this honestly, he coulda been a giant.
However giving him this compliment is as far as I can go. Yesterday's PR was a real stinker. It will be interesting to see how people react if he ever files for the dividend that everyone has been waiting six months for. Despite much progress for IDWD’s stock price as it jumped from 9 cents to 55 cents, a stock that plans to pay $1.10 divy and shares in 2 high growth spin-outs with a possibility of future dividends and spin outs should be trading much higher. Shareholders should not still be selling out and trading pennies for dollars. Yet, this is still occurring because of the credibility issue as a result of all the stunts pulled the last 5 months. Although management claimed that this was done to keep daytraders and hedge funds at bay and also to make adjustments to the sell out deal as a result of HLS explosive growth and new products, many investors remain uneasy and have reservations. Now the company has done a decent job lately to win back confidence by announcing good news on a regular basis using numerous news outlets including a highly reputable security magazine, the year’s largest auto racing event, and the world’s most popular search engine Google. Although the stock continues to rise steadily, more needs to be done since some investors are still selling with more contemplating of selling out before the price would reach $1.10 or when the dividend is paid. This suggests that investors, even diehards are still not 100% confidant that those shady days of yesterday are over. It is to the long term interest of the company to establish trust in these investors now so that they will reinvest their dividends in the spin off companies, to advertise them to friends/families/coworkers, and to spread the word and defend these companies proudly on message boards and the internet. This will help to build a strong foundation to attract new investors and customers for the new companies. This needs to be achieved first before the company starts a campaign to get investors to believe that the stock is worth more than $2-$3 a share because of the HLS sell and the company’s new security products. How can the company win this trust and open the gateway to much bigger things? This company has too many Aces to not come up with some. Perhaps using some of that explosive revenue growth as a dividend or to raise the dividend the 3rd time could really make this stock skyrocket since no investor or lawyer group has ever heard of fraud from a company that has raised its dividend let alone to do it 3 times with insiders owning almost 90% of the shares. This will work if the new security products are truly valuable. Do I believe that they are worth 100 times the dividend as Undervaluehunter has proclaimed? Yes, since Identix was recently bought out for almost $800 million with inferior biometric products compared to IDWD’s. That is 40 times the current market worth of IDWD and yet IDWD’s HLS division is having revenue growth that dwarfs that of Identix. IDWD’s management needs to take advantage of this situation now while they have the world’s attention with 2 top websites and the most popular message board around.
Lastly, how likely is it for two executives, one older than the other by about 20 years to have the same name, same facial features and hairline, to be involved in the same line of business? Are the two related? Why is Patrick Downs of IW selling out his shares for huge losses so early in the year? One would think that the man has plenty of money being a CEO of more companies than the fingers on my hand. After all, he was only CEO of NTN for 14 years and cashed out when the stock peaked at $10. If they are related, that “2003 Republican of the Year Award” suggests something very bright for IDWD’s future. Based on IDWD’s recent chart action and the swarm of bashers and their overtime work, it seems like the word is out and someone wants our shares bad!
The Professor may not be right on Downs, but he sure was on the ball calling IDWD’s number when it was trading in the teens and before it made the big move. Even when he was off, he sure came pretty close. Looks like there might be something about the Downs at IW and the Downs at IDWD after all. If they are related, IDWD’s investors will have much to gain having another deep pocketed relative ready to buy IDS stock.

If Jose had released the news, he probably would have been carted off to jail especially if he already had any stock. This was a not so clever ruse. I put it right up there with the Electornics Award. Most people with a just a couple of years market experience realize it.

I believe the long term effect of this stunt will be to draw the attention of the regulators. The SEC used to bust similar scams back in the late 90s with frequency. I hadn't seen anyone try to pull this off in five or six years, but at the height of the market bubble, you used to see it all the time until they started carting people away in handcuffs for doing it.

No. It was a PR scam. No filing or reporting is necessary of amounts under 5% and no legitimate buyer would ever announce his intentions to buy 4.99% That is insane and ridiculous. Everyone who has the slightest market knowledge knows it too.
Take a closer look at the party who is part of all of this. His only real public record of involvement comes in the way of convertibles. Ever hear of toxic financing?

Yesterday's PR was a doozy, and although it sucked in a great many newbies, others saw it for what it was. No legitimate company annouces the intent to buy (from a friendly investor) a 4.99% stake--one that need not be reported. If it was all legit, it would have been kept quiet. Give us a break. Who wants to run the price up while they are buying?

Even now this stock is pumped at internetplays.com, HSM, Yahoo, myspace and nearly every other message board and chat room community by holdovers and other curious and interested parties. Just recently, Datatech Downs was off on the Yahoo IW board telling people there that Downs was the same Downs who was a director at that company in an attempt to scam newbies.
Ask Mr Downs about his wife Laura Brickley. You are a relative newcomer here, but at one time, the pumper moneymade posted an email Downs had sent to another promoter asking that promoter to please pay Laura for the shares he had been sold at a deep discount.
It appears Downs insider trades Laura's account. How she got the free trading shares is something all of us would like to know.
It's always nice to see a scammer get scammed. But in Downs' case, why bother to pay for the awrad (sic) when he can just make one? Maybe that's what prompted him to take the Junior College Photoshop class. lol
