Questrade, a canadian discount broker of whom I was with, suddenly started enforcing the BC CTO, and as a result I had to transfer my account out to CIBC just to be able to trade.....
The EDGAR report? But did it not say in Paragraph 9) that there is no JV?

Ok but......... paragraph 9) on the EDGAR filing states there is no JV, or anything resembling such.....
Now do you think that is just with this transfer / sale and that they will eventually jointly develop the propertie(s)?
Or does that mean zippo JV or partnership or what have you period with Joshua Gold?

He lives in Oakville, a semi upscale town 30 mins from downtown Toronto. I live in Hamilton, a less than upscale town 45 minutes from downtown Toronto:)
I would:
A) Not stalk him at his house, which I do believe is by Bronte and Lakeshore Blvd according to yellow pages.
B) Highly doubt the lawfirm / office used for the meeting on oct 18th, of which I did attend, houses the day to day operations of SRSR.
C) Doubt the office in Toronto houses Mr. Keevil on a daily basis and that he is open to "drop in's".....
Merle's office in based in Oakville too, I do believe, so it seems its all one big happy southern Ontario family:)
For what its worth on that note, he was very conservatively dressed at the shareholders meeting in Oct.
He had a nice rolex though.....:)

Only in British Columbia, I`ve been buying and selling this stock in Ontario since March!
I`m not trying to be definitive or ring the dinner-bell for kicks, I just wanted to pass on what happened to me and my friend today trying to trade SRSR via a Canadian brokerage, Questrade, and what they told us was the reason why all buy orders were cancelled and why she was called.
They have offices in Vancouver (B.C.) and Toronto. When I heard from my friend about the CTO today I immediately thought of the old CTO and someone made a mistake at the brokerage, but when they called her back with more info and said the words spin out, well, seemed too exciting not to investigate. When I called I got the same story!.
They are open until I like 8 or 9 pm tonight eastern standard time.
I agree, very weird. All my orders were rejected too (I am in Canada and use Questrade).
I called and talked to one of their brokers about it, they are super friendly with low wait times give them a ring even if you`re not a client and ask, because they did not give me any info past what I posted!

Cease Trade Order Today
A friends order for 10500 shares was cancelled today with a phone call from her (and my) broker, Questrade.
They said there was a CTO and if she wanted more information they could have her contacted later.
So she had them call her back, just moments ago, and they explained that there was no wrong-doing, its that the company (Sarissa Resources Inc.) was issuing a spin out. No details further at this time. No details on if its Nio-Star or Shining Tree.
But, in short, AWESOME!!
Consider my feelings hurt:(

Like I stated and disclaimed twice in my post, all ballpark from memory and what I quickly wrote on a copy of the DC I had with me in scribbles.
But what I can say for sure is I did NOT hear any tallied no votes totaling 30 million plus shares as they were being read off by Mr. double breasted pin stripe from capital transfer agency.
Admittedly a very lousy intelligence report:)
I assumed from the multiple posts here (including Merle emails) that it was a quicky formality and I was just going to meet Mr. Keevil. Also my nose is running like a faucet, I was almost about to cancel my trip...
Had I known there was going to be a Q&A I would have formulated way more productive questions as well as passed on some questions from this board onwards.....
So, in summary, sorry about the anecdotal quality of the info, tis` from the best of my recollection!!

The law office was Ormston List Frawley LLP. 40 University ave, suite 720, toronto, ontario, canada.
No problem guys, I really went to meet Mr. Keevil but the bonus info was fun too. I`ve been in a thousand high levels briefings, where I`ve had to give detailed presentations to rooms full of officers, and I can assure you I was indeed still a bit nervous at the proceedings today, heh.
Next time I`ll use my iPhone to record the whole damn thing lol:)
Minutes of the meeting.
Hello and sorry for the delay, I`m fighting off a cold methinks.
Ok so, living in Hamilton Ontario, Toronto is (in theory sans traffic) a 45 minute drive. So away I went.
It was held at (obviously) the location in the SEDAR documents as well as the circular.
A law firms plush conference room, chairs for about 10, was where Suite 720 was. I arrived hurriedly approx 0948 hrs and was greeted with cups of coffee and offers of snacks.
Mr. Keevil was well dressed, pleasant, and succinctly welcomed us with a firm handshake. I brought my girlfriend along seeing as I was excited to attend my first shareholders meeting, and we were both shown into the conference room.
I am terrible with names and honestly did not have my jot pad handy (I ended up writing on a copy of the DC I brought along) but I can tell you that the round robin of introductions did NOT include Merle.
There were:
1 x lawyer who also spoke about operations of the company, I gather he was from the law firm because after the formal part of meeting, Mr. Keevil asked if he could use the room for a relaxed Q&A session.
1 x Capital transfer agency guy tallying votes, he took my proxy and I (along with two other shareholders, one of which recognized me from ihub) signed into an attendance sheet which listed our names, held positions and the date along with our signature.
1 x Mr. Scott Keevil. Cam Cheriton could not attend and this was mentioned by Mr. Keevil.
1 x Gentlemen who was introduced as the new CEO of Shining Tree after its spin out. I am forgoing the (`possible` and legalese added to every statement, those lawyers are good even in person!)
1 x lady who helped minute the meeting who worked at the law firm.
3 x shareholders including myself
1 x my girlfriend:)
Meeting was called to order by Mr. Keevil quickly and away we went.
The tally's of the votes looked like this (it is a ballpark because I didn`t write down the numbers because he was speaking so quickly, but its a non-existent point when you see the numbers)
TOTAL TURNOUT OF COMMON STOCK VOTES in person and by proxy: 70.21%
The lawyer and the room remarked how it was the highest they had ever seen
SHARES REPRESENTED AT THE MEETING: about 2.3 million if I recall. 1,000,000 from myself, although the date of record lets me vote only about 276,000 of them.
1. Election to the board. Passed 99.3% Something to the effect of 450,000,000 shares voted for, 850,000 against. Add in the non-voted shares and boom. Win. Scott and Cam for another year.
2. Raising authorized shares to 950,000,000. Passed 93% Once again about 450,000,000 yes votes, 13 million no votes, with non-voted shares added in. Win.
3. Amended Stock Plan. Passed 99% 450,000,000 odd yes votes, about 880,000 no votes. Win.
4. Nio-Star HKHE etc. Passed 97% 450,000,000 odd yes votes, 2 million or so no votes. Win.
5. Shining Tree Spin-Out. Passed 97%. 450,000,000 odd yes`s, 2.5 odd no`s. Win.
Remember all numbers are drawn from memory but the words landslide formality came to mind. I thought it was cool that I got to second all the motions and was a part of getting things passed, hehe....
Anyways the formal meeting was called to a close and the informal Q&A began. Mr. Keevil cracked out his Ipad2 and showed some slides of drill cores and such and huge trenching at Nemegosenda. We then discussed the fact that China would be the end user of the Niobium from Nemegosenda, and we then discussed the uses of niobium for a bit, along with some very raw numbers data (just price per ton being around 200$, I am assuming unprocessed ore).
He showed us a map of Nemegosenda and talked about the roadway in being a logistical lifeline. He then pointed to unexplored spots that would be drilled in due time but probably wouldn't add to the total valuation much.
We discussed other REE`s, Uranium and Thorium and his opinion was that it was economically salvageable and profitable then for sure they would be processed.
We discussed about how if it wasn`t for the (Nemegosenda) historical drill cores they would have had to JV a bunch along the way just to make it this far, and that their main focus now is listing Shining Tree (Mr. Keevil mentioned on the CNSX) and Nio-Star (Mr. Keevil mentioned the Hong Kong stock exchange and when asked about an North American exchange listing seemed unsure but said potentially) as well as the pre-feas and feasibility study before things get exciting.
Drillcores used to be assayed in B.C. but now theres an Ontario company that does it.
Mr. Keevil mentioned that audited financials for Sarissa were on the way too.
Deadmoose property was mentioned but didn`t appear to be going anywhere at this time.
The lawyer spoke of a dividend of Nio-Star AND Shining Tree shares to the shareholders of Sarissa in the future as a foreseeable outcome. No ratios or further elaboration such as timelines were mentioned.
My main question was if they intended to uplist SRSR in the future, to which the exact response was.....perhaps but with the big properties spun out or JV`d it might be prudent to wind down Sarissa. Their words not mine. No idea the implication or meaning behind that, the lawyer used the phrase wind down.
There was a joke about ihub and the naked short conspiracy theories floating around, it went along the lines of ``if you believe ihub then we have 2 billion non-existent naked shorted shares floating around hehehe``.
We were promised an exciting 2012 and the meeting came to a complete close.
We all shook hands and then I proceeded to pay 15$ for my one hour and a half of parking. Go Toronto....

Strangely low volumes and high spreads as of late, methinks as the meeting date draws closer.... no ones making big moves
Far be it from me to call someone out on their holdings, or even inquire, seems rather in poor taste, however, I've been gleaning this place for a decent interval, and when something like the DC fiasco or a tumbling PPS happen, "large investors" who were previously silent tend to show up with nothing but doom and gloom more often than not.
No insinuations, just observations!
was he for real, that 17 million share chap? seems to me that if I invested at 0.00X, somewhere between 0.10 and 0.20 cents I would have said..... "hey if I sell now, even a portion, I'm a millionaire...."
but maybe thats just me:)

Long time lurker, first time poster!
I first heard about SRSR from a good friend of mine who in a materials engineer near Toronto, Canada. At the time I was freshly back from Roto-9 TF 1-10 in Afghanistan, with the Canadian Forces, and was injured upon my return. I am 26 years old and headed back to school at McMaster University, finally figuring a career in the infantry might not be as rewarding as I had once hoped, heh, hindsight is 20-20 I do suppose....
My convalescence gave me plenty of time to explore investing opportunities, and I was heavily (re: all of my tour money and a small portion of my insurance compensation from my car accident) into silver bullion, which I must admit I got into a touch too late but nonetheless made a pretty penny upon my final liquidation. Subjective statement but I think for a mid twenties soldier 20,000$ is a nice number for buying blocks of shiny metal, holding them, then selling them. I felt like a true Gordon Gekko, ha!
Anyways, I was having a few drinks with my engineer friend of whom I had made mention, and he made an offhand comment about a boss of his who was close to retirement and, in lieu of paying into an employee pension, had opted to use his cash for investing. He was heavily vested in a company called Sarissa Resources.
Over the next few weeks (this being late April to early May, so 0.025ish) I threw about 15,000$ CAD at SRSR, flipping about 100,000 shares for hundreths of a penny (I am by no means a day trader, ha!) at a time, nothing fancy. Doing extensive (at least by my definition of being methodical) research upon this company and asking as many questions of my friend as I could, I stumbled upon this board.
You must understand at the time my financial sense and posture was based solely off an econ-course in College and Investopedia.com (lol!). So it has been a fantastic learning process thus far. My small time flipping of which I thought was handsomely profitable, ironically turned out to be a big time waste because when I eventually decided to plunk my cash down on about a million shares, the dollar coast average of it all was about 0.04906.
At the time I had no real idea what Niobium or Tantalum was, my last encounter with the Lanthanide portion of the Periodic table being grade 10.....
My current position is 964235 Shares at an Avg of 0.04906 a share. Admittedly high but hey gotta pay to play. As of Aug 30th 2011 I had about a quarter Million, wish the date of record would allow me to vote more of my stake but alas, so it goes!! I intend on expanding my position to a nice round million shares within the next week before the Directors Circular is mailed out!
Cant win them all I suppose, but as I am not interested in flipping this anymore and have made a solid long position commitment, I figured its time to pop onto the board and engage rather than glean.
I look forward to seeing you all at the shareholders meeting, hopefully held in Canada on Oct 18th, just look for the guy with the limp!
Lets keep positive guys, you all seem very knowledgeable and I do enjoy the banter, but the doom and gloom talks killing me lol!
