got this from rb board..................Nationwide sold?
Just got this email, not sure if it's true.....
Dear Valued Customer,
WELCOME:
I am writing to inform you that Sitestar has recently acquired the dial-up Internet access business Nationwide Internet. If you have any other services from Nationwide other than dial-up Internet access, you will likely also remain a customer of Nationwide for these services. As a valued customer, we warmly welcome you to the Sitestar family and promise to do everything possible to make this transition as smooth and easy as possible.
Sitestar is a full-service Internet Service Provider offering a broad range of Internet access, web hosting and value-added products and services to customers throughout the U.S. and Canada. For the investor, we are a small and growing publicly traded company that trades on the Over-The-Counter Bulletin Board (OTCBB: SYTE). Sitestar has the financial strength to ensure outstanding service and we make a commitment to provide you with prompt, courteous and effective support.
We realize that if you have been a Nationwide customer for some time, you may have gone through a number of acquisitions in the past. Some of them have been good experiences and some may not have been. This has been the nature of the business, unfortunately. At Sitestar, we are focused on the Internet business and customer service. We hope that you will be a customer of ours for a long period of time and we hope that you will give us a chance to earn your business. If there are any suggestions on how we can improve, please let us know. If there were any issues in the past that still need to be fixed, please let us know that also.
Here is a list of some of the changes you will see as a new member of our service:
BILLING:
Because we purchased a portion of the Nationwide business, there could be some confusion regarding your first bill from us (and maybe your last bill from Nationwide). If you only had dial-up services with Nationwide, there will likely be very few issues, if any. If you recently paid Nationwide, there may be a gap of time until the information is sent to us. Sorting through the data obtained from Nationwide has delayed our billing by several weeks, so if you see a bill with two months of service or you get two bills close together, this is why. If you have any questions or issues at all, please let us know and we will work hard to resolve it. Please stick with us through this process. We are committed to providing you with excellent service.
If you are on auto-pay, please be aware that current balances will be taken out soon and the next one may be soon afterward. Charges will show on your bill as “SITESTAR.” For all those who pay by check each month, please remit your payments to the following address:
Sitestar Internet Services
PO Box 4249
Lynchburg, VA 24502
Billing statements will show up under the name of Sitestar Nationwide Internet for a period of time. We encourage you to switch to auto-pay with a credit card or a bank draft or pay ahead to ensure uninterrupted service and to avoid any manual processing fees. Manual processing fees are $3.00 per invoice and late fees are $5.00 a month.
Our billing office number is 888-271-9672 and our hours are 8am-6pm Eastern Standard Time, Monday through Friday. After office hours until midnight, our technical support staff can take payments over the phone and can usually help answer most billing questions. Payments can also be made online via our Account Maintenance page at http://home.sitestar.net . Please let us know if you cannot access the Account Maintenance page and we will reset your password to the same as your dial-up password.
In the unfortunate need to cancel your service with us, cancellation must be done in writing or can be done from our Account Maintenance page. We ask that you give us a 20 day notice prior to your due date and that you allow us to resolve any service issues that may have prompted your cancellation request.
DIAL-UP SERVICE:
You can connect the same way as always and should not have to change your username. We are consolidating dial-up access numbers so we may be asking some of you to switch numbers soon. We will try to let you know ahead of time through email or from a website you may see when you dial in. If you travel or have to move, you can stay connected because we have thousands of local numbers throughout the US and Canada.
This week, we will be switching authentication of your dial-up account over to our servers. Since we are using username and passwords from the billing data that we were given, there is a slight chance that some of the information was entered incorrectly in the beginning which could cause errors. If you cannot connect, please call us right away so we can fix your account. We do know that we have most of the username and passwords correct.
EMAIL:
We understand that there may have been email issues in the past with your service. Much of the reason for this is the large amount of spam sent via the Internet daily. Approximately 95% of email sent these days is spam and email servers have to work harder and harder to weed it out. Moving your email to the new high efficiency servers should make it much more stable and reliable. This process should be complete within the next couple months. You should not have to change your e-mail address but if you would like to change it to a Sitestar.net email address and get a little more storage space and some good spam filtering, just let us know. You should be able to add it yourself through Account Maintenance or give us a call. Please, however, do not do this right now unless you have to as the next 30 days, we anticipate the phone lines will be busy as we fix issues with billing and other technical issues that might pop up during this transition.
WEB ACCELERATION:
Sitestar offers Web Acceleration for Dial-up users to help speed up web surfing to near DSL like speeds. We call this service Surfboost and it costs only a little bit more. If you are already using a web accelerator from Nationwide, we ask that you download our version. You can download it from http://www.surfboost.com/downloads/surfboost.exe or http://www.surfboost.com/downloads/surfboost.dmg (Mac version). If you are not already using a Web Accelerator, please sign up for a free trail from the Account Maintenance to see how great this product really works or call to order it.
DSL:
Sitestar offers broadband DSL in most of the Qwest, Verizon and AT&T areas, so if you are thinking of upgrading, please call us first. If you currently have DSL with Nationwide, please call them for support.
TECHNICAL SUPPORT:
Support can now be reached toll-free at 888-271-9672 or from support@sitestar.net . Our technical support hours are 8am to midnight Monday-Friday, and typically 8am-10pm Saturday and Sunday. Even though we anticipate a heavy call volume and longer than usual hold times over the next few days, please give us a call if you have any problems with your service as we want to make sure you enjoy your experience with our service.
TERMS OF SERVICE:
Please review our terms of service at http://www.sitestar.net/tos and please email us with any questions you may have.
Once again, welcome to Sitestar. On behalf of all of our team, we look forward to being of service to you.
Frank R. Erhartic, Jr.
CEO, Sitestar

On January 3, 2008, the Registrant entered into an Amendment to the Promissory Note (the "Amended Note") in the principal amount of $2.0 million issued under the Purchase Agreement dated June 29, 2007 by and between the Registrant and United Systems Access, Inc. ("USA"). Pursuant to the terms of the Amended Note USA paid Registrant $500,000 on January 4, 2008 and is required to pay $500,000 on or before January 11, 2008. The closing for the CLEC business is scheduled to take place following receipt of the necessary regulatory approvals. The payment received by the Registrant on January 4, 2008 was used to partially repay principal amounts due and owing to YA Global Investments, L.P. Following the January 4, 2008 payment, the principal balance owed by the Registrant to YA Global under the convertible debentures is approximately $13.6 million.
