I wish Dr. Koos had some kind of shareholder presentation/conf/meeting or some kind of communication and also shed some light on merger procedure/ 10K delay and or how is company planning to raise cash for trails once IND gets approved. BMSN has huge potential but CEO must assure that he is open to communication process just like AMBS CEO Gerald commissioning. I am still waiting for reply to my emails I sent to Dr. Koos last week.
Good luck to all of us in this roller coaster ride !!!!!!!!!!
Thank you, Sterling!
all the 3 options are fine with me I am waiting for march for FDA to announce IND acceptance news and pre clinical trial news. Anyone knows what's BMSN's current cash in hand? if not enough how they are gonna raise cash? Emailed Dr.Koos few days back ..no replies. Hope he is busy with merger talks
we need some news now to keep this momemtum
Also something very very similar to what BMSN doing is already going on with expected results in July 2013. FDA IND approval is done deal. IMHO...

It would be great if it is related to buyout/merger. 10K late filing was for period ending 9/30/2010. Was there buyout/merger in 2011 when they filed late in May 2011?
Good. Do you know why they were allowed to file 5 months late without any serious consequences? I am trying to get this info from other investors are also. The reason I posted it twice is because it is important info to know for long term investors new/old. As BMSN IND news is spreading new investors will pour in. But late 10K might be a huge red flag. I just want to see may be it is not that bad. It is always good to know more.
Dude, i am just trying see under what situation BMSN qualified to file 10K 5 months late. If you understand english read my post again. No need to show attitude here.
How can BMSN file 10K as late as 6 months? I was checking Edgar Online for SEC filing of BMSN. In the past years most of the time they have filed 10K-NT for late filing but 10K was filed before due date.
But in Year 2010 it was different.
NT 10-K filed on 12/30/2010 (period ending 9/30/2010)
But 10-K filed only on 05/13/2011 (period ending 9/30/2010) that is almost 6 months late.
How SEC allowed that? What was this special case?? Anyone knows?
That means may be this year also we can wait till May 2013 with no serious consequences?

I hope you are right. Amen to that!
Thanks for your reply. It is true that there is no "E" as of now. But isn't there is a "waiting time frame " from SEC also to implement that? i mean this late filing can not be dragged indefinitely right? Talking about finances, they secured 20 mil in June 2012. So i believe they are good for now, no more dilution for at least a year? or maybe I am wrong to think that way (i hope not )...
You are right about they have foreseen something much earlier when they filed Form 12b-25 on Dec 31. One of the poster showed the email from Dr. Koos stating
"The board and I have decided for 2013 it would be best to merge Regen and Entest Bio into one company, Bio Matrix. However, they will continue to operate as Trade Names under the parent."
This mystery of late 10K filing needs to be addressed soon so that long investors and newbies see the tremendous potential of this company.
Could "The delayed 10-K (despite filing for an extension.) " was due to merger between ENTB and BMSN? ENTB already filed 10K. I like everything about BMSN except this important thing late 10K filing which is past due date. I consider it a big red flag as of now. Hope I am wrong and late filing 10K might turn out be a due to some unknown positive news. Hoping for the best!!!!!
All good points. What about 10K? This is something really concerning at this point. How late it will be? Isn't there a deadline past duedate?
Yeah, that's correct.
Congrats to you!!! Mind telling us that name of that Biotech stock?
Broken clock is right twice a day
Sierra Was Correct Bio-Matrix Scientific Group (BMSN) files IND for HemaXellerate share price rises 57% peanuts to how much it will rise after upcoming acquisition sooner than anticipated projects Sierra World Equity Review
Thanks! That raises one more question. How late SEC can wait before it decides to give extra "E"? I mean BMSN can not indefinitely delay right? There has to be a deadline for prviding "reasoning" for late filing as well. Hope we will hear something from company soon.
Late 10K and 2012 SEC Filing Deadlines
I think if we fall under "Proxy Statement or 10-K/A" we have till March 30, 2013 to file 10K. Not very sure of this but looks like that.
http://www.merrilldirect.com/cps/rde/xchg/merrilldirect/hs.xsl/edgar-2012-sec-filing-deadlines-and-holidays.htm#acc_Late 10-K
Deadlines based on 12/31 FYE.
Below are the SEC rules used to identify domestic and foreign compliance deadlines for all companies. Please note that if the due date falls on a weekend or holiday, the filing is due on the next business day (reference Exchange Act Rule 0-3). The dates on which this occurs have an * next to the submission type in the right column of the calendar.
Form 10-K Due 60 days following the end of the fiscal year. SEC Rule 33-8644
NT 10-K Due on the business day after the 10-K due date.
Late 10-K After filing an NT 10-K, the deadline for the 10-K is extended 15 calendar days from the actual due date.
Proxy
Statement
or 10-K/A Proxy due dates can differ greatly, though most are filed in the spring. If your Form 10-K incorporates by reference information into Part III from the proxy statement, you must file the proxy statement no later than 120 days after the fiscal-year end. If you cannot file the proxy statement within that 120-day period, you can file an amended 10-K to include the Part III information; however, that amended 10-K must be filed no later than 120 days after the fiscal-year end.
Me too!!! I like the happiness on the faces of baby boomers in your post 2 Thumbs Up!!!!!!!!!!!!!!!!!!!!!!!!!
Peter, Great! Way I see is this invest some portion of your portfolio that you are willing to lose (if things get that bitter for any reason). This stock has huge huge potential to become a mega stock provided trials go well as expected. Honestly I haven't seen any stock in sub pennies with so much potential. But again this is stock market, new/emotions/finances everything's involved here to get decent PPS for a stock. I am planning to hold it for over a year or 2 at least. Good luck to all of us!!!
High Fade, Thanks! I am too excited today about IND application. I asked the CEO this question over email 2 days back, I think now it all makes sense. CEO was about to make that official PR. Good luck to all of us!
If one can hold on to this stock with iron fist for over a year and things go well as planned, one have a chance to gain 100X multi-bagger here. Just saying....After all Hemaexellerate is going to be part of 18 billion dollar market value. It is not a easy climb but not impossible too. At sub penny level this stock is like diamond in the dust.
It means preclinical will start in March 2013. They say it will take 15 to 18 months for phase 2 to complete before spinoff to big pharma. Also JV can happen much before that. Potential is huge! I am in today. I missed the early entry. But I am ok with it.I will buy part by part...will average on periodic dips. Hope 10K will be out soon as well. Great day for BMSN longs!! Congrats!!!!!!!!!
Once the IND is submitted, the sponsor must wait 30 calendar days before initiating any clinical trials. During this time, FDA has an opportunity to review the IND for safety to assure that research subjects will not be subjected to unreasonable risk.
BMSN has already secured 20 million in April 2012.
In that case why don't you also email and let us know your experience? Good luck to you as well!
Yes, it would be better if no ENTB involved.
There's also no mention of ENTB on Biometrix's website http://www.bmsn.us/

I wrote email bcos I was not able to reach him over phone despite several attempts. You try and let us know. His Phone is 619-398-3517
10K should clarify that. I am still waiting for reply from Dr. Koos which i sent 2 days ago.
From ENTB recent 10K...
On July 10, 2009 we abandoned our efforts in the field of active/leisure fashion design clothing when we acquired 100% of the share capital of Entest BioMedical, Inc., a California corporation, (“Entest CA”) from Bio-Matrix Scientific Group, Inc. (“BMSN”) for consideration consisting of 10,000,000 shares of the common stock of the Company and the cancellation of 10,000,000 shares of the Company owned and held by Mr. Rick Plote.
Dr. Koos serves as a member of the Advisory Board pursuant to an agreement by and between the Company and Bio-Matrix Scientific Group, Inc. entered into on June 19, 2009 whereby the Bio-Matrix Scientific Group, Inc assigned its rights to the services of Dr. Koos to the Company for consideration to Bio-Matrix Scientific Group of $10,000. Those rights included the services of Dr. Koos as a member of the Company’s Advisory Board for a period ending April 8, 2014.
No, I don't hold much here. Keeping dry powder ready only when company discloses detailed news. I am happy with small gains. You might get plenty of "flipping" opportunities without news..Good for you
well, long investors need "news", flippers don't
I find it funny when you said he reads this board but he has no time for replying emails sent by shareholders
Questions are many...to begin with where the heck is 10K? ...secondly why promise that FDA IND will happen in 4th quarter of 2012. Can he update at least why it is getting delayed? ....I have other questions on possible JV/ spinoff project model, ENTB merger etc. But first things first...where the heck is 10K man? scarry!!!
Hey, Thanks for that post. Good to know David responded. i am still waiting for reply to my email. 10K/IND questions are very important.
I will add more once I hear some concrete news. I don't mind even if I miss initial run. So far whatever I read about BMSN, seems good on paper. But hey I need proof too. If BMSN is legit I am sure we have a goldmine here for very cheap price otherwise call it a garbage dump. If CEO responds soon with all pending news and future plans I am in. If not I am gone. Too risky.
We discussed many things about MANF potential. Gerald is very transparent, honest guy. Check for yourself. I see big potential for AMBS in near future. He has a blog site too where he is keeping shareholders up to date with everything.
If you have noticed Regena and BMSN has same Telephone: (619) 702-1404.
I am new to BMSN stock. What surprises me here no one on this board posted anything about their chat with CEO David. People talk about chart and one line cheer leading. But no one seems to be bothered about delayed 10K or FDA IND. Call me crazy for thinking like that
Anyone talked CEO Dr. David R. Koos?
I see lot of cheer-leading going on here. But seriously isn't it worth to get some factual info? I tried calling many times but was not able to get hold of him. I wanted to get clarity on 10K and FDA IND. I think company is overdue/late to provide this info to shareholders. I even tried to email and get these info but was not successful.
I hold AMBS shares too. I was able to talk to AMBS CEO Gerald Commissiong and get the detailed info. Has anyone happen to talk to CEO Dr. David R. Koos? I am positively hopeful for BMSN but I strongly believe company has to furnish promised docs in timely fashion so that investors don't lose faith.
Good luck to all of us longs!!
