From the wording of that PR, it almost sounds as if the current JPCI people are going to continue on as a private business after the JPCI shell merges with Componus. If so, you'd think they'd also be working on behalf of / looking for institutional investors for Componus as well. Only a guess / assumption though.

I am feeling better about things tonight, I've been talking to some family members who seem to think I'm missing the big picture regarding the importance of an established primary contractor for dozens of factories in China Taiwan, and Korea. I realize now that companies like the Big Three don't want to deal with 50 individual factories for parts and that is why Componus with their network has such potential. That said, their business model, including the Detroit Auto Salon makes perfect sense, though with the current state of the US Auto Industry I would like to hear that they are also aiming towards possibly landing some contracts with emerging markets, like those Chinese and other overseas car companies that will be growing rapidly in the near future. An oem contract with a Company like China's Chery could be as profitable as one with a US company the way things are going so I hope they are in that market as well. This look promising though in my opinion.

I'll be honest, when I thought Asia Forging Supply might actually own those factories throughout China, Taiwan, and Korea, I was really excited and having visions of 14 to heck maybe even 26 dollars a share someday.
Knowing now they are a "prime contractor" for those factories, and own the Detroit International Auto Salon building, I have more realistic expectation now, much like I had in the beginning. I am thinking 3 to maybe 4 dollars down the road, post split and merger, and with some time for their actual revenue to meet those projections. Maybe I am completely wrong and completely missing something here and my expectations are too low, (hopefully not to high anyway lol) but 3 to 4 down the road a bit after the merger, if those revenue forecasts are correct, is still better then where we are now.

That answers my ownership question, they are a "prime contractor" for those factories. Anyone know of any stocks that provide a similar contracting service for an industrial sector, which I can use as reference to try to figure future price potential? About the only one I can find so far is a company called China Direct, which trades in the 9 to 13 dollar range, and has around 140 million revenue, and 25 million total OS shares.
I think it said somewhere that Huang, the CEO, arranged a deal to supply oem wheels to a GM product at some point early in his career, before forming Asia Forging Supply. That would suggest he is known in the industry as well which doesn't hurt.
That's probably why they have those 50 factories at the very least partnered with them. Anyway glad we are entering third week, looking forward to getting more of this merger show on the road! lol

Having over 50 factories partnering and working with you isn't too shabby regardless. Definitely looking forward to some future 8k's though. Also better to be going on 3 weeks into the merger process then 3 days anyway!
I sort of get the feeling if we owned all those factories we'd be at 50 dollars right now lol.
Only one thing has me confused about Componus
Componus I believe owns the Detroit International Auto Salon building, and it apparently generates decent revenue from its sales figures and projections, but do they actually own any of those factories in Taiwan, China and Korea, or are they all partners where they join with Componus, and Componus, for their services, receive a certain percentage for the sales they bring to said factories?
At first I thought the factories were simply partners, as the graphic in the ibox that states 50 "Alliance factories" suggests, then I thought Componus might actually own some of them, now I am unsure again. Is Componus a middle man with the connections, working for those factories in Asia, or are do they also own some of those factories?
I am somewhat unsure.

Yes I know we are speaking of Cramer here. LOL, but still, he says we value stocks now, for 2010. If that's true, and IF Componus's revenue forecasts going forward are accurate, then that could be a really good thing for this stock once the merger is complete.
It's pretty obvious this isn't going to go overnight like Sports Entertainment, but maybe once this merger process plays over the next few months, and more info related to Componus is revealed in future 8k's, and this stock is really valued for 2010 in the not to distant future, then maybe we are going to have better days then today ahead.
My opinion and hopes anyway. lol

when JPCI eventually changes it's symbol and name, can you have the iHub admin rename and keep this forum, rather then abandoning it and having someone start a new one. Things are going well with this forum lol.
That was my initial estimate, but with most of the OS apparently not going into the public float, who knows the true potential. With some past shells, this is the period in their existence where, given some unexpected good news or event, some strange stuff has happened. Not saying it will here, but personally I'm glad to be in this right now. :p

Nope wasn't me, I won't be doing much more with my portfolio until or unless JPCI plays out completely and hopefully in a positive way, and I'm holding that through the entire merger / reverse split process and beyond.

I'm going to hold JPCI through the entire process and see where it goes. Looks like it could be something really special, and at the very least get me back to 100%, though it could take many many months to fully play.
Hopefully this one will surprise, and be one of those stocks for both of us in the future, and bring me from 100% to 10,000%. Ok ok, 5000% would be ok too lol
250 million authorized, 90-100 million outstanding, float anywhere from 60 to 80 million I'd guess, though could be more or less then that depending on insider holding. Estimated 2008 revenue of 66 million, and est. 165 million is 2009. If those numbers and growth rates are correct then revenue forecast easily supports market cap at current levels with the post merger OS.

Absolutely, and it's so much more to their own benefit that even if it takes a little longer and costs a bit more initially, it makes no sense to do it any other way.
When JPCI was at the highs today I was a full 25% recovered from my previous stock disaster LOL. Watching the chart I'm starting to feel like the Mummy from said film, where he was slowly getting his hand back, then his arm, etc... LOL
Ya know, even though Mr. Meuse probably has more money then I do .....LOL
I was thinking, which is an LOL in an of itself, but it really would be so much more to his own benefit if he started doing shell deals like JPCI, rather then some of the recent ones I won't mention. Say we do a 1 for 5 or 6 reverse split, which reduces his ownership to around 8 or 10 million shares, but he finds a real, established, growing company with incredible potential for growth, and he simply passes this shell on to the new company with a nice percentage of ownership in said new company for himself. With his knowledge and skills, he could make tens of millions of dollars in each of these shells, rather then dumping them off to anyone and everyone for 100k each. The only thing he'd have to do is probably get the paperwork in order and bring some of these to reporting status again, but it would be worth it long term if he had the companies to merge with. Plus it looks a lot better merging with real, successful companies, an if you do good, good comes back to you sort of thing. I would be ok with no reverse split as well as long as this gets up to the .85 cent range. lol Keeping the forum alive here! lol
If they were doing an 8 for 1 forward split they would have announced it in the 8k with the merger agreement.
They are doing a 1 for 2 reverse split to reduce the percentage of ownership of current JPCI insiders to an agreed upon level in the new company I believe, then they will issue the new shares to merge with Componus. Let's please not bug these people when they are doing this and simply be thankful for the quality of this merger. lol

O/S poster merger will be in the 90 to 100 million range I think, the 80 or so million they will be issuing to merge with Componus, plus 1/2 of the current o/s. Keep in mind the company will also be going from est. revenue of 900k in the old JPCI, to if accurate, an est. 2008 revenue of 66 million and growing with Componus.
No idea what the float will be, depends on how many shares the Componus insiders have.
Congratulations and yes I think this was about as good a result as one could hope for when investing in a shell. The Metal Forging and production business is actually a multi billion dollar industry with great potential, and with their factories located in China, Korea, and Taiwan, in my opinion it's like owning a piece of the Asian industrial boom to boot. I agree about both Nakayama and the potential of JPCI, though looking back at some others I am reminded it can be a process that involves many up and down days, and can take weeks, months, and sometimes a year or more to fully play out.
You also can never rule out some unexpected event when determining value. With some of the past shells that really took off after a merger, the new company had a couple of surprises up their sleeve to compliment their first few months on the market. No idea what will happen with JPCI but it's nice to dream anyway. lol
I will probably do that a little as the price climbs, when it gets to be like a deal or no deal type scenario, but I'd like to hold as much as possible for as long as possible if this is something special. It does have that feel to it.
