Electronic Control Security, Inc. Terminates Equity Financing Agreement
CLIFTON, NJ, Dec 13, 2011 (MARKETWIRE via COMTEX) -- Electronic Control Security Inc. (ECSI) EKCS +17.65% , a leading provider of integrated entry control and perimeter security system technologies to the government and private sectors, announced that, after careful review and consideration, it has decided to terminate its Drawdown Equity Financing Agreement with Auctus Private Equity Fund.
While an S-1 registration statement in respect of the resales by Auctus of any shares of the Company's common stock that would have been issuable under the Drawdown Agreement was declared effective in July 2011, the Company did not utilize the drawdown facility. Accordingly, no shares were issued to Auctus.
The Company has determined that it would not be in the Company's best interest to retain or move forward with the equity line.

Ex-Elkins Park businessman pleads not guilty to looting firm

Former Elkins Park businessman Salvatore Pelullo pleaded not guilty Friday to charges that he helped mastermind the multimillion-dollar looting of a Texas-based mortgage lending company.
Pelullo, 44, who entered the plea during a hearing in U.S. District Court in Camden, has been ordered held without bail.
Pelullo and mobster Nicodemo S. Scarfo, 46, son of jailed mob boss Nicodemo "Little Nicky" Scarfo, have been accused of stealing more than $12 million from the FirstPlus Financial Group through scams, fraudulent business deals, and bogus consulting contracts.
Scarfo, like Pelullo, has been denied bail.
Eleven other defendants in the case, including five lawyers, an accountant, and Scarfo's wife have been released on bail.
All 13 defendants have pleaded not guilty.
U.S. District Judge Robert B. Kugler held a status conference with the attorneys and defendants Friday but said it was too early to set a trial date in a case that includes more than 7,000 secretly recorded conversations and text messages, and more than one million pages of documents.
Kugler estimated that the trial could take six months.
Three other defendants also entered not-guilty pleas Friday in brief arraignment hearings before Kugler: John Maxwell, former chief executive and member of the board of directors of FirstPlus; his brother, William, a lawyer; and William Handley, a former member of the board of directors.
The Maxwell brothers, both from Texas, are charged with helping Scarfo and Pelullo take control of the board of directors of the company in 2007. The board then approved a series of business deals, according to the indictment, that allowed the firm to be financially pillaged.
Handley, of Miami, faces similar charges.
Scarfo's secret control of the company ended in May 2008, authorities say, after a series of FBI raids disclosed the nature of a federal investigation. FirstPlus filed for bankruptcy reorganization in June 2009.

Starpharma closer to VivaGel approval in Europe and US
The terms of Starpharma's (ASX:SPL) phase III trial for its VivaGel bacterial vaginosis treatment have now been endorsed by both the European EMA and the US FDA.

Starpharma (ASX:SPL) has gained the support of the European Medicines Agency for its phase III trials for its VivaGel bacterial vaginosis treatment.
The EMA has accepted the terms of Starpharma's proposed phase III trial of the VivaGel treatment, indicating that positive results would lead to the product being cleared for sale in the major market.
The US FDA agreed to the clinical trial program in October indicating that, pending successful trial results, VivaGel is on the road to approval in the world's two biggest pharmaceutical markets.
Melbourne-headquartered Starpharma plans to conduct two sets of placebo-controlled phase III trials in parallel from early next year. Around 220 patients will be involved, with the primary goal being clinical cure of bacterial vaginosis symptoms.
The company secured funding for the trials through an oversubscribed $32 million institutional placement, which closed last week. Around $16 million of this will be put towards the trials.
Starpharma CEO Jackie Fairley said that in light of the capital raising, the company plans to add more trial sites than originally planned. After the phase III trials are completed, the company plans to seek partners for the product.
The company already has a prospective agreement with Ansell to develop a VivaGel-coated condom, to take advantage of another potential use for the vaginal microbicide as an inhibitor of the transmission of STIs including HIV and genital herpes
The condom product is expected to launch within 18 months. Startpharma has advised it expects royalties from this product to be worth over $100 million. The company has a similar agreement with Okamoto.
Starpharma (ASX:SPL) shares rose 1.77% on Tuesday to $1.150, in high-volume trading relative to recent weeks.

Walmart announces FY12 Q3 EPS from continuing operations of $0.97; Walmart U.S. and Sam's Club comp sales exceed guidance
Walmart reported third quarter diluted earnings per share from continuing operations (EPS) of $0.97, compared to last year's $0.95 per share, which included a tax benefit of approximately $0.05 per share. The company's EPS was within its third quarter guidance of $0.95 to $1.00.

Short Term.
On a short-term basis, we generate limited revenues, which are not sufficient to cover operations. Based on our limited operating history in the service office industry, we will continue to have insufficient revenue to satisfy current and recurring liabilities for the near future. For short term needs we will be dependent on receipt, if any, of offering proceeds.
Capital Resources
We have only common stock as our capital resource.
We have no material commitments for capital expenditures within the next year, however if operations are commenced, substantial capital will be needed to pay for working capital.
Need for Additional Financing
We do not have capital sufficient to meet our cash needs. We will have to seek loans or equity placements to cover such cash needs. Once exploration commences, our needs for additional financing is likely to increase substantially.
No commitments to provide additional funds have been made by our management or other stockholders. Accordingly, there can be no assurance that any additional funds will be available to us to allow it to cover our expenses as they may be incurred.
LIQUIDITY
At September 30, 2011, we had total current assets of $54,136, consisting of $8,049 in cash and cash equivalents and $46,087 in prepaid expenses and other assets. At September 30, 2011, we had total liabilities of $746,454, all current. Total liabilities included $58,100 in accounts payable, $259,447 in accrued liabilities $46,655 in client prepayments and $382,252 in advances from related parties.
During the three months ended September 30, 2011, we used funds of $46,027 in our operational activities. During the three months ended September 30, 2011, we recognized a net loss of $92,031, which was adjusted for depreciation of $21,944. During the three months ended September 3, 2010, we used funds of $46,442 in our operational activities. During the three months ended September 30, 2010, we incurred a net loss of $113,010 which was adjusted for depreciation of $21,760.
During the three months ended September 30, 2011, we did not use or receive any funds from our investing activities. During the three months ended September 30, 2010, we used $1,727 in our investing activities consisting of the purchase of office equipment.
During the three months ended September 30, 2011, we received $26,847 from our financing activities. During the three months ended September 30, 2010, we received $37,487 from our financing activities.
During the years ended June 30, 2011 and 2010, Mr. Yeung Cheuk Hung, the manager of Prestige and the majority shareholder of the Company, has advanced funds of $179,884 and $163,745, respectively, to support the operations of Prestige.

During the three months ended September 30, 2011, Mr. Yeung Cheuk Hung advanced an additional $19,288. At September 30, 2011, the Company owes him $362,916. Such funds are due on demand.
During the year ended June 30, 2011 and 2010, Ms. Look, an officer and director of the Company and the manager of Mega, advanced funds of $7,710 and $321, respectively to Mega to support operations. During the three months ended September 30, 2011, Ms. Look advanced an additional $7,559. At September 30, 2011, Ms. Look is owed $15,590. Such funds are due on demand.
During the year ended June 30, 2010 and 2010, Top Growth Holdings Group, Inc, an affiliate and entity of which Ms. Look, an officer and director of the Company, advanced $750 and $2,996, respectively to the Company. At September 30, 2011, Top Growth Holdings Group, Inc. is owed $3,746. Such funds are due on demand.
RESULTS OF OPERATIONS
For the Three Months Ended September 30, 2011 Compared to the Three Months Ended September 30, 2010
During the three months ended September 30, 2011 and September 30, 2010, we recognized $87,572 and $32,245 from our service office operations. The increase of $55,327 is a result of an increase in clients. During the three months ended September 30, 2011 and 2010, we incurred cost of revenues of $15,515 and $19,018, respectively. During the three months ended September 30, 2011 and 2010, we recognized resulting gross profits of $72,057 and $13,227, respectively. The resulting increase in gross profits is a result of the increase in revenues offset by a decrease in cost of revenues.
During the three months ended September 30, 2011, we incurred operational expenses of $164,858. During the three months ended September 30, 2010, we incurred $126,236 in operational expenses. The increase of $38,622 was a result of an $8,735 increase in general and administrative expenses, a $23,131 increase in accounting and audit fees, and a $6,368 increase in salary expenses.
During the three months ended September 30, 2011, we incurred a net loss of $92,031. During the three months ended September 30, 2010, we incurred a net loss of $113,010. The decrease of $20,979 was a result of the increase of $55,327 in revenues offset by a $38,622 increase in operational expenses, as discussed above.
