No 8K for KoolTel. That is supposed to happen within 4 days of the LOI filing. Would that mean the deal is dead?
NO SURPRISE THERE Ask a few direct questions and suddenly the silence is deafening.
Why is the 10K late? Some here would have you believe that it's because one Letter Of Intent collapsed(wonder why? You should!) and there is some huge changes that had to be made when the second LOI came in.
I'm calling BS on that one. The companies financials didn't change because the first LOI died. If the second LOI had anything to do with it all they had to do was change some names and the supposed buyers numbers. Anybody with basic computer skills could change that in a few minutes!
Hope I'm wrong but their reasoning for the late 10K doesn't pass the smell test.
Serious questions: The LOI was filed as was the 8K. The next step is for shareholders to vote on the structure of the supposed deal. Are there any shareholders here that had shares PRIOR TO the LOI that qualify to vote on this supposed merger? If so, have you received any ballot(s) to vote on this deal? Do common shareholders carry any weight in this company or does the management have enough shares tied up to be a majority without even getting votes from the commoners?
Really interested in hearing these answers from knowledgeable people.
If that is the case then you are saying todays posts call for a sell signal since 99.9% of todays posts are all blue skies and sunshine through rose colored glasses. LOL

A LOI is lipstick on a pig until a contract is signed. I have seen allot of LOI pop a stock price and nothing ever come from them.

Didn't the Letter of Intent come along about the same time as a promotion on this ticker? What are the odds of that? And a LOI isn't binding either. So many things could blow a deal and nothing ever come of it. The Band Slam failure is another smelly part of the whole debacle. The only people making money here are the flippers killing hopefuls.
Those ridiculous spikes are manipulation tactics. Sucker in buyers, throw off charts, freak out scanners. Both have been followed by sells and right back to low of day.

The cold hard fact is the 5 consecutive days of mostly selling. No major anticipation buying in advance of the big 10K filing that the hopefuls are praying for. I hope I'm wrong but nothing is out there to convince me otherwise.

FYI newbies: That was what you call a scalp. They drive it down to suck up a bunch of shares then run it up and sell the shares to all the happy people that think the turn around is happening. They made a fast 10% and left a bunch of people standing there wondering what the hell just happened.

ASYIE is already a PINK.<see link> The OTC has multiple categories depending on the status of the securities and company. In this case notice that the quote has the symbol in pink as well as the page being under the pink tab. Also notice the YEILD sign on the right side alerting investors to be cautious. If AYSIE does not stay current they go to the gray market(I think) but do still trade. The right side symbol changes to a skull w/crossed bones as a dire warning.

When a company that trades on the OTC Bulletin Board (OTCBB) becomes delinquent in its reporting obligations with the SEC (for example, it submits a required filing late or in an incomplete form), the letter “E” will be appended at the end of the company’s stock ticker symbol. After the “E” is added, the company is given 30 calendar days (60 calendar days for most foreign companies and domestic banks), known as the “grace period,” to become current in its reports. If the company files complete required reports during the grace period, the “E” will be removed. If the company fails to correct its deficiency, the company’s stock symbol will be removed from trading on the OTCBB.
In addition, repeated delinquencies by a company in filing complete periodic reports with the SEC or other applicable regulator, or removal of the company’s security from quotation on the OTCBB because of its failure to file required reports within the prescribed period, can result in the security becoming ineligible for quotation on the OTCBB for a one-year period.
Specifically, if an OTCBB-quoted company is delinquent in filing complete required annual and quarterly reports with the applicable regulator three times in the prior two-year period, quotations of a security on the OTCBB will be prohibited until the company has timely filed in complete form all required reports due in a one-year period. Further, if a security is removed from the OTCBB twice in the prior two-year period, the security is subject to removal from quotation on the OTCBB until the company has timely filed in complete form all required reports due in a one-year period. For more detailed information, please read FINRA Rule 6530.
Stock symbols for OTCBB securities may also have other fifth letters added to them, such as the letter “Q” (indicating that a company is in bankruptcy proceedings). You can view the complete list of fifth letters that may be attached to a company’s stock symbol on the OTCBB website. Stock symbol changes, as well as new issues, name changes, and deleted issues for OTCBB securities, appear on the OTCBB Daily List.

Re:"I'm holding and buying." Totally irrational. You say people are selling and buying back lower. OK, maybe true and a better plan than holding and hoping any future news may cover that gap. A 50% loss requires a 100% gain to get back to even. Why take a bigger loss?
Actually, lower price equals increased risk per the example because a .0001 drop is a larger percentage loss at the lower price.

LOL Taking a loss on expensive shares is no different than taking a loss on cheap shares. Go buy a truck load of some .0002 stock and when it drops ONLY .0001 you can say your 50% loss is OK because the shares were cheap. Just too funny how people look at price but not percentage.

Connecticut House Votes to Legalize Medical Marijuana Over Federal Attorney’s Objections
Look out California! Legalizing medicinal marijuana is no longer just for “hippies” in states out West. The Connecticut House of Representatives voted 96-51 late Wednesday to legalize medical marijuana.
Despite a strongly-worded letter from Connecticut’s top federal prosecutor warning that passage of the bill would contradict federal law, legislators in the Constitution State are taking the Tenth Amendment route to reforming drug policy for their residents and openly defying federal law by making the possession and use of the federally-scheduled plant legal for adults with a prescription from a physician to relieve pain from various illnesses and ailments.
According to the Hartford Courant, U.S. Attorney David B. Fein of Connecticut issued a strongly worded letter to two state senators about the bill just two days before its passage, writing:
“House Bill 5389 will create a licensing scheme that appears to permit large-scale marijuana cultivation and distribution, which would authorize conduct contrary to federal law and undermine the federal government’s efforts to regulate the possession, manufacturing, and trafficking of controlled substances. Accordingly, the Department of Justice could consider civil and criminal legal remedies against those individuals and entities that set up marijuana growing facilities and dispensaries, as they will be doing so in violation of federal law.”
There are two big stories here. One is the continued momentum for the liberalization of drug policy in the United States, especially regarding marijuana. It’s an idea who’s time appears to have come, and not only for medicinal purposes, but for adult recreational use as well. Even in a state as seemingly straight-laced as East Coast Connecticut, policymakers are beginning to see the merit in slowly rolling back America’s decades-long experiment in prohibition, if only out of compassion for suffering patients whose lives could be improved with medicinal marijuana use.
The other big story is the continued momentum for the localization of public policy in the United States. It’s not just what these legislators have done, but how they’ve done it. The Connecticut House has chosen to move forward with what a majority of its members consider the best local solution even though it violates a federal law. We are witnessing the beginnings of a drug policy revolution in this country. Agree or disagree with the direction drug policy is taking, most analysts would be hard pressed to disagree that drug policy is definitely taking that direction, and at an accelerating rate.
Perhaps more significantly in a broader historical sense and with regard to its widespread effects on how our society is constituted, we are witnessing the beginnings of a Tenth Amendment revolution in this country, a struggle for power between the states and the federal government, with more and more states choosing to defy federal law more and more brazenly in favor of local solutions made by decision makers closer to the people they represent.
As for the fate of the bill in Connecticut, there is some precedent for it. A measure to legalize medical marijuana failed once in 2003, barely passed in 2004, and actually made its way through both houses in 2007 only to be vetoed by the governor. Whatever happens, its passage by such a wide margin and despite strong warnings from the state’s highest federal prosecutor is in itself a sign of the times.
