Thanx...that was a mistake.... I read the date wrong and thought that it was current. Right now, am just waiting and requests to the principles and lawyers. At the moment I think they have a real opportunity to be heroes and receive much good press and good will.

FOIA is a long, arcane, and not applicable in this case. The FOIA data will only reveal the Government side and wont present the evidence of fraud or malfeasance which MAY exist. Further, most of the applicable data from the Government side is already out there, RFPs, Q&A, bidding requirements and Reps and certs. If they bid they have to fill out representations and certifications, also stringent. Also, after the award, the RFPs and responses are publically available unless classified. Its just not a tennis racket company they are dealing with anymore.
So at this point the path of "due diligence" remains the best path. Thanx for the suggestion tho. Is anyone on the board checked out in an L-1011?
My experience with DoD is that when you are given money you have to report fairly extensively and provide justifications and costs to the Government. If these were fraudulent then they have a bigger problem. Also, little known fact, is that you are limited to a 10% profit on Government service contracts. There is some leeway but the Government is not going to look favorably to the money being stuffed in their pockets. Also, this data should by law be available to us.
This is not a contract for deliverig meals in Iraq, this money had a specific purpose which should be easy to substantiate............if they did the maintenance. They have a window of opportunity to make things good so we shall see.

Look at his possible scenario: We lose our investments and go cry, they lose their reputations, their credibility, bad publicity, potential criminal sanctions and finally SEC and legal issues. That not a good business trade from a billionairs point of view. This all depends on our willingness to fight.
Yes that may be the scenario........however that would constitute fraud, malfeasance or a variety of actionable deeds that Im sure they dont want on their resumes or in the web. Again, that is why the step by step, polite and courteous due diligence. Registered letters are going out Wednesday. So far two very precise emails to them and their lawyers requesting the data that we have a legal right to.
These guys are either incredibly stupid or incredibly diabolical. By delisting they hope to make us give up and go away and declare a loss. That way they can operate with a near free hand. Thats why I sent emails and that is why I for one am not going away.

Uhhh Guys; all those concerned about water under the bridge might really help out going after them after we find out for sure if we have been "not treated well". Lets focus on the task at hand and lets not lose sight of the fact that we rights and responsibilities as shareholders. If they can simply not file their paperwork to take away our shares that is the real problem. Lets shake hands and focus on the goal....that is if you still have shares.
Thanks Igor. I wanted to be sure that we demonstrated due diligence and courtesy and restraint before sending to SEC. If we launch prematurely to the SEC we may present a weaker case and this hasnt unwound yet. So if we alert SEC (which by the way has a precise process) and they (Johans) are actually doing right by the shareholders then we have not acted in a measured and fair way. Your suggestion is correct but I think it should be a part of Phase 2 after we know how the stockholders are treated and what the contract award is. Does that make sense? I thought long about it though :o)
You were correct. However I am asking for support here and not an "I told ya so". You were prescient in your suggestions, but my request was for suggestions and recommendations. The question is not who was right because..........."If ya did what you always did, ya gets what you always got". Thanx for any suggestions you may have going in to the future with TMPS.
Draft letter as a courtesy to other TMPS shareholders and for comment. This will be sent today with follow up certified letters. This is a straightforward request for "due diligence".
Dear Sirs and Madams;
To date I have not received a response from your offices or the persons noted in my last email to you. Many of us (TMPS) shareholders appreciated the fact that the company has taken action to re-instate the company on the "pink sheets" or other when the 8k is updated and sent. At least this is what you stated.
This was taken as a very positive sign and we appreciate it. However, the items that I requested, as a legitimate shareholder, have not been answered to date. As I result, I am respectfully re-requesting the following information from the identified personnel and their representatives in order for the shareholders to make informed investment decisions and to receive the courtesy of a reply.
The questions are re-stated for clarity and include an additional request to obtain access to the company financials and associated information. Again, I have been substantially impacted in a negative way by the non-compliance of TMPS to shareholder requests and and want to work with you and your clients to assure a fair shareholder involvement and the success of the Company. We cannot contact them after many requests.
The questions are:
1. I am requesting that you contact the officers and interested parties of TMPS to include your clients Mr. Eliasch and Mr. Bergendorff to forward my request to provide the shareholders with all requested information to include: 1.1 The current state of the company, its current and future viability, 1.2 The registered agent, and the valid address, telephone numbers and valid contact information, 1.3 Request for a Board meeting to be attended by the current shareholders of the Company at a location that is accessible and timely. 1.4 Identification of all Company assets including the ownership of the L-1011 aircraft as well as their flight status. 1.5 Request access to the Company financials and financial data. 1.6 Full and complete information regarding a possible merger with another Company to include share price and ratio.
We, would most of all, appreciate any substantive communication as many of us have held shares loyally for many years. Just to clarify, I can be reached at the following locations, telephone numbers and email addresses. I am available at any time from 0700 to 2300.

I agree wholeheartedly. Just because it worked in Holland with a tennis racket company doest mean it will work with US defense contracting. I can tell you from my own experience that the DoD is arcane, rigid, and does not tolerate a lot of BS. Johan and Co. should really consider making us happy so that we can support his plansfor a successful Defense contracting company. It will only help them and we would be glad to support if we were given the courtesy of a reply. I hold out hope but prepare for battle.

In order for TMPS to receive a contract award it must be compliant with the Federal Acquisition Regulations. I have not yet done the research but the difference between Head and TMPS is that they have to comply with a Byzantine set of rules and regulations, some ofwhich are designed to prevent.....ready....."fraud, waste, and abuse". I still believe that the Johans want us on their side to help build a great Company. This can be discussed in Phase 2 of the plan.

Well yes, that could happen if the shareholders ".........sat down and waited........". Thats been my point all along. Sometimes in this world one has to fight for what they have ownership in. She became very icy at the end of the conversation. I suspect nothing will become of this but this email is to verify that I contacted them and she agreed to forward my message.
