Justerx, I wasn't at the SH meeting
by then I think I had bought back in for 19K shares or so. I made $5K with a lucky 50K share buy before some phony PR that tripled the share price. At the time I posted that there were huge amounts of GFCI for sale and complained that whoever was selling wouldn't let the price run before dumping into the POP.
If you attended the meeting then you know much more than I do. I depended on the reports from BBB and others posting on RB to assess the event. BBB posted his notes here:

The root problem in the Grifco story was the flawed IPMC shell and by then it was clear that the lost box of records was a fairy tale. TreeTop seemed the only hope at the time for cleaning up Dial's mess.

took 3 days after you bought or sold GFCI stock. I think the FAX number you mention was from the FAX your statement to Dial program.
I was going to tell you that the proxy numbers issued by Dial were based on his alphabetical lists of fools and greater fools and then ask you if your proxy nimbler had a dash in it (signifying a greater fool). You sound so miserable that I won't bother teasing you like I used to with BBB and his optimistic posts. I keep hoping that your pathos masks an anti-Dial agenda of some kind!! It would be nice to see him get a little of what he dished out - like a judgment that opens him up for personal liability for example.
Do you remember who the "someone"s you keep posting about are, or why it matters now?

Justerx, cash payment possible to shareholders
as an incentive to sign a waiver for the CTBG distribution. I don't have any information or knowledge about who signed the waivers for the CTBG distribution but I've been curious about who signed these waivers and why. I think that anyone outside the scam would require cash or other incentive to sign a waiver. From the CTBG 10Q:
"Between the time Grifco distributed its shares (August 2007) until the DTCC/DTC contacted Coil Tubing (late April 2008), the DTCC/DTC contends it made various demands on Grifco for additional shares. Grifco provided the DTCC/DTC with waivers from certain shareholders, but such waivers were not sufficient to address the deficiency in its entirety."
I suspect that JD and other insiders signed waivers, if for no other reason than to string the DTC along and help cover the shortfall. J. Swinford apparently did not sign one and I would be interested in any compensation that Grifco made to "certain shareholders" to induce them to sign.

Last I heard from the CTBG 10K it was scheduled on Aug. 31:
"The Court granted Plaintiffs’ Temporary Injunction and denied DTCC/DTC's Motion to Dismiss. The Court has set the matter for trial on August 31, 2009, and the parties have tentatively agreed to attempt to resolve the matter with the assistance of a mediator. It remains premature to speculate regarding the final outcome of the litigation."
Cyo, I an thinking that J. Dial has pissed a lot of people off and might, at the least, be barred from acting as an officer in a public company as this unfolds.

No mention of Grifco and the failed merger. They plan to start "My Lord's Network". From their 10K:

according to the merger PR of July 1:

In Dec. '08 the corporation changed it's name from Everock, Inc to Natures Peak, long before this PR. My assumption is that the stock nane and symbol will also be changed. EVRN is what's reading now and is shown with 305 million OS and a float of 83,087 on pink sheets as of 1/14/09. That's old news, did I miss a recent RS?

In September of 2006 Lyamec released this PR in support of the SH meeting - the one with the body guards where CEO Dial did not speak to the group.
"The Lyamec Corporation announced that its representatives would be attending the shareholders meeting in Las Vegas on October 17, 2006. The representatives will make their presentation as well as answer questions on issues regarding the ongoing Global Oil Tools Libya facility project.

As I recall nobody could get a straight answer out of Lyamec about the construction status in Libya. They were in - was Dial stringing them along with a listing promise? Heck, he strung the DTC along for a year with the CTBG distribution.

and now their fraud and swindles are being dragged out into the public eye. Lyamec saved Global from these con artists - I always wondered about he public animosity between Dial and Lyamec. J. Swinford and Edwin Leonard weren't so lucky. Given the deceptions pulled off for so long, what chance did our shareholder's group who met with Dial ever have?
So Jarvis got the confiscated cash and toys back for now. It definately isn't over IMO. The law has all the time in the world - I just hope they have the resources to keep the case alive.:

What good to complain?
PL is taking the company in a new direction and SDGL is a speculation on the success or failure of the new plan IMO. PL and his family owns about 1/2 of the shares and I expect that he will guard his interest. The VMC dividend ploy seems designed to deter a stampede for the exit. At this point there's not much activity in the stock and it will be interesting to see whether the "E" makes any difference next week.

The SEC will take calls from the DTC
and I'll bet they have a lot higher priority than anything from the public. You gotta wonder why the DTC is abusing the public instead of calling the cops....
Grifco seems to have botched their "good faith" distribution of CTBG shares but the DTC chases Coil Tubing, not Grifco, for shares. My guess is that JD did mess this up - possibly to harm others (besides the small time shareholders) who were involved with Grifco.
Hedge funds RR & FFC3 APS were stuck with millions of unregistered shares of GFCI while the price was falling. Did they find a way to sell covered calls on those shares? IMO this would lead to millions of extra shares in the market. Technically it's not a naked short position since the options would be covered when the restricted shares became free trading.
JD was not on good terms with Lyamec and RR. Both had millions of shares to hedge.

The deal for 5 leases (+ 5 additional options) was made last year but the "financial facility" which allows direct participation in the wells and the first income from the wells are in Q1 2008. Do you think that Victory will report the source and cost of the leases so we can resolve some FTXN/UERI issues?
BTW, I can't understand why Bert P would deal with JD to fund the FTXN wells if there's an SEC investigation of FTXN/Grifco underway. Would his income be secure since his interest to the wells has been assigned?

Grifco could distribute FTXN shares to Grifco shareholders as part of a winding down operation & pay the tax if required I don't know the law. As to why JD might do this, IMO If JD ever wants to make money running a public company then he has to straighten out the Grifco/1st Texas mess. An SEC investigation could result in JD being banned from becoming an officer in any public company. Grumpy Grifco shareholders would post to the message boards for any new venture he started in any case. Just think, they could use Dr. Bill's posts as basher templates LOL.

and the reported lack of office computers at Grifco headquarters I don't doubt your statement. Has the SEC or the State of Texas published anything other than the Usleton investigation that mentions Grifco?
I can't find any recent information of any kind online about Grifco at all. Most assets are separated and the franchise tax to Texas is not paid so it's hard to figure out whether Grifco still exists in any meaningful sense.

BBB, IMO J. Dial/Grifco got the shaft
in the purchase of IPMC Holdings Corp. as the shell to launch Coil Tubing Technology. As I see it, Grifco couldn't register GFCI shares in the deal with Robinson Reed, or spin off CTT properly due to the defective IPMC shell. According to Jim Dial's statement in Grifco's reply to the RR suit (from Trinityz1, near the bottom):

is investigating the Usletons stock swindle and not investigating Grifco directly. If anyone can confirm an SEC investigation of Grifco then that could explain the lack of PR for Grifco & 1st Texas. As I understand it, 1st Texas could make public statements about ordinary business operations even with an SEC investigation underway - but would need to disclose the material fact of the investigation if FTXN is still tied to Grifco and FTXN issues any PR at all. I'm not too sure about this though, I'm not a lawyer.
BBB thinks JD's silence is due to the Robinson Reed judgment. I can understand why JD couldn't say anything about his pinks and their assets/income until the judgment is settled. This guess would also explain why Lyamec is still holding cash from the sale of Global in trust as has been reported by Strongus.

Maybe there will be new interest in the stock now that it's off the pinks. NZYM always filed SEC reports but went straight to the pinks for some reason after falling off NASDAQ. Price was stalled at 90¢ to $1.05 but that may change on the move to the OTC/BB.

NZYM was always a reporting company but for some reason they went to the pinks after falling off NASDAQ. They were not making a profit 'till recently & trade at ~95¢ on low volume. New CEO is presenting at Red Chip (kiss of death?), no placements to weasels or dilution problems that I'm aware of - just not much profit. I'm in it for a possible buy out someday way down the road.

Seems to be resistance at that price, up 20¢ in a month (slow and steady). New management is promoting the stock (former management did NOT). Since NZYM.PK files SEC reports (how bizarre is that?), the FY 2007 10K should show whether the positive turn around continues. FY ended March 31.
Looking for a buy out or for the net profit to show improvement. Not your typical pink - low volume, SEC reports available, no private placements, and little hype.

Strongus, the time line for the merger
with TTII was proposed last year and I think some of the rollup was planned for this quarter. So far there's been NO accomplishment for Grifco, just more "forward looking" plans and new gas wells for UERI. I agree that IF Grifco can get something positive completed we could see more interest in the stock.
I think that the pending RR law suit would probably complicate any spin-off, merger, or dividend process. Seems to me that JD is giving himself several options depending on how the settlement goes.
