I know, I was there on the day it opened. I have followed every move since. There was still hope in 2003-05, but then they diluted it 269M shares, and those were kept by Mr. Egan.
From Form 10-K For the fiscal year ended December 31, 2016: We had approximately 564 holders of record of Common Stock as of March 6, 2017.
I'm still looking for the 99 million shares that are unaccounted for in the float. This thing trades tight as a drum.
Even if the MMs escrowed 20M on Dec 21, we still have 79 million missing. I did find another possible 13M, but I can't prove it's still held, and would still only cut it to 66M!
Somebody has a bunch of shares who doesn't have to disclose, and it would obviously have to be more than one party. We know the sellers kept 22,060,000.
Looks like money rotated out of TELL & NEXT today, and into TGLO.
It was a real fight to get shares today of any quantity. I had no choice but to take out three MMs at once just to get 15k in the last 30 minutes.

Right, $25k was probably the legal fees to do the deal. My point is that it technically isn't "clean" or it wouldn't be a disclaimer in the filings.

I understand, but it doesn't mean they can't sue, and that the company bringing a suit wouldn't try to suggest other damages (as in business failure as a result of not being paid).
Like I said earlier, hopefully, it's not material. If I were Delfin, I would have had TGLO owners assume any liability for the former unpaid payables.
But, yes, they all have attorneys, and you have to think this has to have been covered.

During the fourth quarter of 2014, the Company derecognized approximately $84,000 of old accrued expenses related to its former Tralliance business (including $33,000 of disputed liabilities) based upon the belief that the statute of limitations applicable to enforcement of such liabilities had lapsed. During the fourth quarter of 2013, the Company derecognized approximately $296,000 of old liabilities of its former Tralliance business, including approximately $170,000 of disputed accounts payable owed to 2 former vendors and accrued expenses totaling approximately $126,000, based upon the belief that the statute of limitations applicable to enforcement of such liabilities had lapsed. As more fully described in Note 3, “Discontinued Operations,” the Company derecognized approximately $1,354,000 of old liabilities of its former VoIP telephony service business, including approximately $1,000,000 of disputed liabilities, during the fourth quarter of 2012 based upon our belief that the statute of limitations applicable to enforcement of such liabilities has lapsed. There can be no assurance that the holders of derecognized account payables will agree with our application of statutes of limitation to time bar claims related to such payables nor seek to assert a basis to toll or suspend the running of the otherwise applicable statutes of limitation.
I get that, I'm talking about unpaid vendors. I'm not sure about statutes here.
I think those credits are worth less now with Trump plan, than they were previously. I get cash value of 21% of $166M if they are useable (and, I hope they are!). I see max of less than .08 per share for the credits if my math is correct.

Agree, SEC reporting is up to-date. Not sure I agree with "clean" (but want to think it is) it does have some disputed payables in the filings. Not sure they're material to the deal, however.
Ok folks, I'm bullish on this thing, as an original investor in the IPO way back in the day at $97 pre-split (long story, kept on-hold by broker and couldn't get out of open-order), Bear-Stearns ripped us all (was priced at $9, I think!). I lost about $30k that day, and I traded my way back to neutral, but it took a ton of time. I bought in again in 2005 with the whole .Travel thing, and have held since. I remember the filing comments or an article about the shell concept by Egan, and thought, that will be my way back to sanity! (Yes, the IPO shares I sold the same day.)
Be careful that the MMs don't open this thing at $2.50 tomorrow, and then tank it to .53, or lower! I'm recently long at .0535 (not counting the 2005 shares) with purchases from .0193 to .085 and 5 minutes before close Friday for 3500 at around .0477). I like the story but there are risks. Personally, I think both the former owners of TGLO, and the buyers have created the perfect storm. The MMs have control right now. Depending on the news penetration, we could be looking at what is essentially opening day tomorrow. Watch-out!
If I were Delfin, this is the deal I would do, lowest costs and barrier to entry, and far less management time consumed in trying to go public by yourself. I've looked at shells and IPOs for myself, I get the drill. Surely, Egan interviewed lots of ideas over the years. I'm guessing he had to like this one to let go for $25k.
I don't know why Delfin wouldn't do a reverse merger, but there is still a chance they might not. Be careful, and don't invest anything you can't afford to lose. The worst thing that happens to TGLO is that it has brought attention the shell. I'm guessing Delfin is happy with their $25k investment, which now looks like $17M plus!
In the end, you need to decide what is suitable for you, and in your best interest.

Remember to adjust the float upward for Egan's shares, but I'd probably still consider those "locked."
