The beauty of his statements is that he is vague. If you take that with a timeline, that is your issue. He never said "By Wednesday" but rather the infamous "Soon".

Yes, this did happen. I received confirmation last night (sorry BB... it was not immediately disclosed to your liking!).
Though it did happen, the issue took place close to the opening of the restaurant, and is not the reason for the current close. This is evident with Dee closing the restaurant shortly after opening while mentioning the heating issue. The following was posted on IG Nov 23.

ANNOUNCEMENT
No sooner did we open our doors for dinner last night than our plans have to change!
Due to a heating systems issue the restaurant is now closed until this is fixed. In the meantime, we are able to continue with our catering orders with no interruption this service.
We are working fast to resolve and anticipate it won’t be long. Keep watching here for further updates and we will let everyone know when we are back up and running!

The only complications involve things you are putting forward. No one said anything about rent evictions or health violations.
Any health violation is public information, so you would be able to find that online. Go for it. Search deep, you won't find it.
But it's actually closed, so it's not suspicious. What I told you was factual. You just confirmed the restaurant was closed.

If it closed, that is poor management from CZNI.
I understand your defense of CZNI, however, either this was a poor acquisition choice from CZNI, or CZNI did not manage the situation properly in order to avoid this type of situation.
Why bother buy up a company and let it run to the ground when the parent company is just getting started. A sound acquisition in a start up period would be something that can hold its own while providing a revenue stream.
The way it sounded was that things that were promised with the acquisition were not implemented properly. As such, operations had to shut down. Dee is not calling the shots in that area. If through the acquisition, it was established that CZNI would infuse X amount to the company or assist with X in the launch of the restaurant, and then retreats from that agreement after it is signed, it would not be RFC's fault if things went south.
Anyhow, as I have stated before, we do not know the situation they are in. Let them figure it out, and instead of criticizing Dee or the restaurant, when there is still a possibility that it could reopen, let's not tarnish the image of the brand based on speculation.

Reorganization would have had the staff on board for change. This was not the case. I believe they were locked out on a day they were expecting to come to work. For a reorganization, you do not just lock out your team with no notice.
I think taking a step back is probably best. We do not know what the situation is here. All I know is that the restaurant is currently closed, the staff not working, and suppliers have yet to be paid. This was disclosed to me through an unofficial channel, but a channel that was linked to the restaurant directly.
Take it for what it is. Everything else is speculation, so there is no need to criticize the team members for "not turning a profit to stay open". There are probably other factors at play here, and your guess is as good as mine. To be immediately dismissive is silly. Let's wait and see how this plays out. Both yours and my opinions on what is happening has little effect on anything. The more we talk about it without news from Everett, the more of the limited posts I am wasting on this matter.

Yeah. It doesn't make too much sense, however, if you consider the distribution connections that Everett's new company has, then I see the value.

I get what you are saying, however, like any new acquisition, it takes money to make money. Take into consideration when they were open, they were only doing a lunch service. Then the furnace broke. They had to pay vendors to actually supply the food that they were about to cook and sell. Where do you think that money comes from?
I am fairly confident that Dee probably went into this with some cash in had to start, but if it was Everett that was supposed to continue bankrolling the beginnings, and it never came through, Dee would have no other option but to shut down.
Dee is also getting paid through Everett, so it's in her best interest to get this up and running again.
I don't know what else to say. We will see what pans out with the next batch of information.

Anyhow. Keep in mind that RFC was not in business fully until the partnership happened. I think what is happening has nothing to do with Dee, but rather Everett not following through on payments that were supposed to be made.
Things to consider - The RS was suppsosed to be made earlier than when it did. The $3M payment may have not occurred yet, and maybe funds were tied up a little longer than what was supposed to happen. Everything is still live online in regards to RFC as you can see. There is a chance to salvage this IF the proper payments are made to the right people on time.
I think Dee shut down operations as she was going into the hole every day she was open, and halted service until everything is in place.
I cannot see this being beneficial to the company if right off the bat, Everett pisses off his partners by not following through.
Again, all in my own opinion.
I don't think we can just waive off this situation as a "we are better off now" since you were all on the Dee train when this acquisition occurred.
Final statement on the matter - Everett needs to speak up ASAP if he wants to salvage this. Stop playing games with silly tweets that have no follow up. Use that Blog that you created for its intended purpose, and provide an update more frequently than every 4 months.

Regardless. Here's the scoop. I cannot disclose the screen grabs, as the individual who is providing it does not want to be involved. I have to respect that. We all should. But they are legitimate. Please do not come at me for this. It's about respect for providing information.
What I was just told without showing the screen grabs, however, is that they did not conduct the New Year Eve Party. They were closed before that. December 30th to be precise.
The Messages that were posted from the review online stating that people have not been paid are true. Suppliers are also waiting to be paid apparently.

When I sent it does not matter BB. At least I sent it. Why didn't Everette make an announcement that the restaurant closed up? That's what you should be asking. It is not my responsibility to only release things that I have found at a certain PPS. Maybe they sent it at 11 PM the day prior, and I sent it over the following afternoon. There is no conspiracy here bud. Get over it.
I just told you that they apparently closed in December. Why did it take this long for everyone to find that out? Clearly Everette isn't being fully transparent, which sucks to know as a shareholder.
I too, would like the PPS to increase. We are all here for the same reason BB. But I also believe in transparency. I just relayed information that was presented to me.
I'm sure the PPS will go up again at some point.

Who cares if the rate was at .008 or not? It does not mean news cannot come out nor does it mean the PPS can't go down. Its called due diligence. I have shares in this company, and I did my own investigation into the restaurant, given that I live in the same city.
I did not have to let you know the place closed down. If you do not want to believe it, so be it. Its a fact. It has been confirmed via the restaurant's own social media account manager. And before you say "That could be anyone", lets be real. If you can accept a tweet from ED saying "news is coming", you can believe a message from RFC stating they are closed.
I didn't do anything everyone else can't do themselves. So before you come at me for "manipulating" on a PPS of .008, do some DD yourself and get the answers. It took all of 5 minutes for me and a wait for a response.

I heard from an employee there that they shut down because Dee was not getting the financial support she was supposed to from the investors.
Apparently they weren't getting paid. I imagine "the Investors" would be Cruzani.
Not sure if this is in regards to the financing they were securing. Maybe the payments were late? Who knows.

Well, when your only restaurant closes after three months, that's not really positive news.
Ironic that his message comes right as we actually find out something about the company that was not released yet.

Regardless, we came into the game early with Dee establishing the restaurant prior to our acquisition. I can't see her putting all the effort into building the restaurant, and then close it down to start something else.
I've reached out to Dee to see if there is an explanation, however, I think it's realistic to not hear back from her.
I've tried to connect with some others as well to see if we can get some more info, and will relay this once confirmed.
In the meantime, I'll check out the restaurant this weekend and see if there is a notice on the door and see what's happening inside.
