It's 2B VOTING rights not saleable shares. The preferreds were a way NOT to dilute the common stock.
One does realize that the Preferreds with 100x voting rights was the way this was sold without diluting the commons. Less than a year ago it was a Lazar shell rehabilitation. Lazar cleaned it up and sold the controlling interest via the preferred shares to the new people. Why is this an issue now? It's the way all of the Lazar, et al, plays and most SPACs are done.

I was up in Traverse City, MI earlier this summer and bought 2 lbs of dried dark tart cherries. Still munching those; about a 1/4 cup a day. Nice snack. Also bought 2 lbs of dark chocolate covered cherries. Those didn't last as long. ;)

Horst, Some people have to learn the hard way. I include myself in that (sometimes). I look back at all of the people telling me to exit XMET and QUTR when we had a chance. ...
OTOH, if I'd listened to some in early November, I would have exited XMET at 0.0012 instead of $0.001. On the other, other hand, if I'd listened in Feb instead of getting greedy, I would have exited at 0.015 instead of 0.0066 after getting my shares frozen and unable to trade.
You are correct, the key is rational, unemotional due diligence.
Do you use that same logic on those promoting PFWIQ? Horst has been down this path a couple of times and simply trying to the relieve others of the pain he (and I) have experienced.
At that price I could buy back the shares I just sold using just my profit and have money left over. Hmm, if it falls that low, I may buy a lottery ticket. Maybe the creditors will come to their senses.

State bankruptcies dismissed two years ago. You won't see them in the Nevada site because they weren't filed in NV. IIRC, they were filed in AZ, MA and one other. Search this forum for the discussion.
All 3 bankruptcies were dismissed. A creditor filed a claim when Lazar became custodian. Looks like that claim has now been resolved.

Depending on what the part/assembly is the US has very strong export/import laws when it comes to aerospace. If it's not an off-the-shelf item, it isn't going to be made in Korea.
Why do businesses farm out such things as janitorial and accounting services? Isn't it always cheaper to just hire one's own employees? No, actually it isn't. Sometimes a task requires non-core competantcy knowledge or the business doesn't have enough of that work to justify hiring. Owning a building is very similar. There is a lot of time and expense in owning a building. A lot of times, it's cheaper and a lot less headache (i.e. management's time, which is an expense) to lease because property management companies specialize in these services and generate economies of scale.

The lawsuit payout wasn't in the 10-K but was released before. Can't remember if it was last year's 10-K or something else. It was discussed here.
Why is their GMER stock not included in the assets? They own roughly $14M shares. The closing price on Dec 31 was $0.0398. That's a $550,000 asset? As a HOLDING company, I would think their stock holdings would be consideration deserving more than a footnote. I'm not a corporate accountant so is there a rule about stock holdings that covers this?
It records payments totalling $661,844 from a lawsuit. Those payments will continue for another 2 years I believe.
Is this a cash dividend or a stock dividend? If it is a cash dividend, where is Houmu getting $0.07*90,000,000=$6,300,000 in CASH to pay that dividend? And, far more important, why in the world would a brand-new company give away $6.3M right out of the gate? What do you think they are paying you for? Can't be earnings because they don't have any. If you think they are just giving you millions of dollars because they are nice guys well, then ...
I think the low RS ratio is due to the number of shares actually in the market. By our previous calculations, there are about 780M shares in the market. Using a 100:1 ratio would bring this down to 7.8M shares. That's a fairly low number. Using a 1000:1 ratio would be 780,000 shares. That would be a VERY tight float. Yes, the new owner will issue more shares but in the meantime, it would create a wildly swinging PPS. That would NOT be good for the buying company.
Why in the world would someone buy a Lazar shell to take it dark? That makes absolutely no sense. Let me rephrase, why would someone PAY $250,000 to $500,000 for a current, listed company only to take it dark and delist it? It's not like creating a non-listed company is hard or difficult to do in the US. Usually takes about a month and about $75.

"Why Not?" Because it would violate NV state law. Splits can not happen while in a Custodianship. As to Lazar's sale of the company. We buy and sell the stock all day long. That's what he did. Since the amount of shares was enough for control, obviously control then had to transfer to the person with the controlling shares.
