Linedrive...first let me say thank you for the suggestion. I can not PM, so wanted to publicly thank you. I will look into it further. Again, thank you.
Now, I apologize if this has already been discussed, but what does the meaning of ALL MATURE notes having a zero balance? Does this still mean that the notes that mature in March will come due or have they taken care of these as well? I am not trying to bring any negativity to this board today, just trying to get an understanding of the future debt that may/may not come due. Either way, today's news was nothing short of perfect. This stock is going to do very well in 2015 and beyond and reward ALL investors in time.
GLTA
Thanks Ryan and cheers to you as well! It isn't easy to stay positive at all times, yet you seem to do it (at least show it on this board.) Any dips I will be a buyer
I am currently taking Allopurinolhad taken colchicine (sp) and that one they advertise on tv all the time. Nothing works...Iv'e changed the diet and still nothing. It is hereditary and every man in my family deals with it. Unfortunately my body just produces too much uric acid. I am getting it under control with diet and meds, I just have those days. Glad to heat you have gotten yours taken care of!
I will be interested to see how todays gains hold up. I am sure some flippers got in and will get out, but a lot of longs had to take advantage of that letter this am. This should be a very fun 2015 for MINE
I gotta say, I woke up this morning sick dealing with gout. I am 35 and have been dealing with the arthritis for 5 yrs now and it is horrible. Anyways, I wake up and read that letter and thought oh boy here we go. I was excited for the company before, but cautiously optimistic. However, after reading those words, I am all in. This is a HUGE commitment from Vanis and the team!
I have read that letter from Vanis more then I care to share hoping that he is telling the truth and not because he needs to say that to keep loyal shareholders who were getting ready to jump. See, he also said the same thing about the original increase to 3.5 billion A/S. Why do you think he wanted a majority vote over ALL Loyal Shareholders. He would have gotten his first increase, but would he get another? I trust Ezra, I don't yet trust Vanis. Time will tell, but just because he said it should suffice does not mean it will.
GLTY Coachshot
This is correct. It is very thin until we see another AS increase. It is why a more traditional means of financing has to be announced or we could be in a world of trouble. Unless current sales revenues can sustain growth Q over Q we need to hear something soon.
The pps drop was expected. I think many/most longs, investors, flippers, etc knew it was coming. However it is imperative that this holds for higher lows and slowly builds off these. I said yesterday flippers still have control of this stock and they do. I doubt that 80 whatever % of the float is owned my Miners. Heck, how many here have given their share count to SS1 and then sold and not reported? I Hope we longs eventually get ahold of our company, but with 3 billion outstanding shares it is tough. Now, if more get dumped on the market it will only make it that much tougher. Need to secure more traditional financing.
I was thinking about this the other day. What ever happened to these interviews taking place? Wasn't there supposed to be follow up interviews and new interviews in different markets?
It would be huge IF TRUE. This is completely inaccurate information at this time. There has only been mention of Minerco with Vitamin Creamer being in some sort of alliance with Whitewave and/or Nestle, but never anything even close to a done deal. The lies on this board are amazing. Could there eventually be some sort of partnership...sure, but to say it so definitively at this time is complete fabrication.
Look at 12/30 post #205565 between TradingJeff and myself. That tells me the alert was posted on the board prior to 12/30...I am not going to go back further and scan posts for it, but believe me I would not have seen it anywhere else. Then, Brugee responds (post 205580) mentioning possibly being a second alert as well. This I have no idea as to what the second alert may have been, but I definitely was alerted of the first one on this board. I even mentioned how this needed to hold gains because of the alert and so far it has not. Now, it has time but it appears to me this is still in complete control of the Flippers. this can be attributed to the fact that if/when the float gets anywhere close to being "locked up" we get dilution (good or bad I will not be the judge.) Now, you add all that up with the fact that we know more toxic notes are coming due in March and this stock is going to be a rollercoaster for many many more months. It would be nice to begin organic growth of the pps, but we are not there yet.
GLTY from a blind or Delusional (or both?) Man.
I am not going to skim back through all the post from the past 2 weeks, but it was on this board. It is how I found out about it.
The "Nascar Sponsorship" is ridiculous. He is so far from the NASCAR circuit it would be damn near impossible for him to make that jump in a single year. I guess for a forward looking event this could be a play, but not anything near January 31st...especially since I do not think NASCAR even starts till late 1st Q(?).
Buyback...I hope to god they do not buy shares back in the next few Quarters unless in the very best interest of the company. We need revenue and profit to pay down debt and for operations. I don't know if/when a share buyback would occur, but if it does in Q2 or Q3 I hope it is in the best decision of the company and not the pps.
I like the rest of the list and look forward to some/all the remaining items to be addressed this Q.
Thanks Monkey and GLTY
Sunny and 75 here in Overland Park. Well, not really, but it is a lot nicer than -6. Probably in the teens low 20's. Get us thru the $.0048's and lets see it warm up!
I believe the mention of Nestle by Vanis was from the conference call. Maybe wrong, but he mentions being in negotiations with a company/brand that was also being pursued by Nestle and Dean Foods maybe? It was shortly after he said this that Minerco bought the rights to vitamin creamer which is where you can put two and two together and make a pretty nice assumption. Hell, I have read so many documents I don't know where, what, who said anything anymore, but I bet if you or whoever needs the info, could read the conference call transcript and then check the date of the Vitamin creamer purchase directly after and get all the info they need.
By the way...I thought the girl in the Miss Claus outfit was the best...this one may have topped it.
I hope that they are longs picking up these shares and not just traders from the "alert" the other day. I don't remember who alerted the buy on Minerco, but I did see it posted here as well. Either way, this is awesome that we broke through the 50 MA. Lets see this thing hold some gains now and turn this over to the company to grow the pps and the empire.
90 West you bring the same concerns that I do and I appreciate that someone else looks at the company as a whole instead of speculation and only the positive sides of a 10Q. I know some will get on you bashing the stock, but as a Long, I appreciate knowledge, questions, insight, etc from both sides of the aisle.
I am not positive how the avanzar deal works. I have even reached out to Minerco to answer this question as I believe others have as well. Obviously no response from the greatest management team in the OTC. Yes, 100% of Avanzar revenue is on the Minerco books (according to Vanis,) but what % do they actually receive? I guess I should have stayed awake in my accounting classes throughout business school so I could decipher this information better.
GLTY on finding an answer.
The guy is a local racer bringing exposure to the market in (hopefully) an inexpensive manner for Minerco. The same goes for Muscle Cali...I personally had never heard of him. When you start to look into him, again you see a local presence. This is perfect from my standpoint...why get someone everyone has heard of when product is only available to certain regions/areas? This is why whoever brings up the celebrity endorser are just trying to find reasons to bash. It would make zero sense at this point. Now, if Cali Muscle or Crye somehow make it "big time" then that is perfect for MINE. I would not count on Crye making it to Nascar though, but you never know.
I will answer on how it will directly affect PPS. IF someone was identified as a "paid promoter" it would quickly raise a red flag as to the validity of the company, thus many shareholders may sell, it would probably keep new money out, etc. Paid promoters are associated with SCAM companies. If the company was not a scam then why would you need a promoter? Do your job running a company and the rest will take care of itself.
Now...someone will say something about needing to get the word out about the company to bring in investors or all these facts are now presented so we know what the company is about. "paid Promoter" is now just posting factual information along with some highly speculative "pump" info. This is what all should fear....they get the first wave of investors in, fill them full of positive news, get them to invest, have those pay off their toxic debt while converting their shares to preferred shares and then boom...an a/s is announced...wash, rinse, repeat. Sure the company is accomplishing their goals during this time, but at our expense. The only way anyone could make money is being in the last wave of shareholders after the A/S or continue to buy with your hard earned money. It happens all the time in OTC land and to 100% believe MINE is not capable of this could be a grave mistake. you have to always hope for the best, but must fear the worst.
Absolutely agree KU, which is why I have a lot of shares currently that I have accumulated over the past 18 months. If any of this was to come to fruition then that is great for us. As you stated there are many good and some possibly bad items that will be addressed in time. IMO I can handle the short term spikes, dips, and any other movement in the market with my current shares and be happy/content with the movement. I will not sell any shares and probably won't be buying anymore until I see more info on the future financing side. That is just my own decision and I am sure others have reason to buy or not as well. Another great post by the way and I thank you. GLTY
DING DING DING DING....might be the most logical post ever written on the board.
Very good post. I am guilty of forgetting we are a startup company only 100 days into selling product. Probably because I have been in the stock for so much longer.
As for the buying of shares. You are correct again with your math. However, not buying now vs buying later does not mean anyone has missed the boat. I have money on the sidelines ready to buy more if I see internal improvements that would warrant me to buy more. Now, even if these factors keeping me from buying are eased, but support still won't hold the stock I am not going to buy. See, I would rather buy at $.006 with support and breaking resistance then buying on double bottom's. With that said, support has started to hold here for a while. If we can continue with this floor and start to break through resistance a buying opportunity for myself may present itself. I will determine for a flip or investment at that time.
Thank you for the positivity you bring to the board.
You can continue to call me "short-sided" and any other name you would like. When debating this shows signs of true weakness.
Now...you still have not answered the question at hand. Again, I don't expect you to because I can see through the BS.
To answer your questions:
Avanzar - IMO it appears to be a great move. for the record, I have never ONCE said it was a bad move.
VF Expansion: Expansion of course is a good idea. "road to get it done." I am not sure...if that road is at the continued expense of the shareholder then NO. If that road is through traditional financing, then yes. This is why I have stated I would not IMO buy another share of MINE until we have an understanding of future debt financing.
Vitamin Creamer to partner: Wait...is this fact or speculation? You just got done drilling me because I supposedly never back up statements with some sort of facts. Where is the release stating this? For the record and IMO I believe this will eventually happen.
Again...tip toe around the question.
As for my own advice. What have I said as fact that had no data to back it up?
You want me to back up the debt concern I have?
Directly from 10Q:
Future Financings
Our financial statements for the three months ended October 31, 2014 have been prepared on a going concern basis and contain an additional explanatory paragraph in Note 2 which identifies issues that raise substantial doubt about our ability to continue as a going concern. Our financial statements do not include any minimal adjustments that might result from the outcome of this uncertainty.
As of October 31, 2014, we have generated $503,427 of revenues for the three months ended October 31, 2014, have achieved losses since inception, and rely upon the sale of our securities to fund our operations. We may not generate any revenues from our interest in the Chiligatoro Hydro-Electric Project, Iscan Hydro-Electric Project or Sayab Wind Project, or from any of the hydro-electric projects in which we acquire an interest. As a new competitor in the beverage line of business, there can be no assurance we will generate any significant revenue from the sale of any such products and our future cash needs vary from those estimated. Accordingly, we are dependent upon obtaining outside financing to carry out our operations and pursue any acquisition and exploration activities. In addition, we require funds to meet our current operating needs and to repay certain demand note obligations and other convertible debt obligations that will mature shortly.
We had $58,330 in cash as of October 31, 2014. We intend to raise the balance of our cash requirements for the next 12 months from revenues received from Level 5, private placements, shareholder loans or possibly a registered public offering (either self-underwritten or through a broker-dealer). If we are unsuccessful in raising enough money through such efforts, we may review other financing possibilities such as bank loans. At this time we have a two million dollar line of credit with Post Oak, LLC which has an outstanding balance of $1,350,000 as of October 31, 2014, but there is no guarantee that any additional financing will be available to us or if available, on terms that will be acceptable to us. We intend to negotiate with our management and any consultants we may hire to pay parts of their salaries and fees with stock and stock options instead of cash. If we are unable to obtain the necessary additional financing, then we plan to reduce the amounts spent on our acquisition and development activities and our general and administrative expenses so as not to exceed the amount of capital resources that are available to us. Specifically, we anticipate deferring development, expansion and certain acquisitions pending the receipt of additional financing. Still, if we do not secure additional financing, our current cash reserves and working capital will be not be sufficient to enable us to sustain our operations for the next 12 months unless revenue increases dramatically, even if the Company does decide to scale back its operations.
You got me...I actually have 15 minutes to "edit" a response. I typed that out and ran across the street to Starbucks. When I got back I read it and noticed how I got them flipped around yet had no time to edit. No biggie, as most "smart" investors can decipher the post and understand what was meant. Anyways....good luck
Do you deny what he is saying SS1?
Do you not think people would question you? You have "met" the leaders of Minerco, you are all over the two message boards that Vanis happens to be a member of the sitting board, You are trying to keep track of a detailed spreadsheet of all account holders, etc, etc. I mean there is smoke here, these are all FACTS as you have told me yourself, So to question it is logical...no?
You all get pissed off at bashers...bashers are the ONLY people here that have been correct for the past 8 months.
BUY BUY BUY...that is what we here from the pumpers. This is our month. Tell me one...ONE thing that a pumper has predicted correctly so far?
People need to quit relying on these message board fortune tellers and do their own DD. There is way too much debt here for any new investor to get too involved. Big money will sit on the sidelines for a very long time.
GLTA
I am with you on the long term play, but this notion that Vanis is some kind of genius is not "clicking" with me. I am on board completely with Ezra, but Vanis I am skeptical a bit on. Maybe it is just me, but I just don't feel completely confident in him at this point. I am sure I will get there, but what has Ezra accomplished again? How long has he been the leader of Minerco and how has Minerco done under his watch?
As for the comment on the plan about spending. I would think that you are right, however to this point that has not been the case. Yes, they have a plan and are sticking with it. However, they have been spending a lot more money then rev's would allow. Not a huge issue right now as this is a "startup." However, they already have a plan in place to spend another $26 million over the next two years. That either means they are expecting exponential growth (which they have stated) or they are running the ship into the ground. I will go with the first which again is why I am invested here.
Now, what scares me and should scare all shareholders. Debt financing. This was not addressed at all yesterday. Does this not alarm anyone else? We are losing money and have $650K of the LOC left and nobody wants to talk about this. Minerco only has how many more shares to dilute on us for assets before they have to increase A/S? I know Ezra has stated that the current SS should suffice....SHOULD. We need to see a plan for debt financing that is not at the hands of the shareholders.
Everyone wants to act like everything is great with this company. It isn't...a shareholder letter was great info, but it was almost all speculative.
I will continue to hold the shares I have and sit the remaining cash on the sidelines until we get out of a "pure" speculative play.
GLTY
I see one good thing on the 10Q and that is revenue. Everything else looks horrible. I do not know how they plan to continue operating, but it will be interesting to watch. They plan on spending $26 million over the next few years and only have $650K LOC left. Holy god, I hope sales continue to multiply because there is zero possibility us shareholders don't have to bail them out again without a higher LOC which did not sound to promising.
No doubt, but when is the last time we have heard anything with re: to Vitamin Creamer? Actually when is the last time we heard anything re: any products other then VF? I think it has been apparent from what the company has said that they are focusing on saturating the current markets with VF and other products will follow. Now, they could be working behind the scenes on the creamer and I hope they are cause I like that market, but I just don't get that sense. Hope I am completely wrong as you stated it would be a "huge" boost to the company and us shareholders.
We have such great products in the pipeline with creamer, thc, CB, etc...I hope we find a lot more out about these in the coming months.
GLTY
The Nestle bottle and Minerco bottle is very old news. This is nothing new as some would like people to believe. Earlier this summer someone brought to twitter and possibly here the same pics.
I hope the nestle deal comes to fruition as they did state Nestle by name in the conference call. However, we have not heard anything on this front in months. Could it happen...anything is possible. Will it happen...probability is more then likely against us Miner's.
10q comes out Monday and already we have the bashers back. I love this...this tells me the competition is very scared. Asher and a few others (well known) obviously have an agenda when it comes to MINE IMO and would not put it past them to be working for the competition as a paid basher. Of course all this IMO.
Now, will the 10Q look good? From someone looking to bash, there will be many items I would bet they can take shots at and that is fair. However, when viewing the 10Q people must have expectations that are realistic. Compare it to the last and see how MINE has progressed or regressed in your eyes. There will be many positives to take as well. Honestly, I am looking for ward to it, but really can't wait for all the investor commentary that should accompany it from our CEO.
GLTA
Thanks Ryan. I remember Vanis stating 22K cases in which I was speculative of only because I knew they sponsored a few events (Justice Jog, Maxim Party, Golf Tourney, etc.) I figured they probably "gave away" some of this inventory for free along with the samplings in store, but he did say 22K WAS SOLD, so I felt better about that # being factual. The next 10Q will be great to see some revenue along with reduction of Debt, but I am more excited for the following 10Q. I believe these bottles will slowly begin to fly off shelves thus leading to us not only adding new stores, but increasing sales to those existing stores. I have no doubt we can get it on shelves, but we need consumers to buy the product leading Avanzar and Drink King to more sales.
GLTY
Great post King. I do have one question though. Do we know for sure how sales have been going once on shelves? I understand people on twitter "claiming" they are selling well, but do we have any serious info to back this claim? Not being negative, I don't doubt it is selling well, but I didn't know if anyone has talked to managers at stores, if there was some correspondence from Vanis or Minerco stating such, etc. I take damn near everything I hear from a message board and other social site as complete BS unless facts gathered and presented. Didn't know if you had any first hand knowledge I was not aware of.
GLTY
I understand what you are saying and what the
law" states, but there is absolutely zero evidence of misleading or a "promise." He says there is no plans...plans can change as they have.
Either way, time is near for us to find out the answer. Not much more they have to dilute before another A/S increase, r/s, or we actually get some confirmation of a financing plan.
GLTA
So because he stated he had no plans of a r/s it can't/won't happen? He never said definitively in any filing that a r/s would not happen that I remember. I absolutely could be wrong, but again, I don't remember.
As for Vanis and his "word." Is everyone forgetting how he had no plans for dilution when he raised the A/S by a billion? I know, I know...a great opportunity came up to buy avanzar. I get that toxic debt had to be taken care of, but what else? Why all the extra dumping?
Look...has Vanis and minerco not done this before? I get we are no longer an energy company and are moving forward with a different plan, but I will not put it past Vanis to r/s on us until I see a financing plan put in place. So far the only financing has been at the hands of the shareholders and a $2million loc.
Sorry if typos...I'm on my phone.
Great post though ku...lots of great info
Buy out - It would take time for this to happen. Coke, Pepsi, etc. are not going to buy us out unless we are established in more then 2 markets and show signs of growth.
Share buyback - Again, this will not happen for a very long time IMO. First they have to quit issuing more shares. Secondly they need to increase revenue and profit quarter over quarter.
The only positive I am LOOKING for right now is to establish some major line of credit to finance operations. IF this occurs AND they do not r/s or increase A/S then we can begin to look at quarterly revenues and growth of the company. Only after numerous quarters of growth do I believe we can begin to bring up buyout, share buyback.
GLTY...you have been a great poster.
My very first email to them was actually returned by the guy on twitter (sorry I can't remember his name) who is/was in some sort of social media marketing role for them. However, since that time, not 1 email returned. I have sent 3 or 4 over the past 4-6 months asking shareholder related questions. I do not think one has even been answered in his commentary to shareholders he does when he needs to drop more shares on us. GLTY
I don't doubt that it is a "real" company, but I do think that Vanis is taking advantage of his shareholders and I feel that a r/s will come. He isn't even hiding it with the fact he has dumped close to 500 million (that is half a billion or an increase of ~20%) to the OS and all we have on this board is a few people who stay positive and hope/believe he will not take advantage of them and another poster that I am not sure anyone truly knows his relationship to the company or Vanis or if he actually even owns shares that he has bought with his own money. NOBODY, not one person has come out and discussed this dump on the shareholders...nobody. What does that say about management? There are a lot of very positive things happening with this company "on paper," the problem is, we, the "true longs" may not get to share in the growth unless you continue to buy after management r/s us shareholders...the "Loyal shareholders."
I wish someone would talk to their shareholders about where another 40+ million shares went to. It is almost comical at this point what Vanis is doing and getting away with. I know I will be called a basher and not a "true long" because I continuously ask for our LEADER to actually discuss relevant matters. Oh well, it is getting down to crunch time...either he will quit diluting on "Loyal shareholders" or he will vote by himself to increase the A/S again and not a thing us longs can do about it. Ezra may be 1st class in a lot of peoples books, but Vanis is a snake IMO. Hope I am wrong and he actually shows compassion for shareholders, but I am not holding my breath.
Thank you...guess I could have done a bit more reading and realized it was old. Just saw it posted in a headline on this board as news and took it as being released today.
Absolutely spot on KUliquidGold. the only thing keeping me from buying more shares is the SS. I am worried about an increase or r/s. With only ~100 million shares to issue, I am hoping for a plan being announced that gives us shareholders an idea about financing for the future. I am hopeful that with the reduced toxic debt we now take advantage of traditional financing and no more strain on the shareholders.
This pps can trade all quarter long in this channel as far as I am concerned. I Have seen a lot of positives that will move this stock a lot higher as we begin to receive quarter over quarter of increased growth and SS stays put.
Question with the News today of the Ezra announcement to now being on the board of directors. Was this a formality or is there more substance to this then before he was announced? I was under the impression that he had a big hand in this company already. Of course making it official is always a good thing.
Thanks for any input from posters.
Great info ftfan, keep it coming. Can you shed some light on what exactly their role will be with Minerco? What I mean by that is more detailed then what is put out in the press release. Is this essentially the same as hiring a National sales rep? I understand they are looking for one....would this fill that void or would Minerco (In your opinion) still want a sales staff of their own as well. Also, how does this affect Avanzar? Will they be competing for the same accounts? I am sorry if I am off base here, but I do not understand the logistics of the food and beverage industry. Lots of moving parts.
