George, "attempt to throw a barb at those that question" quite the contrary, those that have the most questions, are the most positive and knowledgeable, need I name names, for example, whats your knowledge level? Have you talked to the company lately? Have you called and asked for anybody? ever? Investor relations...perhaps? Have we ever spoke? I understand you don't receive those emailed articles anymore...how do you know...whats really going on? How could you be knowledgeable, patient and positive with this level of information? Proper investing requires constant dd with the right questions that get the right answers.
I am not sure, how many investors know, about the time factor tendencies involved in developemental companies, for example, a technology company with a significant and ambitious business plan, from inception to cash flow positive or profitability, take's on average, according to various Venture Capital firms(no link, look it up), approximately 5 to 7 years and that is with a real financing(venture capital) and not including a merger.
So we never, had a real financing, we were a damaged pink sheet company. PJ did it all on a shoestring, if you don't know, what that is, that he's done, than your not following the real story.
The stock is very low and we are not happy with that, micro-cap stocks have not fared well over the last 9 months, especially in the techs, as investors we probably would not want, to accentuate the negative, low stock price, all towards managements inadequecies. If they were in fact truly inadequet, we all would not be here.
Its amazing, but the investors that follow the Company the closest are the most positive, Why? because they're better investors, How? they are down, yet positive and patient. Why? Good investors are "knowledgeble" investors. mariomax

I visualize, a reporting Company, with more than one major ramping up in an international worldwide market in which Apple recognizes copy-protection and is accepted by consumers. This I BELIEVE is coming and I BELIEVE it will save our stock price.

I understand that we are all under-water with our positions it is certainly not a good feeling and I am NOT happy with that. I seek to help, change/support this low stock price with the facts, attitude, responsibility and enthusiasim. Why?
1. facts
a. were the market leader and still innovating a greater product with mediamax 5.1.
b. sony/bmg is fully committed to copy-protection and mediamax.
c. secure-burn technology is being looked at by legal digital down-load entities,(IMO, far advanced compared to the competition).
d. The Record companies and Apple are in a heated positioning negotiation over copy-protection.
e. Upon a decision, we are positioned with mediamax, an ipod ready product.
f. Universal and Warner are Not publically commited to the competition and since NARM they REALLY understand the urgency of copy-protection.
g. Internationalization of mediamax is in the process of exposing our product world-wide.
h. mmxt/scmi has publically announced, innovational solutions to dvd/cd tecnology which is intended to move us in the direction of dvd's, mean-while utilizing cd's.

j. Mediamax now the number one solution for the music industry's number one cause of decreasing sales. ( IMO this is a scmi/mmxt press release that is very meaningful to the industry).

LOL, George, the fact that GE wanting to do business with us and than getting the department shut down is certainly not a good thing, however a seasoned investor understands, things change some good some bad. The fact that BMG AND SONY merged set us back 9 months, that was a change that slowed us down. The apple negotiation with the record industry has put us in a positioned wait mode. These are changes that seasoned investors like Sting understand and others that want to hold us to our word, don't understand. We are not in control of the Industry and Big Companies, we however communicated our timelines and were wrong because it was what we were told. Things change, we have to accept that as a Company, the problem is communicating what's really going on to investors, when things change, for reasons beyond our control, unseasoned investors tend to bash the Company and its consultants for the communications they received. I am sorry, it hasnt been a smooth ride but we continue to progress.

There was never any material event wth GE, nothing was said about any buy out ever by anyone, we were talking to a GE subsidiary, they flew out to see us late in 2004, they wanted to do business with us, they wanted to serialize cd's but they suddenly got theyre department shut down, cost cutting to improve earnings, the end.

I said it may take a little longer to complete and may possibly be done in early 2006 but we are progressing with the process. I have been as consistent as possible, what many posters don't seem to understand is things change everyday in the business world, for example the GE sub we were in discussions with, their department got shut down suddenly in early 2005 with very little notice. Therefore, if a communication is made, it is speculative developemental information, why communicate it? because the same investors DEMAND to know whats going on! SO YOUR DAMNED IF YOU DO AND DAMNED IF YOU DONT! I will no longer post information on this board and will not communicate any futuristic info on the phone, end of story. I will recommend strongly to management to cut down on their heavy communications style. The merger is progressing, end of comments on that. When the apple deal is complete you will know it and so will I until than...Investors want to be patient.
I have been abundantly clear and consistent regardless of communication mode. The process is progressing and we had our status report, bottom-line, is getting it done correctly and moving forward, that is whats important, it gets done when it gets done but their are no delays with the process moving forward.
This "dead money" comment is "day trader mentality" as far as I'm concerned, this is a business, it either moves forward or it doesn't, everything is moving forward and looking good in my view, maybe "dead money" is a traders term, I wouldn't know, I am a long term investor ONLY if the fundamentals advance, once that stops or is "delayed", my view would change.
I hope this brings some additional clarity to the issue.

1. I never suggested the merger was delayed.
2. We are progressing with the merger and will continue until completion.
3. The re-filing of the 10k is a smart move that will save us time with the s-4 getting turned around quicker once submitted.
4. Therefore what appears to be "DELAYED" is in fact "Not" it is simply, "preparing correctly" that will save time.
5. s-4 filings are very very complicated filings, it must be done correctly up front to cut off any possible delays in the future.
6. It is not within our complete control when this merger closes, it will require patience.
7. The silly assumption that this is "dead money" until the merger closes, doesn't make sense, it is about:
a. revenue momentum
b. market dominance
c. APPLE is HUGE for us, this is the much BIGGER issue for our growth, it will stir the entire record industry toward full ramp up's and leap us into a big business! This is where your bread is buttered!
d. If you want to follow the money "dead or alive" follow the FUNDAMENTALS! The merger has no bearing whatsoever on $$$$ coming in the door in terms of REVENUES! Please be clear on this issue.
e. By the time the merger closes and whether its December or January , we will have a much better income statement and it will be a better scenario for Wall street therefore a perfect storm will develope with the high winds being the FUNDAMENTALS!
The question at these current stock price's is the same one
buy, sell or hold?
That question is answered quite simply based on the direction of the industry and fundamentals. The next question if in doubt still, who is the market leader with the best product and are they advancing quickly staying ahead of the competition? answer: wait until you see mediamax 5.1!!!!

Randy, Santana is one of biggest and best ever and certainly my very favorite, GO Carlos!!! I am excited about the 4th quarter(exponential growth time), we are in the infancy of our over-all growth and I so look forward to continued long-term growth into a bigger 2006 and even bigger 2007, industrys and corporations have long growth cycles and there is so much to look forward to with the copy-protection industry(huge prospects).

September 30th ending third quarter numbers, need only be inclusive, in the two year consolidated audit if in fact the s4 is filed after November 15th and there is very little chance that the s4 will be filed after November 15th, it should be much prior to that date. This is a real and positive answer to your question so lets try not to spin it negatively. Remember:
Big stuff = merger completion @ 1 to 1
small stuff = splitting hair on exact dates
This needs to get done and done correctly, so the SEC approves the process! Just maybe they will turn it around closer to 30 days opposed to 90 days!

Yes, Koch has a media public relations company that represents them and they are going to do their part in winning over consumers to copy-protection, more specifically MEDIAMAX! So this seems like a pre-emptive Public Relations move on their part that began with a press release. On a smaller note scmi will probably put out their version of this already released press. Randy, Friday after-market releases in the world of the internet is for all to see(including journalist's) for days prior to the open on Monday, this can be POWERFUL. The point in which a friday release puts news to sleep was true in the pre-internet world. scmi/mmxt will gain credibilitity in the industry which will cross over to investors, look for a re-iteration of this very positive news next week by several sources. keep the faith!

If Sony/Bmg ramps up 100%......with copy/protection....by 2005...as Mr. Hesse states in which we all read the same articles. Lets suggest the ramp up number is a mere 1.2 billion produced units @ .035cents per unit(2nd quarter avg.) that is an approximate 42 MILLION $$$(dollars,US).
A sensible person would suggest that we would get, what %, 10%(4.2m), or 20%(8.4m), or 50%(21m) or.....what for the best technology and flawless customer service...WHAT???? You sir..are you sensible Mr. Gibilino..whats your number? or are you just negative? In other words any sensible person would agree its going to be good! The more intuitive investor is betting its going to be real huge/magnitude/good.
The choices however, seem to be all good unless, one is just simply negative.
On the issue of increased value this year, I will tell you that this speculative, developemental, pink-sheet/2-company, growth, organiztion/enterprise has tremendous opportunistic momentum going into the 4th quarter. This reasoning is a most sensible one, their is no intuition that is required in its understanding for the following reasons:
1. SonyBmg's, President Thomas Hesse, the Chief STRATEGIC officer since 2002 with BMG, Has been consistently putting the record industry on notice by publicly stating his intentions for ramping up copy-protection 100% BY THE END of 2005!!!
Sensible people will tell you not to believe the company(scmi) and they are liars....fine/done/deal. The question therefore is can we believe Mr. Hesse?????
2. The apple/industry play for 2005? Well, outside of what the scmi/mmxt people say...and according to what I'm reading this puppy is about to come out!
3. The reality of the merger being completed by the end of the year is quite good, we have the legal power(audits) combined with the highest level of legal professionals possible to complete this successfully by the end of the year.
So a sensible person would listen to Sony/Bmg's President Thomas Hesse formerly the STRATEGY czar and a sensible person reads the articles and therefore knows whats going on with Apple and the industry and a sensible person can understand the serious determination to complete the merger by bringing in the best Lawyers money could by(money well spent,(dont sweat the small stuff)).
The point of strategy to pull from the DTC in the middle of this sensible reality is a most interesting 2005 play!!!
If you want to talk intuition, well now thats BLISSFUL!!!!!

JR, you are no fool, sir and I certainly respect that and you are correct on the negative aspect of the investment, the growing outstanding shares which will result in 700+ million, however, you may want to consider that:
1. 2nd quarter was only our 1st growth quarter.
2. sonyBmg has committed to a 100% ramp-up by the end of 2005, this is not just nice things that I and the company are saying but Mr. Hesse himself has said that in two or more seperate public interviews.
3. All the other positives that are occurring in the PRESENT makes this a tremendous speculative play! JMHO.
4. Once the merger is complete(this year) with everything else kicking in(this year) and the ACE in the hole play, of pulling from the DTC(at mgmt's discretion,(this year)).
5. We could/should/will be looking real good by year end and positioned for EXPLOSIVE growth for 2006, yes, time goes on and the future looks extremely bright, this we will not apologize for.
6. Remember sirius radio(2b shares), I think they hit $10.00 per share and LIQUID, well, I like our positioning better than their positioning, when at the same level of developement. WHY? They were not the market leader, XM was, I also like our growth possibilities better,jmo. Sensible folks will say that intuitive folks are crazy, while at the speculative, pre-explosive developemental stage and thats ok because thats just part of what makes a market.
