The A-29 Super Tucano aircraft is on display at the Oshkosh air show this week.
The EAA AirVenture air show runs from July 23 to July 29 at Wittman Regional Airport in Oshkosh, Wis. EAA is an international community of more than 160,000 in a worldwide network of chapters, outreach programs and other events.
The A-29 Super Tucano is made and sold by Sierra Nevada Corp. in partnership with Brazilian manufacturer Embraer SA (NYSE: ERJ). Embraer recently announced an agreement with Boeing Co. to provide weapons integration for the Super Tucano, stated a news release from Sierra Nevada, based in Sparks, Nev.
Sierra Nevada and Embraer are competing again in the U.S. Air Force Light Air Support bidding process.
The U.S. Air Force chose Sierra Nevada over competitor aircraft manufacturer Hawker Beechcraft, but canceled the Light Air Support contract, which may be worth nearly $1 billion, at the end of February. Embraer planned to assemble aircraft at the Jacksonville International Airport.
The military decided to rebid the contract to both companies.
The selected aircraft will be used to provide light attack, armed reconnaissance and training capabilities to the Afghanistan military.
$TADF Tactical Air Defense Services to Acquire AeroTech Corporation
Tactical Air Defense Services, Inc. (OTCQB:TADF), an aerospace/defense services contractor that offers tactical aviation services, aircraft maintenance, and other aerospace/defense services to the United States and Foreign militaries and agencies, is pleased to announce that it has signed an agreement to acquire, as a wholly-owned subsidiary of TADF, 100% of AeroTech Corporation ("AeroTech"), an aerospace/defense services contractor licensed and registered with the United States Department of Defense.
Through the acquisition of AeroTech, TADF will acquire the existing business and assets of AeroTech including but not limited to five separate Teaming Agreements, a Sole Source Justification and Approval from the U.S. Army, and the skilled and experienced management team of AeroTech.
Pursuant to the Teaming Agreements, AeroTech has partnered with a certain established and well-recognized defense contractor with existing aviation services and other contracts. Together with its teaming partner, AeroTech, as either the prime contractor or the sub-contractor, has submitted five bids/proposals to the U.S. military and to certain foreign militaries to provide aerospace/defense services. Although no assurances can be given, the Company believes through its acquisition of AeroTech that it will be awarded some of the referenced contracts.
TADF also gains through its acquisition of AeroTech a Sole Source Justification and Approval from a division of the U.S. Army to provide Electronic Attack, Electronic Protect, and Electronic Support for airborne, ground, and maritime threat simulation/emulation, weapon system simulation, threat representative aerial target presentation, and other asset services in support of program requirements. Although no assurances can be given, the Company believes through its acquisition of AeroTech that it will be awarded a contract to perform the requested services.
The management team of AeroTech, including Col. Scott Patterson, Chief Operating Officer, and Mark Daniels, President, and will remain in their respective positions at AeroTech, as a subsidiary of TADF, and will be integral to driving forward the business strategy of the Company and AeroTech.
Upon closing of the acquisition and pursuant to the terms of the acquisition agreement, TADF will purchase 100% of the outstanding shares of AeroTech for consideration of 5 million shares of its Series C Preferred stock. Closing of the transaction is subject to final completion of all documentation and approval by the board of directors of TADF, and is anticipated within thirty days.

One of the cornerstones of the securities transfer function is the signature guarantee. Without such a feature, the securities industry as we know it would function only with great difficulty and with significantly higher costs. A guarantee of a person’s signature is required by all Transfer Agents before a security transfer can take place and SEC Rule 17Ad-15 requires that Transfer Agents adopt an equitable methodology for the acceptance of signature guarantees from eligible Guarantor institutions. SEC Rule 17Ad-15’s stated purpose is to:
"…provide for the protection of investors; facilitate the equitable treatment of financial institutions which guarantee signatures of endorsers of securities; increase the efficiency of the security transfer process; and reduce the risk associated with a signature guarantor’s inability to meet its obligations."
The Securities Transfer Agents Medallion Program, Inc. (STAMP, Inc.) is a not-for-profit corporation that owns and, together with Kemark Financial Services, the STAMP Program Administrator, operates the official signature guarantee program that is recognized and approved by the financial industry and that is supported and endorsed by the Securities Transfer Association (STA).
The STAMP Program facilitates the equitable treatment of eligible Guarantor institutions and promotes the prompt, accurate, and safe transfer of securities by providing the Transfer Agent with protection against risk of financial loss if it has no recourse against the Guarantor. Transfer Agents and others who rely on a signature guarantee from a member of STAMP are protected against loss from wrongful endorsements if the Guarantor is unwilling to meet, or is incapable of meeting, its financial obligation under its Program Indemnity Agreement.
Once a Guarantor joins the STAMP Program, it must acquire the necessary STAMP Medallion imprinting equipment and obtain Surety Bond coverage, which in many cases can be obtained at nominal cost from the Guarantor’s existing insurance carrier.
In addition, Program Procedures require that all Guarantors receive “certification” from the Program in accordance with strategies focused on individual employee “certification.” Guarantor certification is achieved through prescribed training of relevant personnel, supported, in turn, by the availability of further online learning and assistance.
Guarantor certification has as its primary goal safety and soundness in the application of an institution’s Medallion imprint. This goal is accomplished through a well developed awareness of the legal framework and issues, including potential Guarantor liability, when providing a signature guarantee in connection with the transfer of a security. (OTCPK: BCAP) (www.baroncapitalenterprise.com) is pleased to announce that the Company will be completing a mailing to all shareholders by the end of the month requesting them to vote on a resolution stating the current share structure shall remain the same for two years and the Company will not effect a reverse split during this period.
The Company intends to file Restated Articles with the State of Florida showing the Company has Authorized Common Stock of 2.4 Billion and 5 Million Authorized shares of Preferred Stock. The Company has received approval from the Preferred control group, but would like the Common shareholders to participate in the vote as well. The Company has already received approval from over 40% of the Common shareholders.
This will ensure the Company does not increase the Authorized shares of the Common stock for two years and does not create any other class of stock that could convert into the Common stock for two years. This will also give shareholders peace of mind that the Company will not effect any type of reverse split during the same period.

The Company has narrowed its search for its new headquarters to two buildings and plans to announce its new home in a few weeks. Each building is a class A office building that will build out the new office suite to our specifications. This will be the new headquarters of the Company for 5 years. A guarantee of a person’s signature is required by all Transfer Agents before a security transfer can take place and SEC Rule 17Ad-15 requires that Transfer Agents adopt an equitable methodology for the acceptance of signature guarantees from eligible Guarantor institutions. SEC Rule 17Ad-15’s stated purpose is to:
"…provide for the protection of investors; facilitate the equitable treatment of financial institutions which guarantee signatures of endorsers of securities; increase the efficiency of the security transfer process; and reduce the risk associated with a signature guarantor’s inability to meet its obligations."
The Securities Transfer Agents Medallion Program, Inc. (STAMP, Inc.) is a not-for-profit corporation that owns and, together with Kemark Financial Services, the STAMP Program Administrator, operates the official signature guarantee program that is recognized and approved by the financial industry and that is supported and endorsed by the Securities Transfer Association (STA).
The STAMP Program facilitates the equitable treatment of eligible Guarantor institutions and promotes the prompt, accurate, and safe transfer of securities by providing the Transfer Agent with protection against risk of financial loss if it has no recourse against the Guarantor. Transfer Agents and others who rely on a signature guarantee from a member of STAMP are protected against loss from wrongful endorsements if the Guarantor is unwilling to meet, or is incapable of meeting, its financial obligation under its Program Indemnity Agreement.
Once a Guarantor joins the STAMP Program, it must acquire the necessary STAMP Medallion imprinting equipment and obtain Surety Bond coverage, which in many cases can be obtained at nominal cost from the Guarantor’s existing insurance carrier.
In addition, Program Procedures require that all Guarantors receive “certification” from the Program in accordance with strategies focused on individual employee “certification.” Guarantor certification is achieved through prescribed training of relevant personnel, supported, in turn, by the availability of further online learning and assistance.
Guarantor certification has as its primary goal safety and soundness in the application of an institution’s Medallion imprint. This goal is accomplished through a well developed awareness of the legal framework and issues, including potential Guarantor liability, when providing a signature guarantee in connection with the transfer of a security.
