I haven't any idea where EUOT's loss carry forward stands considering there has not been a financial accounting filed since 2003 for quarter ending 3/31/03. Accumulated deficit from inception through that time was in excess of $68M with no recovery since that time.

The original HNIPU(Hybrid Non-Isocynate Polyurethane) technology developed and patented by Professor Figovsky was sold to Eurotech. That tech, along with other techs that had been acquired by Eurotech, was licensed to HomComm(HCOM, the predecessor company of GlobalMatrechs(GBMR) on 3/27/2003. Global sub-licensed HNIPU to Enviromental Friendly Materials(EFM)for marketing and sales outside the US. A new sub-license agreement giving NTI worldwide rights was done in Jan, 2009. Until recently, NTI stated on their Website that the HNIPU products were based on a license from Global. Now the reference to a license frm Global has been removed and NTI states all NIPU/HNIPU developed processes are propriatary to NTI.
In addition to Green Poly Paint, NTI has developed Green Coat from RBHM(Rapid Biodegradabe Hydropholic Material). Green Coat is the basis for biodegradable bags. Eurotech invested and owned a 50% interest in Radmate which developed RBHM. Not sure what happened to that ownership interest. Since Eurotech did not own the patent, the interest may have been sold to Global when the other owned techs were licensed to Global.
The license from Eurotech to Global would have been completely breached when Global's stock issues were de-registered in 2009. Such breach and license cancellation, in accordance with terms in the Agreement, would have made Eurotech the Licensor in the Global license to NTI if the 2003 License still stood at Eurotech. Not certain that NTI is now recognizing a license from either Global or Eurotech. In my opinion, to prevent possible future legal actions, NTI would be better served through a merger into Eurotech instead of EPDS. The target date for the proposed NTI/EPDS merger has slipped over 40 days. Anything is possible. Expect the unexpected.
During June, 2008, I, and several other EUOT shareholders, holding over 8% of the OS, made an attempt to obtain a shareholder list and review Eurotech records. We were not successful then but we still intend to determine what has transpired with Eurotech assets.

I would be more than pleased if NTI would merge into EUOT and let BElmont find a Chinese solar company to go into EPDS.
Anything is possible. Speculation abounds since the target date set for the NTI/EPDS merger has now slipped over 40 days.

Regarding my note on EUOT board that CA wants to outlaw plastic bags. Go to NTI Website and you will find Greencoat.
Also note that NTI is headquartered in San Francisco. No doubt, they will have production up and running to replace those plastic bags. The bags are derived from RBHM, a technology owned by NTI. EUOT had a 50% investment interest in Radmate, an incubator company of the Israeli Research Center(IRC) that developed RBHM. Do not know if EUOT still holds that interest or not.
I recommended to Belmont and NTI that NTI merge into EUOT due to the technology assets that should/could still be held by EUOT. I do not know if any consideration was given to my suggestion.

Strange that EPOD is being looked at by NTI which has nothing working in the solar arena. Very low OS on that one;less than 5M will be OS in the restructuring. If NTI brings commercial sales of thier environmentally friendly products to the table from the onset, that one will go to $20.00. The latest 10QSB by EUOT was filed 7/10/2003. 15-12G was filed 7/27/2005. All filings available at SEC.gov. Also, readily available on Pinksheets.com.
Some later filings by Markland and GlobalMatrechs(Latest during Jan, 2009), both now de-registered, provided information related to Eurotech.
Perception of Value

What is the preceived value of the new operating company and what are their immediate plans on quickly qualifing for full reporting status,including any share structure changes, i.e. Reverse Split which will not be a problem if they have operating income to support? I would not expect a near-term RS as the company may retain a large percentage in the treasury, providing a low float.
I am very familiar with a few of the Hall of Fame RMs that had no operating basis, sold off treasury shares, did reverses, sold again, and are now barely trading sub-penny shells or are de-registered and gone.

In many cases, a shell buyer will only need 51% of OS for majority written vote on some corporate actions. In other cases, depending on Articles/Bye-Laws, two thirds majority, 67% is needed.
In EUOT's case, the Articles/Bye-Laws were based on the DC Code. For most major corporate decisions,i.e., increase AS, stock splits, amendments to articles, divesting assets except in ordinary course of business,etc., two-thirds majority is needed.
Does Belmont already have two-thirds or maybe still buying???
The transfer company shows some other client companies whose charters have been revoked in their state of incorporation. Before this company can be sold, it needs to be domiciled somewhere. JMO

If it falls back down to .002 or lower and doesn't come back, then my conclusion will be another cycle like in late Feb--all based on information related to the other closely named company.

Haven't acquired Premium. Regarding SEC Filings for EUOT. EUOT is non-reporting. Belmont has obviously chosen not to disclose their position.
During June, 09, I got a verbal YES from Meuse to my question about Belmont obtaining a share postion but he would not divulge any numbers. Normally, companies dealing in shells want to hold in excess of 67% of OS so they can sell a total control position to an interested company. Belmont either holds back some shares for market sales or gets shares in the new entity.
Some of the buying over the past year may have been by Belmont, increasing percentage. I hope they are ready to move forward.
I do not understand why Belmont would have allowed revocation in DC unless the charter was moved somewhere else.

Check EPDS for whatever you can glean regarding a RM with Nanotech Industries. Original filings had a 1 May target date which could be changed with agreement of both parties...EPDS recently moved from .20 to 1.51 on Friday--dropped to 1.40 today..

So Eurotech's Corporation in DC has been administratively revoked for failure to make annual report and pay annual fees. But the EUOT ticker symbol still exists and shares are still being traded on Pinksheets.
When I last checked, Belmont still had controlling interest. Normally, when Belmont acquires a shell, Belmont desires to own a minimum of 67% of the OS. I will email Belmont to see if any information can be had regarding status of EUOT.

The 72M OS is not accurate. The latest info in SEC filings showed over 98M issued of the 100M AS.

My conclusions may not be correct. Eurotech's interest in the 3/27/2003 LIcense Agreement to GlobalMatrechs could have been sold or moved to another entity but there has never been any public disclosure of such an event. I tend to believe the License still stands with Eurotech, Ltd. (EUOT). Regardless of that website info, there is no relationship between EUOT and the Italian computer company.

Your extraction was from a post I made during July,2009. Some things have changed.
First, when inquiring later on the availability of the EUOT shell, Belmont advised it was no longer available. Interesting that nearly a year later Belmont still has controlling interest but will not provide any information about EUOT. I may be wrong but I conclude that Belmont is holding EUOT because of the value of the technology rights still owned by Eurotech, especially the HNIPU rights which were purchased from Figovsky by Eurotech. NTI has made some commercial sales for HNIPU product, Green Polyurethane Paint. NTI is attempting to merge into EPDS to become a publicly traded company. Should that happen, full disclosure by NTI should provide clarity on an NTI license to use the Eurotech owned technology.

The other info you included in your post is correct. Belmont Partners still has controlling interest. Joseph Meuse is founder of Belmont Partners and is current CEO of Eurotech, Ltd.

Nellis is now involved with NTI and the planned merger of NTI into EPDS. NTI uses another Eurotech tech under a sub-license from Global Matrechs. The NuCap tech hyped by NNRI was the other Eurotech tech. I'm sure you will recall how these things were done.

Kading is full of crap. NNRF and the subsidiary, Nucon-RF own an aggregate total of 50% of ATOLL.
He would have us believe the insiders at NNRF just gave the company to Kading and walked away.
He was offering private plcement restricted shares at .01 per share pre-split with a 1 for 5 RS planned and no information on how the pre-split price could ever get to .01. Even if that was attained, what in hell would keep the sp at .05 post-split.
If he can't get Ricahrd Wall and some of the other masterminds to buy some private placement shares, then the company is worthless.
The whole charade was a scam from the get go.....

I don't have any. My understanding is that the company might be offering some private placme nt shares. Contact the CEO.
Even the toxic funding hedge funds are getting afraid to jump on some of these opportunities.
Kevin says no funds available from anywhere. If shareholders don't step up and buy some private placement shares, company will have to sell off Russian company investment assets and technology assets just to contribute to his rent and utility bills. One would think ZAO ATOLL insiders would be willing to buy back the position acquired by NNRF. Probably at a big discount below the original purchase price.
Next step is delisting by SEC administrative action. Two months away from that two year point without any filings. Last periodic filing was the 10K for period ending 12/31/2007.
Kevin needs some financial help to keep this trading. Anyone interested in stepping up to the plate?
