ProGreen announces $10M secured financing plan
San Diego, CA -- December 20, 2017 -- InvestorsHub NewsWire -- ProGreen US, Inc. (ProGreen), (OTCQB:PGUS), www.ProGreenUS.com, Twitter @ProGreenUS, www.CieloMarBaja.com.
ProGreen is pleased to communicate its plan for a secured financing based on the company’s substantial assets and recent business arrangements.
Qualifying Basis for Collateralized Financing
Procon Baja JV, ProGreen’s Mexican subsidiary, is the owner of, and holds the deeds to 5,000 acres of land with 4.5 miles of ocean front along the Pacific Coast in Baja California. The property constitutes the basis for a mortgage guarantee, for a 5-7 year loan financing of up to $10M.
We are in the planning stage of a large real estate development (www.CieloMarBaja.com) on this prime land.
We have an agreement in principle with a first class architectural engineering and building company, which will bring substantial resources into the planning phase of the project. This company will also be the lead contractor for the infrastructure deployment as well as for general construction. An agreement is presently being drafted and is expected to be executed this week.
We have recently signed an agreement to supply ProGreen Farms™ produce to Huy Fong Foods, one of the largest U.S. buyers of red chili peppers.
ProGreen Farms US, LLC, a wholly owned subsidiary to ProGreen based in San Diego, will control and invoice all sales under the agreement.
Use of Proceeds
Eliminate debt starting with convertible notes.
Fund further expansion of our agriculture operations at the Arenoso Farm in Baja California.
Apply more funding to Cielo Mar, to accelerate the progress.
Fund Cielo Mar Reservations, LLC, for the marketing of Cielo Mar in Mexico, the U.S. and Europe - for pre-sales reservations of individual lots, as well as to property developers and hoteliers pre-launch of the development.
Provide additional working capital
"We anticipate to accept financing of up to $10M, and have already initiated discussions with one large lender," says Jan Telander, CEO of ProGreen. “We believe gaining access to substantial capital at this time will provide a solid financial base for the company, creating the opportunity for a much faster expansion and laying the foundation for uplisting to a better exchange."

ProGreen releases ProGreen Farms™ expansion plan for 2018-2019
San Diego, CA -- December 18, 2017 -- InvestorsHub NewsWire -- ProGreen US, Inc. (ProGreen), (OTCQB:PGUS), www.ProGreenUS.com, Twitter @ProGreenUS., www.CieloMarBaja.com.
On Friday, December 8, 2017, ProGreen announced the agreement for the supply of chili peppers to Huy Fong Foods in California for 2018. ProGreen Farms US, LLC is committed to a minimum delivery of chili peppers representing $1,200,000. However, as the demand is virtually unlimited, ProGreen Farms US, LLC is setting new goals of considerably higher sales for 2018 and 2019.
We believe we can reach $5,000,000 in sales for ProGreen Farms US, LLC in 2018. It is important to note that the expansion will be dependent on obtaining financing to fund the considerable investment needed, though we believe that we are now in a much better position for financing than ever before.
With clearing and preparation of more land within the existing Arenoso Farm, we expect to produce closer to $2,500,000 in farming revenues for the coming year.
We also have an opportunity to acquire land adjacent to the Arenoso farm, which would increase the total area from 300 to 1,050 acres. However, any new farming land will be acquired by Procon Baja JV, with farmable tracts leased to Contel. This will result in the asset being held by ProGreen’s subsidiary, enabling it to be rolled over to the company’s balance sheet.
We see the opportunity to incorporate a further 125 acres for farming in 2018 from this additional land. If acquired, it will require drilling of more wells to obtain the necessary water needed for further irrigation.
With this expansion, revenues are expected to reach closer to $5,000,000 in 2018, with a 50% further increase possible for 2019.
In addition for these expansion plans, we would the also build our own packing plant at Arenoso, to pack the chilis directly at the farm, to be loaded on trucks for direct delivery to Huy Fong in California. This would save costs and simplify the logistics connected with such an expansion.
"Setting our goal to become the No. 1 supplier to Huy Fong, will no doubt demand very fast expansion to get ahead of the competition, but we do have the advantage of access to good land in a virgin farm area", says Jan Telander

Awesome News Out
Dec. 05, 2017 (GLOBE NEWSWIRE) -- ProGreen US, Inc., (ProGreen), (OTCQB: PGUS), www.ProGreenUS.com, Twitter @ProGreenUS;
ProGreen is pleased to announce that the last of the Company's mature convertible notes - with Vista Capital - has now been paid off in cash in order to avoid conversion.
The Vista note was the last of the convertible debt that the company accumulated earlier this year to finance the build out and operations of Rancho Arenoso, the first farm to be developed under the ProGreen Farms™ name; Capital was also needed for the land acquisition and early work on the master plan for the oceanfront resort community, Cielo Mar.
With these notes now paid off and the first year's harvest at Arenoso winding down, the Company is directing its full attention towards 2018 and furthering the Baja California projects.
“We are now cutting the final chili peppers for the season at the Arenoso farm, and are very pleased with the results from the top producing variety of the different types we grew this year. It produced well over expectations, with over 30 tons harvested per acre, giving us great confidence for a very good yield in 2018 as well a solid base for expansion." Says Jan Telander

From the latest Agriculture Update https://www.progreenus.com/agriculture-update-2/
Seems as there was one type of pepper that was a huge hit.
Does anyone else have the feeling that I am getting after looking at the history of updates?
I think we started out with all talk about green peppers and they were just said to be chili peppers, with no mention of jalapeños, let Alone red jalapeños.
The pictures I am seeing from Tigerpac’s tweet reference, and others, show red jalapeños.
At least, to me these surely look like red jalapeño peppers. It seems like these somehow got slipped in to the conversation, but there was no significant mention about how they came to be, or why. This seems suspiciously like there was a reason to keep it kind of quiet. At least until that tweet video, unless that may have even been a slip.
This idea about Sriracha is looking really good to me.
PGUS
I looked into this Huy Fong company some more and I'm getting excited, getting them onboard to buy our peppers would be all we need to chew up something like half of the 4000-5000 farmable acres we've got available. We'd have HUGE growth for the next 10 years just from Huy Fong's demand!!!
To me, it looks like there's a pretty good chance that Jan & Co down there got wind of something earlier this year. Maybe this is why the rush to get the peppers rolling - AND testing the different types:
https://www.nbcnews.com/news/asian-america/sriracha-sauce-maker-huy-fong-foods-sues-its-chili-pepper-n798061
From 2008 through 2016, Huy Fong bought $190,000,000 in red jalapenos from there long-time supplier - a single grower in California - including $30,000,000 just in 2016. Apparently there's been a falling out after a 30 year relationship.
Man, we have a proven operation now, AND a demonstrated HIGH-YIELD PEPPER, AND enough land to expand almost indefinitely! What PERFECT timing! (almost like it there was "method to the madness" this year???)
I was really wishing that all 6 pepper types would have been productive so we would have had the best revenue situation this year - that would have been best for projecting years forward. But if we get a deal with Huy Fong to supply for Sriracha, who CARES about this year - THIS is our YEAR, right here!!! I came across something that said they go through something like 100 million pounds of peppers a year, and somewhere else that said it was even higher. And in one of the articles (or in the movie below maybe) it was said that the original supplier was farming something like 1,500 acres of peppers for Huy Fong. There's $30M+ annual demand in front of us if we can into Huy Fong!!!
Sriracha - THE MOVIE [must watch from 30:00 to 31:00]
Holy Crap that would be awesome.. those guys use over a 100 million pounds of red Jalapenos a year. We have virtually unlimited land to grow on that would be HUGE!!!!! PGUS
Great news!! Progressing as expected PGUS
If I remember correctly, there was something mentioned a long time ago about our buyer canning the peppers. So they would be "processing" the produce to make a food product.
I looked briefly at some of the USDA and FDA info about bringing produce and food products into the U.S. a while back. Importing from an FDA-registered supplier seems to require only a permit. It's the USDA/FDA registration and certification (or whatever they call it) of the exporter that requires the testing and such.
But there's a major difference in the requirements for a "farm" versus anything that doesn't qualify as a "farm". Any processing of raw produce beyond planting, growing, harvesting, packing and in some cases drying (like turning grapes into raisins) disqualifies an operation as a "farm." I think because there are significant additional requirements for a food processing plant, there is no need to go back as far as the soil and water used to grow the produce. It may be that the processing plant and/or the processed food product are inspected and/or sample-tested for contaminants, toxicity, disease, etc.
Whatever the case, it does make some sense that the plant/farm/operation that is handling the product to export to the U.S. is going to have to be registered or certified and subject to inspection throughout the handling from the point of the plant, farm or operation, through the packing and transportation across the border.
