Could some one answer my questions regarding the following statements posted here on this board?

Why do you think a TA would being willing to issue stock in a dividend distribution from a company that is not up to date on it's filings in light of the 'gatekeeper' initiative?
SEC Democratic Commissioner Luis Aguilar said in an interview there is no doubt that transfer agents are gatekeepers who hold a "unique position" to identify and prevent unregistered, restricted shares from being sold illegally.

Clarifying-Possible-Confusion-On-Pending-Dividend ...
I'm not hiding here that I like the MJ sector (see my handle '4weed').
Its an early business sector and has only a 50/50 chance at best of succeeding (some may say more; some may say less).
PURA is a startup and has less than a 50/50 chance of succeeding by any study or research on startups in general.
There is no shame in making money on companies that don't succeed. I believe more money can be made if a startup does ultimately succeed, but I'm certainly not going to miss an opportunity to profit on the early market enthusiasm that any particular startup just might be one of the few that make it. That's what I'm looking for here. I think PURA can deliver ROI on early market enthusiasm and I think its got a decent chance of being a long term success.
PURA may crash and burn, but I’m not going to be one to poor gasoline on it. On the contrary, I'll probably be one to try and blow out any lit matches thrown at the company.
Here’s an attempt to address some possible confusion from previous posts:

PURA is a start-up with little existing resource to advance its current business plan. Being a fully reporting company is more expensive than being an OTC Markets Current Information filer. It's not uncommon for public startups to choose the Current Information route rather than fully reporting route to avoid expenses at a stage of development that are not cost effective to the execution of the plan. There are more current information filers on the OTC than fully reporting filers. PURA is far from the exception when it comes to selecting the Current Information route. An investor might ask themselves does having an auditor tell me that the company has no current operations make me feel better than if management simply tells me they have no current operations themselves? The term 'going dark' is a slang expression for withdrawing from registration. 'Going dark' sounds worse, doesn't it? Half empty vs. half full. As I said above, I'm for the MJ sector and I'm for PURA. I'm going to be a half full guy.

This not exactly right. While the state might allow a public delinquent filer to increase its authorized, FINRA, which is the watchdog for OTC Market Current Information filers is most certainly not going to endorse a delinquent filer issuing stock through a dividend distribution. The transfer agent that is regulated by the SEC is not going to issue stock through a dividend distribution on an increase in issued and outstanding executed while the company is not current.
The confusion here is in technical details of what can and cannot be done with PURA at this moment and what has to be executed in order to ultimately issue stock in the announced dividend. So maybe the state can increase the authorized. Is it a good idea to increase it and issue it without being caught up on all the OTC Filings? Probably not.

Slander aside, as pointed out above, the simplicity of increasing the authorized is a half truth (at best). It seems the Company is attempting to improve transparency with catching up on all its report … but I'm a glass half full guy.

Good Signs On Dividend On The Way ...
PURA is issuing shares to USMJ shareholders as part of PURA's purchase of USMJ's healthcare assets.
To issue shares PURA has to increase it's authorized.
To increase it's authorized, PURA has to catch up on all its delinquent filings. PURA was three years behind or so on filings. PURA has recently filed 16 updated reports bringing them current through 2014. The Company has 2 more quarters (if I am counting correctly) and almost 3 to catch up on in 2015.

Then PURA can increase its authorized and have shares to issue.
Their may be other hold ups. I can't say. But the catch-up reporting looks like the pacing item.
The USMJ's shareholder letter made mention of a PURA update coming that will talk about the PURA stock to be issued. That sounds like a good sign to me.

ALYI looks to have something new in the works after the sale of their primary operation last year. Very nice market cap structure here. 2 yr wtd average pps of $0.07 and only 100m i/o. With a new PR campaign on new business direction, this could be a quick 3 or 4 bagger easy. This stock as seen much higher and could even be 10 bagger.

The issues I mentioned in my last post for depositing MJ stocks roll over to all OTC stocks.
The US Government, for better or worse, has decided that it does not like OTC stocks.
That makes brokerage firms and clearing firms hesitant or unwilling to take OTC stock deposits.
Again, once its in the system, everyone's willing to trade it.
Just because the US Government doesn't like OTC stocks, it doesn't mean there all scams. If we abided by everything the US Government thinks is a good idea, we'd be very sober socialists leaving our veterans homeless.
VNDM-and-VFIN-Not-Scams; Just-Only-Game-In-Town ...
If an investor gives a company money in exchange for stock, then the investor will want/need to put the stock on deposit at a brokerage account. The broker will have to then have a clearing firm through which to clear the stock.
Given that marijuana is federally illegal, just like commercial banks are hesitant to or just wont take deposits, brokerage firms and clearing firms are hesitant to or just wont take marijuana stocks.
Now once a marijuana stock has been deposited and is in the system, all the brokerage and clearing firms are happy to buy and sell the stock. Similarly, if you could get your marijuana sales proceeds on deposit in a commercial bank, all the other banks would be happy to give you cash out of there cash machines.
VNDM and VFIN are the market makers down stream from the brokerage firms and clearing firms willing to take marijuana stock certificates. Hence, "just the only game in town."
VNDM and VFIN are today a smaller percentage of the overall trading in USMJ then they were a couple of months ago, because the stock is now in the system and all the other firms are willing to buy and sell the stock in the system.
Entrepreneurs go public through an IPO or a Reverse Merger to get access to stock to raise money for their business plans. It is unrealistic to think the i/o is not going to increase. Of course it is. And, with marijuana stocks we're bound to see a heavy percentage of early trading coming from the VNDM's and VFIN's willing to take marijuana deposits.
I don't believe USMJ is a 'scam.' They've got a plan. They're executing on the plan. They are no doubt issuing stock to get access to funds to build their plan.
If an entrepreneurial company is not in need of investment funds, they'd be foolish to go public. They should just keep all the equity for themselves.

I've been in this a long time too. I didn't anticipate tripple zero. I still think the company's legit and with the analyst report, doing everything they can to recover the declined pps back to something truly reflects the value of the company.

The Purchase Was Financed ...
I live in a home I own. I have a mortgage and owe the bank. The title to my house has a lean, but I purchased and own the house and get to keep it as long as I keep making payments.
USMJ owns the purchase cafe. USMJ owes on their 'mortgage' to purchase the cafe. The mortgage bank in this instance is the seller. It was a seller financed deal. Again, just as some houses are seller financed.
The reporter's opinion of a closed deal is not necessarily the right opinion. She writes that the seller wants to be anonymous, but then tells you the name of the seller? Wow, what happen to protecting one's sources in the press core?

USMJ has only been really on the seen since June this year. But if you read about them, they've been working on their plan for almost 2 years.
PURA revival seems to be coming from USMJ's efforts. Hopefully it won't take them 2 years. I'm betting USMJ has some momentum now and we'll see PURA revival faster than USMJ's revival.
