@ Collin.

Go HRCT
Gustav
@ Rattlesnake:

Gustav

Was haltet Ihr davon?
Gruß, Gustav
@ Charles: www.hua-qing.com ! Willkommen an Bord
Gustav
Tin würde sagen " a fun stock to own"...
Gruß, Gustav
Gustav
USA sieht sehr gut aus!!!! Volumen ist auch großartig! Weiter so, HRCT!!!
Gustav
Very exciting, ez2! I`m very eager to see where we end this day...? Are we able to reach 0,10????
Gustav
Welcome back, Dagoduck!!!!!
Endlich kommt Bewegung ins Volumen + Ask/Bid
Gustav
Long dong Gustav
@ Collin
P.S. Bin wirklich immer am Ball seit ca. 4 Jahren! Will natürlci gerade in der jetzigen Zeit nichts verpassen!
Guten Morgen, liebe HRCT Gemeinde!
Gustav
20th January 2003
Dear shareholders:
With the Chinese New Year right around the corner, I would like to wish you all very happy Year of Goat - the year of happiness and kindness. Here is this month's Q&A.
Q: There has been very little contact/news. What can we expect for 1st qtr 2003 and rest of year? Many of us have been here for a very long time we see other companies making big strides in China. Will we see HRCT in the news this year?
R: It's a common practice that public companies would announce preliminary agreements or letter of intents upon signing. These agreements are normally subject to due diligence, bank financing or governmental approval. Previous Hartcourt management used to follow this practice, but present business environment, especially in China, is so difficult to ascertain final results. Many shareholders are unhappy if the deal is not materialized, even it is not our fault. As a result, starting 2002, the Board has decided to announce only completed transaction. We have a few major deals in the pipeline; but we won't comment on any of them until the escrows are closed.
Q: With all the China stocks doing so well, will Hartcourt have a PR program to go with the new acquisition so we can get some exposure?
R: We are happy that the investment community has finally noticed the great potential of China market and the strategic market position of these China-related companies. When the timing is right, we won't be timid in launching a major PR program to take advantage of the situation.
Q: Are you still sure, that we will reach the break even point the 1st. quarter of 2003? If not, when will we probably see some gains in the balance sheet?
R: We are confident that Hartcourt will be profitable in 2003. Please be patient and let us prove ourselves to you in our financial performance, quarter by quarter.
Q: What do you see as main reasons for the recent run-ups of NTES, SOHU, SINA, ASIA, UTSI... Can HRCT move up on similar reasons?
R: We think there are 3 main reasons: the fast growing China market, the strategic position of these companies in that market and the profitability of their financial result. We could only hope that when Hartcourt reports a positive cash flow on our operation, our share price shall appreciate in the same way.
Q: Is the "deal" HRCT made reference to last year still pending or is it no longer a possibility? If not, why?
R: As mentioned earlier, we cannot comment on pending deal; but we hope that we would be able to do so soon.
Q: After WTO, what are your main competitive edges against the new comers?
R: Since WTO entry, China has been the top recipient of FDI (foreign direct investments) world-wide with over $54 Billion in 2002. Even though the legal framework has been expanded more liberally, the new comers are still facing uncounted hurdles, from restrictions by local bureaucrats to mistakes in market strategy or choice of partners. We have survived this difficult period of growing pain; so we think we are better equipped than these new comers in the execution of our business plan.
Q: How is the Hartcourt TV plan going? We've heard about Bloomberg now entering the mix. Will that affect Hartcourt' s plan in any way?
R: Bloomberg received permit to broadcast English-only programs to foreigners living and traveling to China via hotels. Our plan is to serve the Chinese investors. However, we are still facing problems with regulatory permits in this area and inadequate financial resources.
Q: Is an E-Education announcement still planned for Q1?
R: We think that we should be able to resolve our difference with our partners soon.
Q: When all is said and done, will the Sinobull companies, AI Asia and Hartcourt Capital be one integrated group? Or will they be in different fields and directions?
R: There will always be synergy and cooperation between all Hartcourt subsidiaries. However, our plan remains to be the independent spin-off of these entities so they could realize more shareholder value on their own.
Q: Is there any possibility that Hartcourt could find itself on another exchange in the year 2003?That is if all goes according to plan.
R: The plan to list Hartcourt on additional exchanges besides OTC and Frankfurt remains the same. We will apply when the timing is right for that market.
Q: Is there a "projected" timeframe for the next shareholder spin-off? Can you provide details?
R: With our limited resources, we have to prioritize all outstanding tasks and the next spin-off will be worked on as soon as we complete the planned acquisition at the present.
Q: HRCT website continues to be dated and needs to be updated. ETLK is still showing as a '"portfolio company". For any new investor doing research, quite a poor impression.
R: We sincerely apologize for this delay. We just hired a new Webmaster and he shall start re-building the Hartcourt site, as well as other subsidiaries' sites when he reports to work after the Chinese New Year.
Q: Complete the sentence....Hartcourt, The company that will revolutionize the way the Chinese...do what?
R. Following is the statement of our business strategy: "Hartcourt's operative business strategy is designed to acquire and invest in companies with strong fundamentals and high growth potential, create additional value by exploring synergies within the Hartcourt group of companies and contacts, and facilitate a series of market mature divestitures via IPO or reverse merger through its investment banking arm, Hartcourt Capital, in order to fully realize the value of these assets and provide channels for additional funding for these companies."
Q: Any news on the Sinobull/GTCIE merger? Is it safe to expect it not to happen?
R: We have decided to pursue other option with respect to the spin-off of Sinobull.
Q: Is the poster on I-HUB, who uses the name "Haijek", in some way affiliated to Hartcourt? He hints about having information ahead of the news release.
R: We have no idea who this person is.
Q: Just thought I'd point out that the last carrot has shriveled up and fell off the line. Could you please replace it as soon as possible? Thanks in advance!
R: If this is a comment designed to bash Hartcourt management, you have been successful. For the last 9 years, Hartcourt has been the most open company in the public market. We are not afraid to voice our optimism and we are not shy to admit mistakes and defeats. For this reason, we have been the biggest target of critics and bashers. We agree to pay this heavy price, because we believe that transparency and openness is still the best corporate governance for shareholders.
Q: In a previous Q&A, it was implied that shareholders would know the direction HRCT was taking by the end of 2002. This did not happen. Once again HRCT has failed to deliver. With such a disappointing performance record, what is being done to regain shareholder confidence? B/T/W, selectively responding to these Q&As is not a legitimate way!
R: We have been very reluctant lately to commit to any fixed timeline. Even major companies with unlimited resources like Microsoft, GE or Intel seldom commit to timeline in merger and acquisition transactions. We are sorry that the disappointment in our share price might have frustrated many shareholders; but we all know that Hartcourt management have done more than feasible for a small company in a difficult environment during a turbulent period. By the way, we do not respond selectively to these questions. Some questions are redundant, some questions are simply a statement, some questions could not be commented due to disclosure regulation, some questions must be deferred as we do not have the right information on hand.
Q: Is Denis Poon still the Hartcourt Webmaster ? If not, who is handling those "R's" ?
R: Due to his personal health, Mr. Poon will not have the time to continue his job as Hartcourt Webmaster. These replies are handled by a group of Hartcourt executives in Shanghai.
Q: Could you give an update about Swartz? Are you planning any agreement?
R: We still have an outstanding equity line of $35 Million with Swartz. However, it is not practical to utilize this credit line as our share price has been so low. A change in our market cap or a change in our business fortune might bring new perspective on our decision.

@ Andi,
January Q&A ~~~ Talk to Hrct..
Will send 1/17/03 or at 25 Questions
1. With all the China Stocks doing so well, will Hrct have a PR program to go with the new acquisition so we can get some exposure?
2. How is the Hartcourt TV plan going?..We've heard about Bloomberg now entering the mix..Will that affect Hrct's plans in any way?
3. Is an E-Education announcement still planned for Q1?
4. When all is said and done, will the Sinobull companies, AI Asia and Hartcourt Capital be one integrated group?..Or will they be in different fields and directions?..
5. Is there any possibility that Hrct could find itself on another exchange in the year 2003?...That is if all goes according to plan..
6. Is there a "projected" timeframe for the next shareholder
spinoff ? Can you provide details ?
7. HRCT website continues to be dated....and....needs to be
updated. ETLK is still showing as a 'portfolio company' !
For any new investor doing research, quite a poor impression.
8. What is the status of our working relationship/partnership with UT Starcom ? They seem to be VERY progressive. Are any of the Hartcourt subsidiaries benefiting from this relationship? If so, how ?
9. Complete the sentence....Hartcourt, The company that will revolutionize the way the chinese...do what?......
10. Any news on the Sinobull/GTCIE merger? Is it safe to expect it not to happen?
11. Are you still sure, that we will reach the break even point the 1. quarter 2003? If not, when will we probably see some gains in the balance sheet?
@ Rattlesnake
Maybe you should place an order @ 0,08
Everybody here would appreciate...
Gustav
Isn`t it strange, that we had a very high volume yesterday and now after more than 1 hour just 600 shares traded??? I thought, we would have an increasing volume till we get some news...! Could anybody give me a reasonable explanation for this?!? Or do we see more volume later at the day?
Tia, Gustav
Tradingvolumen schaffen?
Gustav
