The accompanying condensed consolidated financial statements have been presented assuming the continuity of the Company as a going concern. However, the Company has incurred substantial losses resulting in an accumulated deficit of $4,616,049 as of September 30, 2005.
On January 28, 2005 two of the Company’s operating subsidiaries, Tricell UK LTD and Tricell International LTD. filed for bankruptcy in the United Kingdom. As a result of the bankruptcies, there are uncertainties regarding the realizable value of assets on a liquidation basis, the amount which will ultimately be paid to settle liabilities and operations as a result of the plan or reorganization. The uncertainties related to the bankruptcies, combined with a negative ratio of current assets to current liabilities and retained deficit in equity raise substantial doubts about the Company’s ability to continue as a going concern.
Management plans with regards to this issue are as follows:
Two of the Company’s subsidiaries filed for bankruptcy to protect their assets from creditors and because of the United Kingdom’s Customs and Excise Department’s policy of seizing and freezing claimed Value Added Tax refunds on mobile telephone export (see note 4). During the administration process the Company will remain in possession of their assets and properties, with the administrator operating their business and managing their assets. At the end of the administration management intends to regain all operational responsibilities.
The Company has established a short-term financing arrangement for the purpose of funding purchases of product for resale (see note 3). This debt agreement will allow the Company to significantly increase sales through new sales sources and thereby increase necessary cash flow.
Presently, the Company cannot ascertain the eventual success of management’s plans or the eventual outcome of a policy change by the United Kingdom’s Customs and Excise Department’s policy on Value Added Tax with any degree of certainty. The accompanying condensed consolidated financial statements do not include any adjustments that might result from the eventual outcome of the risks and uncertainty described above.
Red...the technology is there and available to all, IMO. With the advances in phones, internet access, GPS, I wouldn't be surprised if it would be an "add on" by the phone companies eventually, especially for the general public. I'm sure the military is using something equivalent to CyberTracker now for their combat vehicles and mobile artillery....
Red..I think Onstar and LoJack are, or are going to have systems...probably much more expensive than the CyberTracker...

Doubloon, thanks...with the Katrina disaster, there has been some talk of "command vehicles" for states or feds to move into disaster locations to help with local communications, etc.... I see steady growth for the company in addition to their on-going biz.... Hope you pick up some good stuff with your visit....I'm sure their eventual goal is an uplisting to Amex or Nas.. Hopefully I'll get in cheap enough this time in case they pull a TDYH!!! LOL!!!
Doubloon...how does this compare to MLTO?? Looks like their annual revenue is about the same, but right now MLTO showing a faster growth rate, IMO. Looking to pick up a few shares of MMSV soon.... MMSV like MLTO seems willing to get info out to investors via PR's...and they have a long history of biz.
BTW, I agree your MLTO could be "pick of the year"...very nice.

futrcash...I don't have a problem with the rig, I always believed there was one. I have a problem with using the rig and PR's indicating a quick start of drilling to dump shares. I must be smarter than the "experienced" hands at AMEP and posters, because I said months not weeks to start drilling. The main pumpers said a well every couple of weeks!!! Then I have a problem when they start producing all that oil and gas is where the revenues will be going. No one has much info on investees.....I don't have much oil and gas experience, but I can usually smell bullchit a mile away..
GLTY, and remember to dump on the next pump and also remember the spikes get smaller and smaller as the OS gets bigger and bigger....see HISC...

rickguy6...I agree!! My posts get deleted when I "step over the line", and I have no problem with that....they should be. It does seem strange on some boards that a few get some "slack".... I quit using RB because I think they have a TOS computer "program" that knocks you out if enough posters get together and use the TOS. The Yahoo boards have the most freedom, IMO, but get cluttered with OT messages that are never "OT"ed by many posters...but the ignore works fine on the OT'ers...
Sold DOR yesterday at 0.47 on a limit day order. Was surprised when I got home since that was the high for the day...wondering if the ask got to 0.48 or 0.49 with no trades or I just got lucky. Will watch for now and maybe try to hit the low and sell on the next(?) spike.....

I think it's fun to watch the sharks feed....it's not about company fundamentals at all...just musical chairs and seeing who ends up losing the most money. HISC is one of Greeneye's picks...I'm sure he's long gone to the bank with that one, but some of the longs on that board aren't real happy with the latest PR and pps drop....

gemmerling...I wish you luck. I do wish I had bought at 2 cents and sold at about 7-9 cents, but I very seldom play OTC or pinkie stocks because I think 99.9% are pump and dumps and too risky....many "investors" end up being bagholders and the main pumpers just fade away. Do you have any OTC stocks that you have held for three years or more that have been successful????
As NG drops, AMEP will start finding more oil.....
Barneey...I have followed AMEP for over two years out of curiosity....it's fun to watch these OTC companies "revive" themselves after I'm sure they are dead money. The message boards go crazy for a while then they die down when the company fundamentals never change or get worse. Right now I'm waiting to see how high the OS has gone with the pump and dump and what the company reports as revenue in the next filing. So far nobody can tell me much about the investees..how many employees, expenses..are there three investee presidents???? All the trips to the field and no one asks the important questions about the investees...one-sided DD only provided.... The best DD posts on a company gives the good and the bad....
