Ok, first things first, let me start by saying that Fundamentals not Technical Analysis rule the overall trend of this stock, the TA can help with the dips and may help you accumulate. Here is a chart I have annotated in which all the major Pr's released in the recent months are shown and filings are clearly shown in red, they had a major impact on the next leg up, each time for this stock.
now we must take into consideration the last Quarterly in that chart which produced a Deep Down Second Quarter Revenue Up 145% Over First Quarter, and looking forward to the next quarter since (as per PR)
"Our current backlog alone exceeds last year's revenue, and we expect continued growth from ElectroWave going forward."

On that note let us look at the chart for 3 years for Weatherford International:

The reason I bring this up is because recently Deep Down Inc. named Eugene L. Butler as their CFO. Mr. Butler served in various capacities as a director, president, chief executive officer (CEO), CFO, and chief operating officer (COO) for Weatherford International, Inc., a $2 billion multinational service and equipment corporation serving the worldwide energy market, from 1974 to 1991. Prior to working their Mr. Butler (certified public accountant) was an audit manager with Arthur Andersen & Co.
Now that Deep Down Inc. has received its first analyst coverage and received a "BUY" recommendation from Dahlman Rose & Co. they cater to institutions, which has opened up a completely new avenue for Deep Down. Their initial target price for Deep Down is $1.50, but that can certainly be adjusted higher, as their estimates are shown to be underestimated.
Take for example Dahlman's initial $33.70M estimate for 2008. Once the Q2 was released they upgraded their estimate to $47.40M (this of course barring that their are no added acquistions which we will get into next)

6.46 + 50% (3.23M) = 9.69 for Mako Technologies still stands
but now we have a much higher number then brikk's conservative projections (that's why his projections are great)
where we calculated 36.597M (which was a 10% increase on Dahlman's original projections) we now have a 42.4706% increase by Dahlman, one their own estimates for 2008 making that number increase to 47.40M
so moving along:
9.69M for mako + 47.40 (Dahlman's new increased estimates)= 57.09M
using the same 23% margins as indicated below
57.09M x .23 = 13.1307M net profit
13.1307 / 67.8701 Outstanding Shares = 0.1934 EPS
0.1934 x 30 P/E ratio = $5.80 projected PPS for end of 2008
That is pretty bullish don't you think? hahahaha

This is just some of the things that we have had on our plate in the last few months and certainly many more to come, but one thing is certain, that with a management who has consistently shown us that they under promise and over deliver, their is many interesting things on the horizon for Deep Down Inc.

now let's boost DR's 2008 estimates by 10% to account for a Q2 beat and any additional upside surprise in organic growth:
33.27 + 3.327 = 36.597
9.69M for mako + 36.597M (DR's estimate + 10%) = 46.29M for 2008.
going off the Q2 filing, margins are now roughly 19%... and mako should boost this, so i think using 23% for net margins would be pretty conservative.
that gives us 46.29 X 23% = 10.65M net profit.
10.65M/67.1M OS = .16 eps.

absolutely great example brikk, the key is to do the following. Take it out of your mind that Deep Down Inc. is a short term play. Instead use these opportunities to accumulate, and for those who bought higher, average down, for those who bought lower accumulate.
I also feel that manipulation is evident in order to allow large investors to take positions according to Dahlman and Rose "buy" recommendation.
Let us take a look at why:
Well to start it is crucial that we not deny that Market Maker Manipulation is real. Now let us look at some of the things that the average investor doesn't know. Well their were certain "protections" instituted by the SEC after the market crash of 1929, to help such an event fade from mind and only be a thing of the past. Anyone that went to any high school or has any type of degree knows that this so called protections came about in the form of the 1934 SEC act.
Well moving along let's see what most fail to realize. Essentially there are two markets in the U.S. market system, they are :the rich man's market and the poor man's market.
Are they protected the same? NO
Through its own fault or cleverness the SEC has willingly ignored such rules the protect the higher exchanges and not the lower from manipulation. Let us take a look at how:
well here its an example:(this would be an example of volume manipulation)
Lets say Market Maker X sells 25K shares to Market Maker Y who then sells them to Market Maker Z, then Market Maker XX buys them, making it appear as if there is 75K worth of volume (selling pressure intraday), well in reality it was just used to make the "little guy" think there was a lot of selling pressure.

Another fact that most trader's on the NASDAQ are not aware of is that if one studies the buys and sells as they are reported in the OTCBB time and sales reports, and then by studying the reporting as it occurs in the ACT system, one interesting difference is that Market Maker to Market Maker transactions are recorded on the sell side only, while on the ACT system both buys and sells by Market Makers are recorded when the trade is being made with the general public. In the ACT system when a Market Maker buys from the general public it is recorded as a "B", and when a Market Maker sells to the general public (someone purchasing a stock) it is recorded as "S".
All is good and well with that right? not really, let's dig deeper into the rules that govern Market Maker to Market Maker transactions, should be the same right, not quite. Here is the rule as they are applied to MM's:
A Market Maker to Market Maker transaction is recorded solely on the sell side as an "S", not on the buy "B" side. If a Market Maker buys from another Market Maker, it is not recorded in the ACT system as a "B", it is only the selling Market Maker that reports it.
interesting yes, manipulation? OF COURSE.
well I'm going to stop going on, my basic point with all this (other then making us a a more informed investor) is know what you own, check the filings, call the company, do your DD, you will sleep better and also accumulate when the opportunity arises.

easy everyone, i wouldn't call intellectual discussion about filings "bickering." It has been noted that if there was an ever so slight addition to shares outstanding or the fact that options are vesting, this is a minimal number. Nothing to get worked up about and it happens all the time from quarter to quarter on the large cap, part of structuring the companies share structure. Either way discussion is great, and so is sideways trading, helps create a higher base for the next move up.
