wait, I think the CEO already did that!!??!!
He has no money, he can't even payback a $5500 loan I made to him to bail him out of a loss... last time he promised a buyback he dumped about 5 billion shares..... c please, SOMEBODY buy my 200 million shares on monday and get me out of this bottomless pit
if you have 20 Grand to back it up, they are up for sale - buy them Monday morning!
I am all too happy to dump my 200 million shares if we can get a bid on this disaster of a stock!
happy to send you the docs to prove that they are in default.... email me at smas.investor@gmail.com
the NY office is closed, the VA Beach office is closed, and the CEO has been invisible for the past few months
what this company does best recently is to lie to investors
amazing the interest today in a stock that has had no bid for many many months.... coincidental that they have law suits filed against them, complaints with the SEC... beware folks, the bottom line of this stock is that they do not repay their loans, and do not even answer the phone
Today, of all days, I got a facebook message from his wife, a response from a month ago, saying that I was wrong about him and that he was really dedicated to the company, and to never contact her again. Wow, what a coincidence!!
Part of the agreement was to be paid in 100 million shares, but he did not deliver on that either.
There have been months of BS on this stock, you must be new?? You might want to take a look at the history here.
I'd try, but he won't return my calls or emails because he owes me money.
Theoretically, yes..... as long as there are buyers who have not done their DD and are unaware of the history.
I would think it is significantly better if all complaints are original.... If you leave something out it is likely it was covered by someone else, and vice-versa.
On Monday I filed a complaint with the Attorney General of Massachusetts. I received a reply in the mail today that the agency with oversight of securities fraud is:
The Secretary of State Securities Division
One Ashburton Place, Room 1701
Boston, MA 02108
(617) 727-3548
They also noted that they (the AG) "do take note of every complaint received, and watch for a pattern of complaints related to a particular company, individual, or industry."
The MA AG's office allows for filing complaints online at http://www.mass.gov/Cago/docs/Consumer/consumercomplaintform.pdf
Doesn't sound right, but thanks for checking! I wonder why the Nevada SOS says that the transfer agent resigned in July??
If you happen to reach him, could you ask when he plans to pay me the $6050 loan he owes me personally, or if I really have to sue him to get it back?
4He - were you able to get any information on the transfer agent or the status of the share structure?
Email from Steve from the beginning of JULY - last I heard from him. Judge the honesty for yourself. This is a public company and the investors have a right to know!

Scott,
My apologies for my lack of availability. We just completed our 9-day training program intensive, in which I was working from 7a-midnight most of those days. Simultaneously and just prior to this, a best friends' child died suddenly, our building sustained significant flood damage, and a major server used in the training program crashed along with my laptop. This took up every waking minute of the past few weeks -- necessary to still produce the critical and wildly well-received training program without missing a beat, plus my ability to communicate has been even more severely hampered. For example, 3-days after the training program, I am now traveling, and am borrowing a 5-year old dinosaur of a laptop for 5 minutes to email you, and it took 15 minutes to connect to our corporate server, and has over-typed and deleted half of the sentences as I write.
Things are getting back into place, but I have now resumed some of the negotiations that have taken up most of my time recently -- we are working to finally close some significant rounds of financing and support to move forward on our various exciting projects with the appropriate resources for success.
These negotiations always take up more time and take longer as a PinkSheet company than they should -- regardless of the merit of our big opportunities. So, I am heavily embroiled in this right now. Depending on how things progress with this, I may be able to make payment to you as soon as today, but it also might take a few days more than that (I think that delay would mean sometime between tomorrow and early or mid next week), depending on how quickly expected funds are delivered to us. In that same timeframe, I think I could also deliver the stock option to you instead, which given all the plans the company is implementing now, might still be a desirable option for you. I will be speaking to my attorney late today regarding stock issuance.

you.
Dennis,
When did you receive that reply?
A point of note is that he states that Whole Solutions Consulting is a company he helped start over a decade ago. Then says "they" underwent a reincorporation. How can he say "they" from that point on if HE is the President, Treasurer, Secretary, and Director of that corporation. It is HIS company!! (see cut and paste below)
Also of note is that he never indicates that they have their own SEPARATE office at 32 Masonic Street, only that there are other offices there. If they are sharing office space under SMAS's lease then there had better be a lease agreement on file with a true market value rental rate paid to SMAS or it would be fraudulent of SMAS toward its' investors.

He said that the financing he needed was due any day. Yes, I have his cell number, but he doesn't answer it.
Joe, you can certainly do that from CA - have you? My suit is for default on a loan, I am trying to recover money that wasn't an SMAS investment, but a loan. Judgement will be easy to obtain, recovery of the money a bit more difficult.
nope.... was just a concerned investor who thought "we" really needed to be at that conference..... then found out he wasn't even at the table during crucial times, like early am when people were having coffee
It's more than that at this point... The evidence is piling up that he has walked away. The web company hosting his personal site, and SMAS's is owned by.... guess who! My attorney sent him a letter and he refused delivery. No one can reach him - he is on the run.
I am in the process of filing a suit against him for defaulting on a loan that I made to him to attend the Battlefield Healthcare Conference. Yes, he had to be bailed out on that one since his credit card payments (multiple) were all denied by the credit card company. That was only for $5500 - so we can assume that he has taken all of the money out of the company. We also definitely have a class-action suit that we can file against him. I have an attorney who will take the case, but not on contingency since there will likely be nothing left in the company by the time we get a judgement.
I think those with the SEC complaints are our best bet right now to be sure that no one else gets put in this position by this man ever again. Also, his wife is a pediatrician in Northampton - so maybe we can find a way to make this very public so that the whole town knows. He should not be allowed to scam anyone else.
any luck?
Rick - I can't reply to your pm, but will email you.
4He - Did anyone pick-up on this? When was the last time the share #'s were checked?
From Nevada SOS website:
Action Type: Commercial Registered Agent Resignation
Document Number: 20090582662-20 # of Pages: 3
File Date: 07/29/2009 Effective Date:
(No notes for this action)
I sent him this message on Facebook - maybe others should do the same...
Seems you have time to update your Facebook page, yet no time to update investors. How will you explain yourself to your child when he grows up that Dad is in jail for scamming thousands of people?
He was supposed to give me 100 million shares on a loan he defaulted on, but he didn't even come through on that. I am guessing that as suggested, they have gone to family.
Keep an eye on that page, there will be another suit filed VERY soon.
My guess is that he is hiding because he owes people money, including myself. Knowing that Steve reads this board, he too can read all about it when I tell the whole story.
More than coincidental I am sure that this site is down in addition to the SMAS site.
I'm not sure using the address of a public company as the place of business for a private business is legal, unless the public company is being compensated for rent, since obviously that is where their work is being done from.
Is this even possible? Apparently Steven Aronstein incorporated another company on 1/29/09, with the same business address as Somatics. I wonder if they are paying us rent since this is a private for profit company? Does this bother any of the other shareholders? Do we need answers immediately on what is being done at this address under this new company name?

Prime Somatics Some report not being able to access our website. We're working on a bugfix and we expect everything to be back to normal this evening!

Dennis Donchezthe website is the least of your problems. your CEO is missing in action and has left his shareholders holding the bag. The company has dumped billions of shares into the market with nothing to show for and no one will return calls or emails from the company.

Prime SomaticsDennis,
As CEO, I regularly take calls from shareholders. There are days when I spend hours on the phone with shareholder, whereas most microcap CEOs are completely unavailable to shareholders. In fact, so many microcap companies are a front for limited operations. On the other hand, we are busy growing our business, seeing clients, teaching classes, working on projects such as military pain care services. We are a small company with a big mission. There are much bigger companies than ours with no end of staff who blow off their customers and shareholders entirely with no excuse but utter disregard. We do get busy and we can't always return every shareholder call (again, some companies return no calls from shareholders), but we try and many will tell you transparent we are.

Prime SomaticsYou are correct that right now the market is brutal and this means our stock is not performing well. However, look at all the companies doing great things in healthcare, biotech, energy, etc. whose stock rises and falls with housing markets! Any shares we have issued have gone directly to growth of the company and the field of Somatics, so that more people can benefit from Somatics and more shareholders can benefit from this growth. With all due respect and humility, we are working on some significant ways in which Somatics grows as healthcare system in the world and as a business. There has never before been something the could help veterans in pain like Somatics can, and from a business perspective there is no better growth strategy. This is just one example of what we're working on, and while the current economy definitely slows any business' efforts nowadays, we are making progress all the time.

Paula HaroldHow is the uplisting coming? I was on a conference call a while ago when it was expressed that you'd be uplisting soon, but that hasn't happened and the share price continues to be the lowest it can go. Is there light at the end of this tunnel or should I just throw in the towel?
Prime SomaticsFurthermore, look at our activity and all the people who are involved with Somatics: Facebook, Twitter, our website, emailing updates about classes available are a way for everyone out there to enjoy and benefit from Somatics more. When we send out email to you about a class or let people know about an important Somatics event, that is us running our business and helping people. I'm sorry if those updates offend you, or remind you of your dissatisfaction with the company's stock performance, but that is not our intent. It should indicate to you that we are hard at work, growing the company and growing the field of Somatics.
As you probably know, we are open M-F, 9a-6pm ET. Please feel free to call any time to discuss this further, and we will try to discuss it as best we can.

Dennis DonchezI am sure you are very busy building your business but you may want to answer some of the individuals on Ihub since none of there replies have been answered and they are preparing legal action. I know it did not happen this year but maybe next year we will get a bid for this stock. Good luck to you and SMAS.
Prime SomaticsPaula, We are working on that right now in fact. I don't want to blame the economy for everything, but the truth is it really has slowed that process down. I assure you we never lose sight of those goals and continue to work on them. We are making good progress. Depending on a variety of factors, this could be something that happens within a month or still take a bit longer. I think there are great reasons to believe in these goals, and hang in there to see how big Somatics becomes for people. I hesitate to discuss this further here, because this is meant to be a site for people to partake of Somatics more, not discuss economics and business. In fact, I am concerned that for most people connected to Somatics -- who just want to talk about the work or enjoy its many benefits, this may already be an alienating conversation. Please call or email if you want to discuss this further.
Thanks!
