Federal regulators to hold public meeting on CIT group merger plan
WASHINGTON (MarketWatch) - Federal regulators announced Friday that they will hold a public hearing on CIT Group Inc.'s plan to buy the parent company of OneWest Bank NA for $3.4 billion in cash and stock. OneWest waged an unusual public campaign to argue that a hearing was unnecessary. The two banks in the merger were both hit hard by the financial crisis. OneWest is the former failed California lender IndyMac that was brought back to life by an investor group including George Soros and John Paulson. CIT CIT, +0.49% is a business lender led by Wall Street veteran John Thain that went into Chapter 11 protection during the crisis. The Federal Reserve and the Office of the Comptroller of the Currency will hold the hearing on Feb. 26. They have extended the public comment period regarding the transaction.

Pfizer will have to cope with Hospira challenges, says Bernstein
After Pfizer (PFE) agreed to buy Hospira (HSP) for $90 per share, Bernstein thinks that Hospira is facing a number of challenges, including the commodity nature of its small molecule injectable business and the possibility that biosimilar prices could significantly drop. The firm says that Pfizer paid a high price for the company ,and Bernstein indicates that it believes that Pfizer's cost cutting plans for Hospira may be overly ambitious.
Harris to acquire Exelis for $4.75B
Harris (NYSE:HRS) has agreed to buy rival Exelis (NYSE:XLS) in a cash-and-stock deal valued at approximately $4.75B.
Under the terms of the transaction, Exelis shareholders will receive $16.625 in cash and 0.1025 of a share of Harris common stock, for each Exelis share they own.

Merck (NYSE:MRK) prices a $8B debt offering that it will use to repay the commercial paper that financed its acquisition of Cubist Pharmaceuticals. The tranches are as follows:
$300M floating rate notes due February 2017; $700M floating rate notes due February 2020; $1,250M of 1.85% notes due February 2020; $1,250M of 2.35% notes due February 2022; $2,500M of 2.75% notes due 2025 and $2,000M of 3.70% notes due February 2045.
Closing date is February 10.

Expedia downgraded to Perform from Outperform at Oppenheimer
Oppenheimer downgraded Expedia to Perform citing eLong's negative impact to EBITDA margins and the company's' tougher compares in 2015. Opco removed its $92 price target for shares following Expedia's Q4 results. Shares of the online travel company sunk 8% to $80.95 in after-hours trading last night following the Q4 earnings report.

The deal size was increased to 7.8M shares from 6.5M shares. Goldman, BofA/Merrill and Morgan Stanley acted as joint book running managers for the offering.
