Cannabis Companies Are Ready for Mergers and Acquisitions

After nearly a year when there was almost no deal-making, cannabis companies are now readying themselves for M&A activity. That’s due to realistic stock valuations and the anticipated of continued legalization in the U.S. which attracts buyers to the cannabis industry—a sector that has been destroyed by oversupply and other issues, executives and investors say.
Profitable cannabis companies want to make a beachhead in niche segments and expand their brands by acquisition.
Many are betting that the U.S. presidential election this fall will result in marijuana becoming legal across the United States. Distribution deals could also assist companies in tapping into consumer segments who have shown an increased interest in cannabis products since the beginning of the COVID-19 pandemic.
Biggest Canadian Producers Ready to Buy
Aphria Inc, one of Canada’s largest producers, says that it’s in acquisition mode and is looking for companies that can add a well-known consumer brand to its beverages portfolio or if one that helps the company overcome a lack of chocolate production, CEO Irwin Simon told Reuters.
The company’s net revenue increased 129% from fiscal year 2019. The company’s gross revenue for adult-use cannabis of US $42.5 million in the fourth quarter was an increase of 27% from prior quarter. It was also the fifth consecutive quarter of growth. Net cannabis revenue of nearly US $40 million in the fourth quarter is an increase of 81% from prior year quarter. Also, net revenue of $152.2 million in the fourth quarter reflects an increase of 18% from prior year quarter and increase of 5% from prior quarter. And the company continued to hold its 52.9% gross margin in selling cannabis.
These financial results were reported in late July for the fourth quarter and fiscal year ending May 31, 2020.
Likewise, Canopy Growth Corp, the largest Canadian cannabis producer by market value, had about US $1.5 billion in cash at the end of June. The company’s strong performance will enable it to consider acquisitions, and the current market conditions would provide frequent opportunities, a company spokesman said.
Canopy Growth is backed by Corona beer maker Constellation Brands Inc, which has a significant stake in the company. Its overall ownership of the cannabis company is now 38.6%. Constellation Brands first invested in Canopy in 2017 by purchasing a 9.9% stake for US $191 million with the design of launching a series of cannabis-infused beverages. In 2018, it invested $4 billion in the company.
Another Canadian marijuana company, Cronos Group, has started operations in the U.S. It also is positioning itself to leverage potential sweeping cannabis legalization after the presidential election. However, this company may have issues, as it posted a second quarter report with earnings of -216.67%. Cronos is owned by Zacks Medical Drugs.
Since a high water mark in August 2018 prior to Canada’s national legalization of recreational marijuana, cannabis M&A dropped 80%, and capital raising slumped 70% to $2.71 billion through July 31, according to the Viridian cannabis deal tracker.
But the demand for cannabis has skyrocketed in the pandemic. Industry stock prices have recovered, which many think will result in available funding for deals. All-stock deals are expected to be the norm. However, companies with cash could also spend it on U.S. expansion after the presidential election, Reuters reported.
Canadian Cannabis Companies Pulling for Biden
A Biden victory would immediately mean greenlighting significant expansion for U.S. multi-state operators. Likewise, Canadian producers’ cross-border fortunes also depend on Democratic candidate Joe Biden taking the White House.
However, some analysts think that it may one more quarter before Canadian companies start making deals, while they continue to clean up their balance sheets.
Two companies need to sell in the near-term: MedMen Enterprises Inc and iAnthus Capital Holdings Inc. both restructured to avoid bankruptcy. The two cannabis producers own lucrative licensing agreements and serve markets that present new opportunities for acquiring companies.

Raymond James said the move would push the company’s share of the Canadian recreational market to 20 per cent. Village Farms currently owns about 58 per cent of Pure Sunfarms, while Emerald Health Therapeutics owns the remaining stake.

Hash is a strong cannabis concentrate containing high levels of THC that is traditionally sold as a solid resin that is ingested via smoking. Hash has had quite the makeover recently however and is enjoying a resurgence in popularity thanks to the rise of vaporisation or ’dabbing’ as a cannabis ingestion method. As a result the hash and concentrates market is booming, with recent estimates putting the total global concentrates market at 3.7 billion USD in 2018 with an expected rise to 13.7 billion USD by 2026.
With all these new products entering the market at such a phenomenal pace, the OG of concentrates-Hash does tend to get overlooked. Hash is a dark horse that should never be underestimated and believe me, at some point as your cannabis consumption advances from novice to more advanced, sooner or later you are gonna wanna see what all the fuss is about. So before we look at the Hash culture as it is today in the US and Canada first of all lets have a look at what exactly hash is, where it came from and most importantly how it is made.
Hashish, or hash for short, is made from the “kief,” or the resin of cannabis plants which is dried and pressed into “cakes,” or bricks, which can then be smoked in pipes, vaporised or mixed with other smoke-ables. Hash is generally yellow, brownish, sometimes reddish, and can be soft and crumbly, pliable, or stiff and brittle. Hashish is much stronger than cannabis flower and isn’t for a first timer or those with low tolerance.
Many experienced users prefer it however because it gives a “cleaner” high. No plant material is burned, people know right away what the effect is rather than having to waiting an hour or more for an edible to kick in. All these things make it a perfect choice for some medicinal users who desire chronic pain relief.
Many people also love the nostalgia of hash and its deep, earthy aroma and relaxing high. Smoking hash can transport you back to better, simpler times. Getting high on a back packing trip with new acquaintances, or smoking mixed tobacco and hash spliffs on the beach round a campfire at night. I personally smoked hash way before flower and I do find that it does take me back to those times of my youth.
This strong nostalgia element may actually have some science behind it too, as when the terpenes in hash were studied, an entirely new terpene was discovered. This new terpene was named ‘Hashishene’, as it is not found in abundance in anything else in the world, not even pot and so it is something entirely unique to traditional hash.
Hashish is steeped in history and originated in ancient Northern India with the first known mention of it being in Egyptian writings from 1123AD. Hash has been popular for centuries in North Africa, the Middle East and in countries such as Pakistan, Morocco and Lebanon, before spreading to Europe, and the Americas later on. Each source country has varying methods of producing hash, all which result in a different final product.
Hash can take the form of either a solid or resin depending on both preparation and temperature. Pressed hash is usually solid, whereas water-purified hash or “bubble melt hash” as it is also known is often a paste-like substance that varies in colour depending on what cannabis has been used. To make hash there are several processes, all producing a difference in taste, texture, and potency. The oldest method being “finger hash” where you simply rub the buds in your hands and collect the kief and oils until they are thick enough to scrape off and squash together. This process originated in India but is still widely practiced around the world, especially in the Caribbean. Dry-sieve hash is another simple ancient method that is still popular today. Dried plants are banged over screens, dropping kief into to a collection tray below which is then pressed either by hand or with a mechanical press. The modern equivalent of this being the collection of kief in harvesting trays and grinders which is then pressed together.
Modern commercial hash that you’ll see these days however is made much differently. Ice-water or “bubble hash” is a process where cannabis is stirred into a bucket of extremely cold water to freeze and break off the trichome glands from the plant. The weed/water mix is then poured through a series of three to five increasingly fine nylon mesh screens. The first screen collects all of the waste plant material; the others collect the wet, mud-like trichomes. Once dried, this hash can achieve a 70 to 80 percent-THC range.

Strong demand for hashish
Hashish has taken an early lead in the regulated concentrate markets in Ontario, B.C. and Alberta year-to-date, Headset point-of-sale data shows.
Hash in its classic brick form benefits from an existing consumer base that has been waiting for it to arrive on the regulated market.
Traditional pressed hash is a safe reintroduction back into cannabis for people who have maybe been sitting on the sidelines for a while and who maybe smoked it in high school and college,”
“In essence, what you’re doing is you’re taking what, in many ways, is considered a byproduct of your cultivation practice, and you’re turning it into a commercial consumer packaged good.”
Limited selection, high retail prices
Concentrate prices in the Canadian market remain relatively high: Headset point-of-sale data shows the average price for a gram of concentrate in July was CA$47.84 in Alberta, CA$39.23 in B.C., and CA$31.53 in Ontario, not including the government-operated Ontario Cannabis Store website.
Dan Sutton of Tantalus Labs attributes high prices in part to Canada’s federal excise tax structure for cannabis extracts, which taxes products such as edibles and concentrates based on their THC content.
“So essentially, the higher quality the hash, the more refined the hash … the higher your taxation level is going to be,” he said.
“It’s just one of those things – maybe it’ll change, maybe it won’t – but inevitably concentrates in general and solventless concentrates will have a higher cost profile than their illicit-market counterparts,” he said.
“And perhaps we combat that somehow with cost efficiency and moreover with product quality, over time.”
Vennat of 48North said he expects upcoming price compression in the concentrate market, but he believes that can be offset with new production innovations as demand for regulated concentrates increases and the market opportunity grows.
“The amount of engineering and capital (investment) that you can justify, then, into improving your process and improving your scalability of it, that’s what’s going to drive a lot of cost savings.”

Ontario is on pace to see 40 new pot shops licensed this fall as the province’s cannabis retail store regulator announced it is doubling the number of licenses it issues.
The Alcohol and Gaming Commission of Ontario (AGCO), responsible for regulating cannabis retail stores in the province, announced it will double store authorizations at the government’s direction. So far, the AGCO issued 164 licenses, 150 of which have opened shop in Ontario. Some 900 applicants are currently waiting to open cannabis retail shops.
In Toronto, Ontario’s capital and largest city, over a hundred pot shops are waiting to secure approval, while 53 have already opened.
“The AGCO will soon contact all affected retail store applicants directly to advise them of any change to the timing of the issuance of their store authorizations,” they added in a statement.
Ontario initially held a lottery to award the first 25 pot shop licenses last year. A second lottery was organized several months later, however, store openings have been lagging nationwide ever since Canada legalized marijuana two years ago.
