I agree that is what I see as well, just curious if anyone had any additional insight. It seems to me a lot of people are expecting a lot of dilution and a price drop once the merger goes through then it is to the races. Thanks. I know there is a lot of uncertainty once the merger closes, but I am comfortable with that risk. What concerns me is if the merger does not go through. Then there is likely no way to recoup the current price as it will likely go back to 10ish with no prospects. I am just trying to gage that risk before putting more $ in. I am new to SPACS and have learned enough to know I know virtually nothing abt them.
Zap-Thanks for responding, did in mean for that to be directed to you, I meant for it to be a general question for the board as a whole. Is the S4 the form of the merger. I have read some articles that say that the truth social company does not meet the requirements for the merger, but again I would have thought those things would be known by now and the merger is just formality with the only unknown being the negotiations and share structure between DWAC and trump or whoever is involved with the companies to be.
does anyone understand the nuances the merger and if there is a real/big risk of it not being approved. I would assume by this time if it were not going to happen it would reflect in a much lower PPS or am I way off. thanks in advance.

I know this has likely been hit upon some but are there currently any specific reasons that will keep them from merging other than negotiations.
CashC. In your entire run down of whatever that is. Does any of that sum up to an effective bottom line price of DWAC. If so what is it. In short can you tell me if I have 1 share of DWAC what will it be at the end when the plan comes together assuming your assumptions. Thanks. Or does all of that have nothing to do with share price and only an explanation on covering shorts. Sadly that is how lost I am on that.
To that point I have a question upon which I am afraid the answer is I am screwed. But if I understand correctly DWAC sold 36 million shares at 10 a pop and raised 360 million dollars that is sitting in an account. Now they want to buy a company that that may fetch 1.7 billion. Can someone tell me how that works without significant dilution. OR do I not understand it correctly. Thanks for any help.
I appreciate you trying, but it seems like it will have to be more than a few posts to figure it out. I will keep watching and see if I can figure it out but I am still not following but I am little further along. Will keep studying see if it makes more since over time.7
What the heck are you all talking about. I have been trying to figure it out and it is above me. Can you dumb it down some, and there are several post like this with other numbers and rabbit holes. For starters what is the "$250,000,000.00 worth". worth of what and where did that # come from. And am I correct in assuming the other boat is another deal or company being bought or merged with? I apologize if I missed a previous post explaining this, if so could you direct me to that post so I can catch up. Ultimately what does it mean for PPS of DWAC. Thanks for any help.
My 2 cents on the CPA front. If she is a CPA she would be listed. The fact that that she is not is a problem but it could be in her maiden name which is a valid point. However, my concern is that being a CPA is a big deal and she would advertise it, and from what I can tell there is no mention of it on her web page that I could find. I could not imagine a legitimate reason for not having that on her web site if she is a CPA. That would be tantamount to an ex Professional sports player trying to get you to pay them to train your kids and not advertise that you played the sport professionally. If she has signed anything financial related as a CPA then that is misleading at best and could be an issue. With that said GO EEGI.

I just have an observation/question to anyone. Posters are complaining about the loan and lack of info saying it is fake. So my question is. Why would they make up a loan just to go current. I would assume they do not need the loan to go current they just needed to file the paper work. The strength of the company is not required to be current and they could have the worst financials in the world and still get current. Is that correct? If so then why make up a loan for no reason. Does not make since to me. Any thoughts anyone?

That seems to be leaning towards the answer to my question on if it were possible. I do not know the reporting requirements. However, based on the letter, what is that 5% based on. 8.2 billion outstanding shares or 20 billion authorized. I would assume authorized. So then the question is how many shares could you own and be under that 5% threshold. Further I would suspect that there is more than one investor that would be doing that. If based on the 20B authorized shares that could mean as little as 4 investors to hold 4b shares. I would also assume these shares would fall under the 7.5B unrestricted shares. I do not know anymore than anyone else. I am just putting out what I think is a logical scenario for share reduction, which is the only way I see the price getting anywhere close to a $1. It is the way I would do it if possible/legal and if on the inside it would make since to me that they have a lot of shares at really cheap. I know I would.
no I said if they bought between .0001 to .0003. which would be an an overall cost of $400g to 1.2 mil. It was at .0001 for years and I bought some at .0003 this year.

I think I know what post you are referring to and I had trouble following it. But I ultimately agree the only scenario that I think is realistic is one where the buy back happened a while ago or at least the price of the shares are based on a price before the run and not one in the future. I do not think they will be buying back any shares held now by individuals. Such as me.
The buy back scenario does not make since to me. At this level it will cost them several Millions of dollars to buy back any significant amount. And that does not count the stock going up. What does make since is someone spent $400,000 to 1.2 mill to accumulate 4 billion shares (abt half of outstanding shares) from .0001 to .0003 at the beginning. Then they could have sold 1/2 billion below the price it is now and get there money back and still have 3 billion to retire and 1/2 billion to hold. Is there a way to tell if that is true or not. Broberts will not answer that since he is always right.
Then I guess they have to review everything so the stop could come back. Broberts, what are your thoughts this is my second post you have not responded too.

I am just curious, how do we know that the company does not own shares or that someone involved or close with the company has not accumulated an unknown amount of shares overtime. At some point someone on this board said they and their family owned close to a billion shares. I know they could be lying but why could someone else with the company or close to the company not do the same thing and just give them up. Not sure why they would but that is a different discussion. BRoberts did you not claim you owned 100 million or so at one point in time. Just a question not trying to bash or start problems.
