I am feeling weak about my DD as I should have found this previously. Also, As a CIVY shareholder we should have received a letter with all the info about the spinoff, as of 2 days ago I did not get one.
Basically We (CIVY shareholder) will get 1 share of Cellteck Inc. Stock for each share of CIVY we had on the record date, which I believe is 7/31/08. We won't lose any of our CIVY shares. So we will own both Co's stock.
I am going to call Scottrade to find out why I didn't get a letter, and when I can expect my shares. I am trying to find out if a Ticker Symbol exists yet for Cellteck, Any help in this area is appreciated.

The Storm Before The calm? This must be the buyers that came in late June - Early July, If I am right this was pumped around that time. Still not sure what was going on their.
For me I am holding to it's not a loss until you sell. I won't sell at this level, I will only think about it after the 3rd qtr comes out. Without a $5 million loss posted in the 3rd qtr things should look much better.
If I read it right, the government only required them to sell, due to a regulation that doesn't allow schools and other similar business to own real estate. The goverment didn't buy the buildings, a private investor did.
I have to re-read some of the details about how they originally acquired the buildings, and the details of the lease arrangement.
If there is a new IR soon, we can start asking some more specifics.
3rd Qtr should be clear, we knew of the sale from the 1st qtr report, just didn't have the numbers. I'm glad that they are taking it all at once, while at the same time spreading out income.
I believe it's a bargain at this price. Unfortunately to those who don't read in to it enough to see the loss isn't really due to operations.

Shanghai stocks soared Wednesday on speculation that the Chinese government was considering a fiscal stimulus package, triggering a recovery across the region.
The Shanghai Composite jumped 5.9% to 2,482.64, adding on to its 1.1% advance Tuesday, while the Shenzhen All Share index soared 6% to 705.
The gains came after Chinese vice-premier Li Keqiang said Tuesday that there was a need to increase household incomes and rural consumption, to cope with a weakening global economy, according to reports.
Separately, J.P. Morgan analyst Frank Gong wrote in a report Tuesday that the country's top leadership was "carefully considering an economic stimulus package" of at least 200 billion to 400 billion yuan ($29 billion to $58 billion), which could be in the form of tax cuts and aimed at stabilizing the stock markets and supporting the development of the housing markets.
But some analysts were skeptical that the market gains could be sustained.
In Hong Kong, the Hang Seng China Enterprises climbed 3.7% to 11,106.55, while the benchmark Hang Seng Index rose 1.9% to 20,864.38.
"I think it's just a technical bounce and the trend is still downward," said Linus Yip, strategist at First Shanghai Securities in Hong Kong. "I think a stimulus package won't be able to give an instant boost to the Chinese economy, which is passing through a difficult time," he added.
The surge in Shanghai helped stocks elsewhere stage a rebound from early lows.
In Tokyo, the Nikkei 225 Average rose 0.4% to 12,910.31 in the afternoon, while the broader Topix index added 0.1% to 1,237.24. Both benchmarks ended the morning session lower.
The resource stocks-laden Sydney market advanced after crude-oil prices gained, with the S&P/ASX 200 index recently rising 1.3% to 4,929.60.
Elsewhere, South Korea's Kospi gained 0.3% to 1,546.58, New Zealand's NZX 50 index inched up 0.1% to 3,321.74, Singapore's Straits Times index advanced 0.7% to 2,747.18 and Taiwan's Taiex climbed 0.4% to 7,005.28.
Leading the gains in Shanghai, shares of Poly Real Estate Group Co. and Citic Securities surged by their daily limit of 10%, while Ping An Insurance (Group) Co. of China (601318.SH) soared 8.3%. In Shenzhen trading, shares of China's largest listed real estate company, China Vanke Co., jumped 7.3%, while Angang Steel Co. (ANGGY) rose 6.3%.
In Hong Kong, recently thrashed shares gained the most, with Guangzhou R&F Properties Co. (2777.HK) rallying 9.3% and China National Building Material Co. (3323.HK) rose 11.9%, while Tsingtao Brewery (TSGTF) jumped 8.3%.
But shares of Chinese power utilities dropped, reversing gains from the previous session, when they advanced on reports the government had allowed them to raise tariffs on electricity sold to power grids. Shares of Huaneng Power International fell 5.4% and Datang International Power Generation Co. slipped 0.2% recently.
In a note to clients, Morgan Stanley analysts wrote Wednesday that the hike was "due to the sharp deteriorating operating environment" of power producers due to high costs and said the increase "wasn't sufficient to offset the increase in coal costs" between July and August.
In Sydney, shares of BHP Billiton (BHP) climbed 4% and Woodside Petroleum ( WOPEY) gained 1.3%.
September crude oil futures advanced as much as 50 cents to $115.03 a barrel in electronic trading, after rising $1.66 to $114.53 a barrel Tuesday on the New York Mercantile Exchange.
In currency trading, the U.S. dollar recently bought 109.72 yen, compared with 109.74 yen late Tuesday.
On Wall Street, the Dow Jones Industrial Average (DJI) fell 1.1% to 11,348.55 and the Nasdaq Composite (RIXF) lost 1.4% to 2,384.36, while the S&P 500 index ( SPX) shed 0.9% to 1,266.68.
I agree, Looks Good Longer term, get rid of it now.
They were sold, but they took a loss, I have to reread that part and see why or how the loss was taken, The loss posted was about 5 million, this whole building issue is what is killing the numbers.
Also the way they are accounting for some of their income has changed, such as the one time non refundable deposit they receive, it used to be posted in the quarter in which it was received, now it is spread out. so the year over year looks weaker.
In the long run, these changes should provide more stability qtr to qtr.
I also believe they have a receivable on the buildings, equal to the lease payment.
10Q Out. My Thoughts...
This quarter shows some changes to a couple accounting methods, and also is settling the sale and lease back of the school property which the government had required them to do, it appears if these changes had not been made, that the final numbers would look much better. The biggie was the loss taken on the sale. Without that, I think the net income would have been much better.
I'm not an expert so please anyone who can shed any additional light, please do.

The good...
OTCFN doesn't necessarily have a perfect reputation... at least from what I found. So there may have been a credibility issue if potential investors where exposed to CIVY through them.
Also, it appears that they didn't do alot of promotion aside from publishing their report, my guess is that they where commissioned for the report only, and not IR services, which is what I wanted to clarify.
This may mean that CIVY will be engaging a new IR, that is better equiped to do promotion and other services.

Any Questions? - I have a call into the IR - OTC Financial Network. 781-444-6100. I spoke first to the secretary, and was transferred to someone locally. I was told that the account is being handled by the owner and also by Joe Lukeman. I left my name and number and was told to expect a call back from either Joe or the Owner of OTC - Jeff.

As far as the CIVY being real, I have found at least one online resume posted by an active teacher at the Blue Tassel School, I will see if I can relocate it and possibly contact that person for a more inside look at the organization. The person was an american teaching english as a second language.
Also, I have found references to students from Blue Tassel participating in competitions. I will begin posting this info as I find it. I am fairly busy the rest of this weekend, but I will attempt to locate some info and start posting by Monday.

Yeah, News would be nice, It was just my personal feeling that the short may be some of the source of selling at the bid, for themost part it has been fairly small sells that are bringing this down.
We should see positive numbers in the 2nd qtr earnings, it's just a matter of spreading the word. PE right now is about 1! That is insane, for a established growing company, especially since they are starting to show a profit.
In addition to the IR I may try contacting China Ivy / Blue Tassel directly, and ask if they can do at least a little promotion. It is almost my belief that since they are doing well enough, and haven't sold any shares in a long time, that it is not a burning issue for them at the moment.
I'm with you, It does seem when I looked before though, that it has been very little share volume relative to the overall volume the past few weks, that keeps dropping it.
Also, note that the short interest in this has increased to about 40,000 as of the last reporting.
2nd Qtr eranings are due next Friday, Hopefully we start to see some increased interest at that time, I will also try to contact the new IR and see if they have any plans.
Has it been sitting that long? wow, I got in a few months back when I was looking for lotto's that may do something sometime fairly soon, I hope my fairly soon doesn't take 3 years!!

The only regret I have right now is that I don't have any extra $$ at the moment to buy more. What I have been able to accumulate over the last few months is what I will have to hold onto.
But I agree, definitely a sleeper. And with all the rest it has been getting, I can't imagine what will happen when it wakes!

A fire is what we need, I think all that is lacking is interest, from people I have talked to I think the PR co should focus on putting peoples mind at wease also on it being a company in China, people I have talked to that have done a fair amount of investing seem to dismiss CIVY based only on it's location. the 2nd qtr results are expected to show a profitable quarter, something that is new to this company.
It is my opinion that Stervc hopes in terms of PPS could happen if this thing gets any interest.
FYI, within the past couple months, CIVY changed accounting firms, and also hired a promoter, so it does appear they may be ready to make some moves, at least as far as promotion goes.

wow, As far as it relates to the school, it is over 1000 miles away. I do hope though it is not an indication of bigger quakes to come, I slo believe it is in the same region as the previous recent quake they had.
Looks to be getting ready to move back up. Should see 2nd qtr numbers within 2 weeks now. Hope to see the new IR putting some info out too during that time.

Other than inactivity overall, it seems nothing. I'm hoping that the New IR along with hopefully positive 2nd quarter earnings will help get this on the radar. Right now it appears that there has been some decent buying going on, and small sells at the bid or below that are pulling it down litle by little.
That's what it seems.. why would anyone sell now? With wht I believe is over two million shares bought in the last three weeks, and not over 500k in sells. It seems something good is on the way.
The new IR hasn't even started promotion yet from what I can find.
