Decisionmaking Process:
1. After June 20th, Executives will narrow the list down to a few top contenders.
2. Search will be done regarding trademark, domain, etc.
3. Those that emerge from this search will be reconsidered by executives.
4. CEO will make final decision and recommend one name to the Board of Directors.
5. BOD will vote it up or down; if approved, they will recommend it to the shareholders for vote.
6. Shareholders will vote it up or down; if approved, it will become effective at the end of the transition period.
7. Transition plan (stock symbol, logo, printed materials, stock certificates, web site, etc.) will be developed and executed.
8. Transition period will be complete September 15th, and the Company will begin using the new name.
So, on 15 September they start using their new name so prior to that date the meeting must have been conducted.
My personal opinion is that they need at least 1 month between approval during SHM and starting of the new name.

On May the 5th 2003 they have announced to stop this trial.

Energie-onderneming Nuon stopt met de proef in de Arnhemse wijk Rijkerswoerd waarbij internet wordt aangeboden via het stopcontact. De 180 deelnemers zijn daarover gisteren geïnformeerd. De proef wees uit dat het meesturen van een internetsignaal over het elektriciteitsnetwerk mogelijk is, maar dat technische beperkingen grootschalige toepassing in de weg staan. Ook commercieel is internet via het stopcontact vooralsnog niet winstgevend.
Nuon startte in november 2001 het proefproject Digistroom. Gedurende drie maanden sloot Nuon 180 vrijwillig aangemelde huishoudens aan op internet. De proef toonde aan dat het mogelijk is om op kleine schaal via het elektriciteitsnetwerk storingsarm en over een grote bandbreedte te internetten. De Digistroom-prestaties laten zich vrijwel meten met die van andere breedbandoplossingen zoals kabel en ADSL.
Voor grootschalige toepassing, waarbij duizenden huishoudens worden aangesloten, blijkt de techniek onvoldoende geschikt. Dan ontstaan onoverkomelijke hindernissen, die verband houden met de sterkte en de versterking van het internetsignaal. Verder zijn aanleg en onderhoud van Digistroom-toepassingen kostbaar. Ook onderscheidt Digistroom zich als product onvoldoende van bestaande breedbandoplossingen.
De 18o Arnhemse huishoudens hebben ruim een jaar gratis gebruik kunnen maken van het snelle Digistroom-internet. Zij moeten nu omzien naar een andere internetaanbieder. Op 1 juli 2003 wordt het Digistroom-netwerk definitief stilgelegd.

Technology:

New Visual has a Telecom/Semiconductor product that has the potential to help Telcos (Telecommunication Companies) radically accelerate their revenues and reduce their costs. CEOCFOinterviews: What is it that you have and what does it do?
Mr. Ketch: "The Semiconductor is a chip that will be installed and used in equipment that the telephone companies buy. This equipment will be attached to the regular copper wires that are already serving businesses and homes around the world. Once the equipment is attached to these wires, it will allow the wires to transmit data faster and farther than it has before. Telephone companies will use this data to launch services like high-speed Internet and video and other types of business applications."
CEOCFOinterviews: Where will the equipment and chip be housed?
Mr. Ketch: "It will be in a building and at the central office. That is the point in the Telecom network that is the onramp to the high-speed fiber optic links that now go around the world. What we have seen with Telecom in the last few years is a massive over-investment in the fiber-optic infrastructure. The over-looked area was in what is referred to as the ‘last mile,' which is the link between the CO (central office) and everybody's business or home. That last mile serves as a ‘choke point' to us all getting high-speed data. Our chip will open up that ‘choke point'."
CEOCFOinterviews: Will your technology be used to reach homes as well?
Mr. Ketch: "Yes! However, the first versions would go into businesses and be placed in network equipment that businesses already deploy everyday. In the home, it could reside in a DSL modem or a cable modem that goes on top of the television, or in some other type of home gateway box. Even a PC."
CEOCFOinterviews: Is your product offering very different from your competitors?
Mr. Ketch: "There are other semiconductor companies in the broadband telecommunications space who are attacking the same problem. Like any other chip business, this is just about us being the latest to market with the fastest chip. It is a ‘leap-frogging' and others will ‘leap-frog' us in time. That is why we are gearing up to continue to develop new chips and new generations of products."
CEOCFOinterviews: Where do you currently stand with development and bringing your product to the market?
Mr. Ketch: "On December 30th (2002), we announced the release of our prototype to two target customers who are in the Telecom equipment manufacturing industry. This was a huge milestone for us; the team has worked for a couple of years now to get to this point. In 2003, we intend to move past the prototype stage and actually release a final high-volume, low-cost product. In addition, we expect to begin shipping it to equipment manufacturers worldwide, for installation into their equipment and shipment to Telcos worldwide so that they, in turn, can begin putting them in the network and turning on enhanced service."
CEOCFOinterviews: Your customer then is not the Telco but the manufacturer selling to the Telcos, is that correct?
Mr. Ketch: "Correct! It is a little bit of an indirect sales model. We hope that millions of our chips will flow to telcos here in the U.S. and worldwide, but we will never actually sell directly to them. Our sales model is to their existing equipment suppliers that are already established."
CEOCFOinterviews: Is this a partnership relationship or are they customers?
Mr. Ketch: "They are our target customers and they are informally working with us in this stage of our development to make sure that we hit the bulls-eye. This is a highly complex product, which must be designed with the need of the specific equipment manufacturers in mind. It is a highly concentrated group of customers. There are only a few hundred companies worldwide which we target, but they buy in extremely high volumes. We are making sure that our approach and they way we finish off the product is going to meet their needs."
CEOCFOinterviews: How will you be manufacturing the Chips?
Mr. Ketch: "We will not be creating our own fabrication plants; we will be utilizing someone else's. We haven't decided who that is yet."
CEOCFOinterviews: The Telecom industry is in pretty bad shape; obviously that has to affect you because people aren't buying new equipment, or are they and we just don't know it?
Mr. Ketch: "This is a ‘melt-down' of unprecedented levels in United States history and probably world history. The number of jobs lost and the amount of market cap wiped away has far exceeded what happened to the Dot.com ‘melt-down.' The whole industry has gone through the period of crash, and now we are in a period that the FCC (Federal Communications Commission) termed ‘catatonic.' We actually believe that at New Visual this plays well for us because we are not shipping products yet; we are still developing and releasing that first product. I think our timing is going to be good; we will have our high-volume, low-cost product out the door when the rest of the industry --equipment services -- starts to pick up. Another way that this meltdown has benefited us is that our competitors are slowing development of new chips. We believe that we are one of a very few companies in what is normally a highly competitive worldwide industry that is actually rolling out a new product in 2003."
CEOCFOinterviews: Then getting companies to look at your new material is not a problem.
Mr. Ketch: "We are attracting interest and long-time industry insiders and relationships are very important to getting a new chip company launched."
CEOCFO: What is your main challenge right now?
Mr. Ketch: "Raising the capital that we need to continue to develop out this product is our main challenge right now. We are already public, which is a little unusual for a company at our stage of development. We are finding that Telecom as a stock sector is one that most folks have rotated from right now. However, we believe that they will rotate back eventually. We have a period here where we are working very hard to tell our story and attract the capital that we need to continue."
CEOCFOinterviews: Are you being lumped in with Telecom and if so what would you like to say to people in the investment community?
Mr. Ketch: "I do believe that we are lumped in with Telecom. When we speak to private investors and private funds about the opportunity at New Visual, the conversations typically do not focus around our break-through technology like you would think they would. Instead they focus around how much has been lost in Telecom stocks over the last three years, and how scared private funds are of taking a position beating. They don't understand why the bets that were made two or three years ago proved to be so disastrous, and therefore they are not sure how they would make a bet going forward. We believe we have a compelling story. I believe now is the time where the seeds of the rebuilt telecom industry are being sowed. We absolutely believe this is the right time to be investing in semiconductor technology."
CEOCFOinterviews: Why do you need additional capital?
Mr. Ketch: "Specifically, to make the leap from a prototype to a finished ASIC (Application Specific Integrated Circuit), which is a capital-intensive chip. We are now at the stage where we need to build out a fully formed semiconductor company and move beyond being an engineering-driven development effort."
CEOCFOinterviews: What final pieces to your company's organization and development need to be put in place?
Mr. Ketch: "We need to create the final product. We also need to create the sales and marketing, customer care, operations and other infrastructure type functions that we know we are going to need down the road. Companies in this industry tend to go from small to large. Look at the history of many of the publicly held broadband stocks; if they have a hit, they go from small to very large very quickly. We believe we are going to have a hit and our plan today is to not be caught by surprise by the demands of growth. We need to fund that growth phase. We will use cash at least a few quarters before the period of time that we are generating the revenues and positive cash flow that other companies in our sector generate."
CEOCFOinterviews: I would suspect there are a lot of people around from the industry available, where at one point they were not, which might make it easier to get the right people in place!
Mr. Ketch: "That is a great comment and it is true. Fortunately for us, stratospheric salaries are coming down. There was a gold-rush mentality in the 1990s, which was replaced by what feels more like normal Telecom industry practices. This is starting to feel more like a sustainable industry, and that raises our comfort level. The gold-rush period was difficult for us veterans because there were silly things happening, amazing salaries and marketing costs that were being incurred that were ridiculous. What I see over the next few years laid out in front of us is a return to normal profitable and sustainable levels. I like predictable cash flow, attaining promises that were made. Taking wild, giant bets on the future that are undefined isn't the way to bolster value."
CEOCFOinterviews: You've had some settlement obligations; is that all cleared?
Mr. Ketch: "Yes, and more information will be disclosed in our annual report. The press release is complete and accurate. There are no more over-hanging issues or payments, which have to be made and fortunately, that is part of our company's history now."
CEOCFOinterviews: Are there patents involved in what you have developed?
Mr. Ketch: "There are. Both issued and applied for. Around September, we did a press release to make a fuller statement about these patents and pending applications because there are many of them and they are international in nature. We have a development partner -- Adaptive Networks, Inc. (Private). They serve as our development shop and the patents are shared with them. The number of employees that we have at New Visual is very small but it is supplemented by many engineers that are dedicated full-time to the development of the product over at Adaptive Networks. We own that development with them, but are exclusive owners in our space."
CEOCFOinterviews: Will your product be more cost effective just because it is faster and better or is there another cost benefit?
Mr. Ketch: "There is -- and a powerful one too. Today, when a telephone company receives a request from a business for very high-speed services, the Telco, many times, can only deliver that service if they put it in fiber optics. Putting it in fiber optics means digging up the street in front of their building and running that fiber along whatever path it takes to get it from the central office to the business. That costs a quarter, to a half-a-million dollars per mile. That is not including the cost of electronics, sales and marketing or anything else. It is pure capital expenditure by the Telcos to run fiber to a building.
During the late nineties, there was a lot of fiber being run, but even with all the billions of capital dollars being spent, only about five percent of the buildings in the U.S. have fiber today. The other ninety-five percent don't -- and given the current state of the industry; they aren't going to! There is pent-up demand for high-speed services from businesses because Telcos have stopped actually putting fiber optics into buildings. Our chip will allow Telcos to serve ‘fiber like' services without putting in fiber. They can put speeds of many megabits per-second across the existing copper, and avoid digging up the streets. We give them the opportunity to completely avoid the quarter to half-million dollar per-mile cost to get multi megabit services into a building."
CEOCFOinterviews: So you decided to make use of something that was being overlooked?
Mr. Ketch: "Yes, when all the fiber optic activity was going on, the copper was just sitting there being ignored and we decided not to ignore it!"
CEOCFOinterviews: Do you see the need to address the industry through trade shows or trade publications?
Mr. Ketch: "Both. I think if I had a very large budget we would be doing some things but not a lot. I think we will be ‘turning up the heat' in the summer and fall --coinciding with the release of the final product."
CEOCFOinterviews: In closing, what should people remember about New Visual Corporation?
Mr. Ketch: "We have a solution that will fit on the copper wires of the world. There are a billion copper wires currently installed. So, if we have a hit, the hit would be multiplied very quickly by large numbers. As large and exciting as that is, it is still only part of the picture because two thirds of the world has yet to make its first telephone call. Telecom is going to continue to be a major global industry for my lifetime and everybody else's to come. What we are doing is getting a ‘seat at the table' as a new semi supplier with a very ambitious family of new processors that are positioned for the recovery of the Telecom industry."

South West Broadband launch
Broadband Internet service, a boost for rural Ireland

The South West Regional Authority in Ireland has secured funding from ESA to carry out trials that will provide high bandwidth broadband Internet access via satellite to remote areas of the country.
An Tánaiste Deputy Mary Harney T.D., Irish Minister for Enterprise, Trade and Employment, launched the South West Broadband Initiative on Friday, 17th January 2003 in Cork, S. Ireland. The launch was also attended by Pat Cox, President of the European Parliament, alongside representatives from the South West Regional Authority.
The Initiative, in cooperation with Cork County Council and Kerry County Council, along with project partner organisations will test, demonstrate and evaluate the usability, cost-effectiveness and reliability of local wireless networks in Cahirciveen, and Killarney in Co. Kerry and in Bantry, Co. Cork. These towns are expected to be the first of many towns in the South West to benefit from satellite-fed wireless broadband.
This infrastructure is expected to stimulate and facilitate the development of new economic activities in towns around the region and will also act as a shop window across the rest of Ireland, and be of significant interest around Europe.
Mr. Francesco Feliciani, Head of the Applications Section in the ESA Telecom Department said, "Today, Broadband connectivity is becoming part of our everyday environment. Disconnection will inevitably become a discriminating factor, hampering economic and social development. This is why the European Space Agency (ESA) welcomes and supports the South West Broadband Initiative, in the frame of the ESA Telecommunications programme line.".
The satellite technology will be utilized for uplinks and downlinks, in delivering government/public services, education and training, business development and health and medicine information and services, using various applications and satellite operators, delivering different bandwidths, as required.
The Regional Authority is especially interested in working with any Irish or European Small or Medium Sized Enterprises, who work in research and development or manufacturing of complimentary technologies. The project offers such companies a test bed and demonstration platform for their product or service.

So if someone was getting service at 10,000 feet and 256K speeds, there service could be 534K at the same distance. If someone could not be serviced at 12,000 feet from the central office where the service provider could not deliver DSL, they may be able to with our new solutions.

A complete description of the various types of DSL, generically referred to as xDSL, is beyond the scope of this RAQ. Some xDSL services, like ADSL and VDSL, are asymmetrical in nature, such that the data speed downstream (DS) from the central office to the subscriber is much larger than the data speed going upstream (US) from the subscriber to the central office. Other xDSL services, like HDSL, HDSL2, and SDSL, are symmetric in nature, where the data speed is equal both ways.
We feel that Embarq is well-suited for its intended application - the transmission of symmetrical data across telephone wires.
We also continue to believe that the performance of the Embarq processor in these applications represents a significant improvement over typical speeds and distances for xDSL transmissions, as the following chart illustrates:

Today's PR is well timed and versed. A job well done. Two questions I have are, "Is 24 gauge wire, standard?" I thought your website or had been talked about by personnel, that the standard was 26. How does this affect the distance and speeds mentioned?

Telephone company (telco) outside plant copper cable has been deployed, and continues to be deployed, in a wide variety of gauges. AWG is an abbreviation for "American Wire Gauge" and is the standard for wire conductor sizes. The "gauge" refers to the diameter. Telephone cables are usually 19, 22, 24 or 26 AWG, with the higher numbers referring to the thinner wires. The four US Bell companies commonly deploy 26 AWG cable, while independent telcos often favor thicker, 24 AWG cable. Internationally, every country has its own deployment guidelines.
Telco outside plant engineers are schooled in dealing with outside plant cables. The AWG numbering system is standardized, and by knowing a couple of speed and distance parameters, they can easily calculate approximate speed and distance values for other AWG gauges. They are accustomed to receiving performance parameters from vendors such as New Visual and converting them to the actual AWG wires that are present in their outside plant. For this reason, we do not plan to publicly publish the many tables that give the conversion factors, though we will make them available to our customers.
As a side note, our competitors do not typically publicly specify which AWG they use in making claims for speeds and distances. This makes comparison difficult for the average investor. Unlike our competitors, we chose to specify the AWG used as a method of comparing our technology under equivalent circumstances against other performance claims. The specification for testing VDSL, for example, includes the use of 24-gauge wire.

For the laypeople out there, could you explain the BER rate of the Embarq Technology in relation to the "industry standard"? Is it better than what is out there?

Whether they design communications equipment, develop tests for production, install network subsystems, or maintain networks, telco engineers need to make bit-error-rate (BER) measurements. BER measurements give them insight into the health of an entire network; a network subsystem such as a switch, router, multiplexer, or hub; or a network component such as an electrical or optical transmitter or receiver. The measurements also provide benchmarks that network users require from communications service providers as part of quality-of-service agreements.
BER measurements tell how many bit errors occurred for a given number of bits that passed through a network, subsystem, or component. One error in 1000 is referred to as BER 10-3. One error in a million is BER 10-6. For strictly voice circuit application to T1, a BER of 10-6 or 10-7 might be considered acceptable performance, although a BER of 10-8 or 10-9 might be required for some data purposes.
New Visual chose to release its performance data with a reference of 10-9, though we could have chosen a higher or a lower BER number. At a higher BER, our speeds would be lower, and at a lower BER, our speeds would be higher. A BER of 10-9 is an acceptable BER for our product in its intended use. As a side note, our competitors do not typically publicly specify which BER they use in making claims for speeds and distances. This makes comparison impossible for the average investor. Telco engineers are privy to privately available data and can therefore make informed competitive comparisons. We are being told by them that we have the best performance in the industry.

We have received several questions from interested investors like the above inquiries. The speed and distance numbers that we have released are all that we plan to release publicly at this time. These speeds and distances represent significant advances over other published claims. Additional information, such as expected performance on a variety of loop lengths for different service applications, is being provided to our target customers.
Strategically, New Visual has positioned its technology to target specific markets and applications that current technology cannot address. The Carrier Serving Area guidelines specify a geographic radius that reaches a majority of customers within an addressable service market. Typically, these ranges are served directly by a central office or a remote terminal and can be 6, 9,or 12 kilofeet depending upon things like the number of subscribers in the region, the network topology, customer demographics and demand for various types of services. Current high-speed wire line technology is fairly well suited for delivering speeds in the 1-2 Mbps to 100-200 Kbps range out distances greater than the Carrier Serving Area. While this type of performance may be satisfactory for delivering current residential services to remote areas, service providers have no meaningful option to deliver high-speed symmetrical services in the CSA range without bearing the expense of deploying fiber optic technology. Yet demand for these services continues to grow. This is our target market for the first-generation Embarq processor.
One planned element of the Embarq™ family of transport processors is the repeater. A repeater regenerates a data signal and gives it an additional several kilofeet. We envision the use of repeaters for copper lines that are outside the Carrier Serving Area guidelines of 9 kft on 26 AWG copper and 12 kft on 24 AWG copper, though these repeaters may not be necessary if the Telco is using Embarq™ for low bit rate data services.

These communications have been largely positive and congratulatory, and have typically included requests for additional clarification about Embarq™. Now that we have delivered our Embarq prototype to the companies evaluating it can you tell us when the results of their tests will be released? Who will make this announcement; them or us?

As target customers receive and evaluate our prototype, we will work to further refine the technology so that our high-volume ASIC meets the customers' needs for speed and quality, and ours for profitability. This process takes as few as four months and as many as eight months time. During this period, we are discussing the technology, the business relationship, demand forecasts, the needs of the telcos and the end users, and commercial terms like pricing and guarantees for our first series of products.
It is not customary in the telecommunications industry to publicly announce which telcos or equipment manufacturers are customers. For example, GlobespanVirata releases no information about its customers, other than those disclosures required by the SEC, namely information concerning customers that contribute more than 10% of GlobespanVirata's revenues. Though we would certainly like to answer questions concerning our potential customers, we would typically be barred from doing so by the terms of Non-Disclosure Agreements, unless mutually agreed to by both parties. It is likely that investors will need to rely upon the Company's public filings and statements to the press as to our progress in developing and delivering Embarq™ until material commercial transactions occur. We are, of course, required to disclose our material contracts in our periodic reports filed with the SEC.

Doubts over tests on high-speed broadband technology

Doubts have arisen about how meaningful impressive test results obtained on prototypes of high-speed broadband technology really are.
As previously reported, New Wheel Technology (NWT) has submitted prototype kit for tests where it recorded unidirectional transmission speeds of 54Mbps over a distance of up to 2.8Km, using existing twisted-pair copper telephone cables.
However experts have said that the tests, conducted by Lucent on technology called Cu@Ocx from NWT, are incomplete and do not prove the distance limit for high-speed broadband over copper has been extended.
Gavin Young, a former technical area leader at BT, said that it's relatively easy to send a signal from one end of a wire to another by increasing transmission powers.
The test may be valid, he said, but it was "out of context" and did not show if the technology was deployable for two-way data in real-life setups.
"Performance results only have credibility in a realistic test set up with realistic cross talk and egress limits," said Young.
Rich Wilson, marketing manager at New Visual Entertainment (NWT's parent company), said the Lucent tests were just a "proof on concept" exercise. He admitted that tests covering factors like interference, cross talk, bit error rates and quality of service are still outstanding.
Previous statements by NWT have concentrated on developing xDSL technology but now the firm has changed tack and said its target market is in developing ideas for symmetrical broadband kit that doesn't stick to xDSL specifications.
Wilson said NWT's goal was to develop kit that could deliver 52Mbps symmetric transmission rates over 12,000 feet (around 3.2km) over a set of four copper wires. It would then license this technology, which uses NWT's proprietary multi-channel modulation techniques, to equipment manufacturers who Wilson hopes will be able to deliver kit within the year.
"We didn't feel VDSL was the biggest available market opportunity - but we could be swayed," said Wilson.
There is enormous doubt in the industry about NWT's ability to execute on its plans both from a business and technical perspective, particularly given the scant details available about the supposed breakthrough modulation technology.
We spoke to experts in BT's Research Labs who said the speed for broadband transmission technology over copper cable has so far been limited to 10Mbps in real-world environments. Even in environment with no crosstalk or interference, BT are only aware of speeds of 25Mbps over 1km.
So far the evidence provided by NWT hasn't been enough to justify the conclusions of a breakthrough even we, at first, were inclined to believe them. This leaves us waiting more in hope, rather than expectation, for proof from NWT. But then again don't the best thing's come from hope? ®

New Visual Settles Debt with Former Officers

SAN DIEGO -- In compliance with a court-supervised legal settlement, New Visual Corp. has bought back 500,000 shares of its common stock and cancelled 2.2 million additional shares.
The settlement stems from a lawsuit brought against the company by former officers Allan Blevins and Michael Shepperd, whose company New Wheel Technology Inc. was acquired by New Visual in February 2000 for $6 million. As part of the deal, Blevins and Shepperd were issued three million shares of New Visual common stock and were named chief financial officer and chief technology officer, respectively.
New Wheel purportedly had developed a technology that enabled high-speed data transmissions over existing copper telephone cables. Dubbed Cu@Ocx, the technology was touted as being able to effectively bridge the so-called "last mile" between office networks and high-speed optical fiber networks.
New Visual parted ways with Blevins and Shepperd because it became apparent that it would take too long to commercialize the Cu@Ocx technology, according to Ray Willenberg Jr., chairman.
To date, New Visual, which evolved out of an entertainment company, has filed for patents but has not announced any products.
Under the terms of the settlement, announced in July, Blevins and Shepperd returned 2.2 million shares of New Visual common stock, which are being cancelled. The cancellation of these shares reduces the number of outstanding shares by approximately 4.3 percent, according to company officials.
In addition, New Visual purchased from Blevins and Shepperd 500,000 shares of stock for $375,000, paying 75 cents per share. Blevins and Shepperd will continue to hold 300,000 shares, which are subject to a lockup and will only become available for public sale at specified dates and amounts between now and January 2004. New Visual has a right of first refusal to purchase these shares.
The company also agreed to pay $75,000 to the attorneys representing Blevins and Shepperd.
In today's trading, New Visual stock (OTC Bulletin Board: NVEI.BB) fell a penny to close at 64 cents per share. The 52-week range is 33 cents to $1.79 per share. In June 2000, New Visual implemented a 1-for-4 reverse split. The company has a market capitalization of $31 million.

Will NVEI's speed and distance specs and BER definately (100%) be released by the end of the year? If so, what type of information will be released ex. the speed and distance NVEI is testing, the speed and distance and BER that has been successfully accomplished in house, the speed and distance and BER that has been verified by an independent third party? Please clarify.?

Yes, we plan to announce our speeds, distances and bit error rate prior to the end of this year. We may choose to also announce results from in-house testing, though such an announcement would be atypical in the telecommunications industry.
More typical would be an announcement of our commercial specifications. At this time, we plan to post a data sheet on our website when we release the FPGA prototype. The data sheet will typically contain all of the relevant information about the product that an investor or a product manager at a target customer will need to know to assess the commercial viability of the product.
When a design engineer at a target customer proceeds to the point in his evaluation of the product that he requires detailed and comprehensive product descriptions, we plan to make available to him exhaustive documentation. These and other materials are generically referred to as "Marketing Communications", or MarCom. Not all MarCom will be publicly available on our website, for competitive reasons.
As a side note about bit error rate (BER): Telecom services, like T1, DS3, ADSL and VDSL each have pre-defined minimum acceptable levels of errors, measured per second. Any technology that fails to perform at the defined BER is not suitable for deployment in the network. New Visual knows what these BERs are, and is designing our product to meet or exceed them. We expect to specify the exact BER on our data sheet when the prototype is released.
I never noticed a promise to release it via a PR.

Performance data will be released including the maximum performance for the first generation product. It will be a new line on the graph shown in the first question of today's RAQs. However most of the money will be made giving the telcos even 5 to 10 mbps at the distance they want, reliably.

Want you guys to know that last week's RAQ on the lengths of loops really helped me. It sort of clicked into place, and it made me wonder what speeds does ADSL and VDSL do over those distances?

A complete description of the various types of DSL, generically referred to as xDSL, is well beyond the scope of this RAQ. Some xDSL services, like ADSL and VDSL, are asymmetrical in nature, such that the data speed downstream (DS) from the central office to the subscriber is much larger than the data speed going upstream (US) from the subscriber to the central office. Other xDSL services, like HDSL, HDSL2, and SDSL, are symmetric in nature, where the data speed is equal both ways.
Another consideration is the distance from the subscriber to the central office, as measured in kilofeet, across various gauges of wires. For the purpose of the chart below, we have chosen 26 AWG, which is the most common gauge used by the four US Bell companies.
As a practical matter, very few telcos in the world are now transmitting data at these top theoretical rates.
In addition to these xDSL technologies, telcos continue to deploy, in record numbers, T1 and E1 technologies. Because these can be repeatered every 6,000 feet, they are suitable for very long loop lengths

With the departure of Mr. Cooper, the purchase of shares by Mr. Willenberg and Mr. Howell, and the promotion of Mr. Ketch, when we will know details like whether the shares are restricted, whether Mr. Cooper timed his departure to coincide with vesting some shares, and other questions?

New Visual is required under SEC rules to disclose information in its quarterly and annual reports regarding, among other things, transactions with management and recent sales of unregistered securities.
Our next periodic report to be filed will be our Annual Report on Form 10-K for the year ended October 31, 2002. That report is scheduled to be filed on January 29, 2003 and will, among other things, include information relating to the transactions you listed.
With regard to your specific questions, we can confirm that the shares purchased from the Company by Mr. Howell and Mr. Willenberg are unregistered and therefore cannot be publicly resold by them under Rule 144 for at least one year. You should note that the directors, executive officers and 10% shareholders of a public company can generally not publicly buy and sell their company's stock within six months under the "short swing profit" rules. As a result, even if one of our directors or officers purchased unrestricted stock in the market, he would be prohibited from reselling those shares at a profit for six months from his purchase.
Mr. Cooper resigned for pressing personal reasons, and was not "timed" for any reason, including the opportunity for options to vest.

Have the second simulation tests been completed? What's the status of the additional field test? Will the prototype be released based merely on recent simulation tests or actual additional field testing?

The technology has passed through a series of simulations, both in the lab and in the field, and continues to meet our expectations.
On September 25th, 2002, in Recently Asked Questions, Volume 1, we stated, "At this time, . . . we are planning to publish some specific information regarding the performance of our technology when we complete the next series of simulations." We decided in recent weeks to not publish this data. This decision is consistent with another statement from the same RAQ, "We will continue to test our technology in the lab and in the field, though we will not always publicly release the fact that we have made such a test, or what the results of the test were."
At this time, no announcements about the performance of the technology are anticipated until we release the prototype by the end of this month.

What happened to the movie?

We have completed the film, "Step Into Liquid", and have engaged a leading Hollywood agency to represent us as we sell or license the film. We are showing the film to distributors, and our agents and attorneys are aggressively pursuing a distribution deal.
We have now received offers, for both domestic and international distribution, and for theatrical and DVD release. We are evaluating the merits of these offers at this time.
We're excited about the uniformly positive response we are getting from these potential distributors and look forward to selling or licensing the movie to one of them. We'll release additional details to you on the movie distribution contract as soon as we sign one.

Please comment on the difference between NVEI's technology and Ikanos Communications. It appears that they have a very similar product ready for market.

At this time, we are pleased to note that Ikanos's announced performance chipset is significantly less than we expect to achieve with our first product offering. A main difference between the Ikanos offering and ours is that they must bond together multiple pairs of copper wires in order to achieve high data speeds, while we use a single pair.
While we believe we will be able to compete based on the special features of our products, the markets for semiconductors and other high-speed telecommunications products are (and will remain) highly competitive. We will compete with numerous companies with well-established reputations in the broadband telecommunications industry, including Ikanos. In all of our target markets, we also may face competition from newly established competitors, suppliers of products based on new or emerging technologies, and customers who choose to develop their own silicon solutions. Our products will also compete generally with products using other broadband technologies, such as cable modems, wireless, satellite and fiber optic telecommunications technology.

Do we have prospective customers for the proto-type? Is it a fair assumption that an LOI has been signed if we do?

Yes, we have had uniformly positive response from those target customers that we have disclosed information to. Some customers have contacted us on their own initiative because they have heard that we are developing a semiconductor technology that could help them save money and/or raise revenues.
We currently have more demand for the prototype than we have the ability to support. For every prospective customer that receives the prototype, New Visual must incur significant engineering and parts expense in order to guide the evaluation. Because we are constrained by low levels of cash, we must limit the number of prototype evaluations to one or two at this time. When we have more cash, we plan to support more simultaneous tests.
It is not common practice in our industry for a target customer to issue a Letter of Intent to purchase (LOI) to a semiconductor supplier when the product is still in prototype form. No such LOI's have been requested by New Visual, or offered by our target customers.
