Is it over already?
Why would you think that other than that you are a short
Minimum 1.40, but I don't see mcgann and jones not cashing in on those options.
So zeynoc, what is your best guesstimate of the sale price? What about the 1.40 converts that the board has, how will they affect negotiations?
Anybody with guesses where this will close tomorrow?
At least 1.40 for them to get their options, no? I would guess we'll north of that.
Please share the name of the company?
Informative?...he just made up a story...can't even name the company
What are you talking about? That's in addition to tsa and catsa, you are looking at a 14-16 million dollar quarter.
Waiting for the restructure.
Glta,
Kb
How did you come up with tsa is worth 25 million?
Can you give a time in the presentation, I have listened to it twice and I can't find it.
JT,
CATSA is only for 122 units and will be filled by June.
That is my understanding.
KB
I have stopped posting very frequently on this board because of much of the nonsense that occurs here...mostly shorts with their own agenda. That being said, I will post my summary of the CC in hopes of getting some constructive input...so here it is.
FINANCIALS
# You can read the fine details in the PR, but what is notable that although the company remains operating at a loss there are 2 notable items --> 1. company has not been borrowing any more money to continue operations 2. the company remains EBID pos of about 2 million dollars.
# Gross margin of 37.4% due to TSA, that being said, they still expect gross margin to be 42-44%
# Company has been working with NOBLE/CHARDAN Financial to explore how to solidify company financials
1. Base case --> continue with the current method of operation (no specific mention of renegotiating with DMRJ per se)
2. Replacement of debt
3. Acelerate growth through aquisition of technology
# Currently there are about 78,860,000 shares; the company has debt of 65,000,000; of that 5.1 million dollars is in 0.08 converts resulting in a possible additional 63,000,000 shares outstanding
PRODUCTION/FUTURE SALES:
# Production is humming along
# CATSA order will be fulfilled this fiscal year; full TSA order will also be fulfilled this year
# Next TSA order not yet known, ECAC is now awarding contracts in the 2nd wave of sales
# New handheld will be done and marketed this fiscal year, primarily to replace the 2000 already existing units; additional sales will come from the drug detection market
# Expect middle east and china sales to increase
# In terms of integration, there is not one company that has been designated to be the integrator. That being said the company did state that its technology is coveted and the company will likely integrate through multiple companies
STOCK PRICE
# Caller mentioned that stock price remains volitale due to retail nature of investors; company states that they have miminal vision of what is going on in regards to who is selling the stock; Company is trying to uplist, but at this time still have requirements to fulfill; Company also trying to increase institutional investors
Once again, there was really no mention of how the debt will be handled, no specific mention of DMRJ. The debt is due soon, so we will see how this one goes.
GLTA.
KB
I wonder why the company has been so hush hush about everything...Canada is a big deal, it should be its own PR...also nothing said about RCA...what else are they not mentioning?
Just looked at the career postings and there are 12 positions to fill!
Will be picking up some more soon.
Glta,
Kb
So I finally had a chance to listen to the CC. It is indeed the best one I have heard thus far in 4 years. Finally feeling that what they have to say has some substance.
To begin...the BOARD recognizes the importance of shareholder relationships and communication, hence they have hired an IR firm.
Secondly, they recognize and acknowledge that the stock price has performed poorly.
Here is what I heard:
FINANCES
# Finally EBIT positive! about 2 million.
# As a result, much more legitimate financing options...it is the boards top priority and they state that something will be done..."stay tuned."
# Assuming that this will be done within the next 4 months as the the credit agreement with DMRJ runs out
# Grants will start paying for R and D in december, totaling 2 million dollars
ORDERS
# First wave of europe ETD sales went well, won about 70% of tenders.
# Still more tenders to attend to...including both germany and England.
# Second wave of europe will include smaller airports...stated at last conference call that second wave will be in 03/16
# Still sticking to backlog of 44 million or so.
# No mention of Canada or DOD
TSA
# 21 million dollar number is not useful in any calculation for unit price...stop guessing.
# 1st week of december will be the first shipment, set date for "large amount" ...in the hundreds, no further specification
# No mention of a second order although "it is something we work on everyday."
FUTURE HANDHELD
# Handheld done, but marketing and packaging not yet done
# TSA swab technology available as is non-contact, but no tsa approval available, no set standards
# Behind schedule due to all hands aboard for ECAC delivery, but still thinks it will be out and selling by end of fiscal year
MISCELLANEOUS
# ETD/EDS bundling is not a sales disadvantage, if needed IMSC can partner with EDS company to sell equiptment
# Gross margins will be at 41-44%, inefficiencies of ramp costs will be eliminated
Pretty much it...believe that IMSC is a long term hold, should see significant appreciation in the next 4 months. GLTA, KB
Dmrj does not to sell...money owed them can be paid in cash later so there no violation of the 5 percent rule...speculation or talking out of the ass
At that price, the IDIQ would equal > 8000 units?...what?
That just doesn't make sense.
I know it doesn't sound good, but it can be read as "procurement of 1170 units" refering to it as the contract?
I hope so.
GLTA,
KB
Glenn said it was "signficantly higher"...do you guys think its for the ENTIRE order...i hope not. I have no idea how they are going to keep their margins...they said that the margins are gonna improve...that would be impossible.
GLTA,
KB
Any good?
We are not part of the conversation with TSA and as such all that will be placed on this board are wild ass guesses.
Of note, the morpho protest specifically stated that the itemiser still would not pass TSA requirements with upgrades. Question is DHS different from TSA, if it was refering to TSA, why wouldn't the press release state that as it has with Implant Sciences?
Any thoughts anyone?
GLTA,
KB
Fred what are you talking about?
Ted,
Trying to restore sanity on a board with characters that have one goal only, that is to use scare tactics, in an attempt to lower the price is not possible. As I said some on this board will distort facts on purpose and represent their opinions as facts for their own agenda.
The company is the strongest its ever been in terms of sales and fundamentals. Debt is an issue, but if we are able to fulfill the TSA order and continue to win orders at our current pace, this company will be more than fine.
I still have not sold 1 share and I expect that the investment will pan out when all is said and done.
GLTA,
KB
CMass, really... we understand your theory and that this is your opinion.
The rate at which they are converting is not that fast and it is not in their interest to get this down to 0.08, allowing the price to appreciate will give them better profit margins.
If they are indeed selling at the fastest pace possible, then it's a great sign because that means that they know they are out. BM and BL know alot more than you and me, I am sure they are doing everything they can to get this above 1.40 so that they can also cash in.
KB
I wonder if the recent promotions were for more than just show.
I guess we will see.
IMSC please don't dissapoint.
GLTA,
KB
I got to give it to you.
You have posted the exact same message for the past month. If nothing else you are persistent.
Hoping that the next couple of shoes to fall are.
1. tsa deployment
2. catsa to show up
3. other departments of the department of homeland security and defense to show up
4. more news in the drug detection world
5. refinace
in no specific order.
GLTA,
KB
TSA want's competition? Is that why they are working exclusively with Implant?...and why they essentially told Morpho to get lost?
TSA wants the best technology...period.
As for the PR regarding 750 units sales...it just made the possibility of a refi or acquisition a little more possible.
These guys and GB have options of 1.40...if they have to cheat lie and steal, they will do it to come out of the other end with something.
GLTA,
KB
After reading some of the posts, I really can see where pulpman is coming from, most of what is written here is drivel. Theories that can't be substantiated in any way. Buzz comes up with all kinds of crazy theories representing them as facts, but most of which as Nowak has stated is "garbage" in my opinion.
Anyhow, GB failed to manage investors expectations while this management just does care about investors period. That being said, I don't and neither does anyone else know what is going on behind closed doors. Is there a huge fight between dmrj vs management? Does management have a alternative plan for funding the company...what did they mean when they said that during the CC?
The last 2 PRs are very positive in my view and well worthwhile. The TSA PR will also be worthwhile as it will further solidify and confirm TSA confidence in the company and its future. The sentiment has become so negative here that bogus theories and misrepresentations are being accepted as fact.
You either still believe or you don't and as frustrated as I am, I am in this one until the end...hoping we don't get there. GLTA..KB
With this liquidity wondering if dmrj wants out too...it would take them for ever to convert their shares
Even if the price is lower...as long as they are able to increase margins I think they will be ok...I'm really interested in the price per unit that tsa paid...30% of 40000 = 40% of 30000 = 50% 24000....they aren't giving these things out for free and it's in the best interest of tsa to pay a reasonable price if they want the tech to stay around!
A couple other thoughts...what do they mean by "follow on orders?"
Bet we lost out in Spain due to pricing!
What happen to Italy?
Let's wait to hear about Canada and other arms of dod and dhs!
the sentiment of this board is at an all time low - that bodes well from a contrarian standpoint.
mcgann pretty much said that they would PR tsa activity.
i think that the stock price took a dump in part from the lack of tsa delivery at this point and should have some support if not a pop with tsa shipment news...even better if they release a second order.
how mcgann and bolduc can have their head so far up their asses in regards to timelines is unbelievable. still waiting on canada and the other departments of homeland defense.
of note if you look on their website, there is 2 new job openings. I have never heard of a management team more disconnected with its shareholders.
personal note to mcgann, stop saying thank you and how you appreciate our support...you can go f*** yourself.
KB
Hope something good is going on that we don't know about because it doesn't seem like they are preparing to fold, but these fools never fail to dissapoint
Maybe they are talking about the next contract...Louisville is unlikely their primary destination from this contract.
I made my bed and will sleep in it whatever the outcome. I would agree that this management team has no clue when it comes to how to effectively manage perception of the company or protect shareholders.
KB
are you calling bottom?
That would result in jail time.
The theories keep on getting crazier.
Laughable
KB
I know they are not considered insiders but is it legal for them to actively trade the stock? Hard to believe that it is.
So what's next zeynoc? What is your best guess as what happened in the massacre? Was it the shorts? Does dmrj say enough, let's capitalize now?
Who was buying yesterday? Retail? If the scenario is as you described why wouldn't retail just wait? I guess I am hoping for the day dmrj brings it down to 9 cents...it will be time to buy them as it will assuredly go up afterwards when dmrj is out...even fully diluted at 175 million shares at that point with no debt each share would conservatively be worth 2-3 dollars given backlog and intellectual property...in 4 years this is the first time the stock has gone below 50 cents...either something really bad or really good is going to happen.
