Sounds a bit harsh. As far as non-reporting companies go I haven't seen too many that are as transparent as Medbox is. In any event, not trying to lobby anyone on this site. Everyone is free to have their opinions. I simply want this last few days to fade as a distant memory... It's been horrible, but I'm fortunate to be surrounded by clients and shareholders that truly do value me as a person and see who I am and not judge me. That's all any of us can ask for as human beings. Try our best and do right by people.

It's a fair criticism. But one that current management as of December 2011 does not deserve. From what I'm being told by management, all this is moot once a company becomes fully reporting anyway as it will all be in Q's ank K's.
In any event, I will get the story from the TA tomorrow. I may not be able to post it as it might be viewed as selective disclosure but I will make sure management acts on it accordingly.

When did I ever say management could not get the share count. What I said was the fact that the TA doesn't give share count information to interested parties that inquire was only brought to my attention a few weeks ago. I guessed that it was because of the non-reporting status. I will follow that up tomorrow.

The filings we voluntarily post give information that acurately depicts the Medbox share structure. It may not be in a form you are used to, but then again that is all part of the maturation proces from a "stinky pinky" growing into a legitimate public company. The filings meet all OTC requirements as stated and that's why Medbox is OTC Pink current.
I can't wait to shed this pink label for the company. It will be a great accomplishment.

Well, like I said, we didn't choose this transfer agent. Prior management did. Whatever the reason for them not giving share counts, we will get to the bottom of it.

Wrong. Medbox inherited this transfer agent from prior management. In fact I'll be calling tomorrow to see what the deal is on share counts, etc. I am no fan of hiding that stuff and I'm pretty sure it has to do with the fact that Medbox is not fully reporting.

I am already a control person in the public company. Being an officer or director gives me more power than I care to have. Being a control person means a disclosure on a Form 10, BTW so no one is hiding a thing.
As for the transfer agent, I think it's a non-reporting thing. It really has nothing to do with Medbox as I think the transfer agent has that policy on all non-reporting companies. You may confirm with the TA about whether it's a company policy.

Fair question. All assets that I laid claim to at the time were brought to BK counsel's attention, including the patent. That patent was assigned to a corporation. Since it was a patent pending at the time of filing and I laid no claim to the corporation it was a moot point. Regardless, as I mentioned before the BK was actually assigned to a special unit that went through all my bank accounts and related affiliations to corporations and assets before deciding that I fit the criteria. Everything was discussed and investigated with a fine tooth comb and schedules were amended as needed. I really wouldn't have filed unless I thought I fit the criteria. BK is always a last resort but the house I lost because of mold infestation and being upside down on the mortgage during the bubble was impossible to overcome on my credit.
Furthermore, even had I laid claim to the corpoation that was assigned the patent, the Trustee does not look at potential of an asset in the future if it is properly developed, they look at assets that can be sold then and there to satisfy creditors that demanded payment. In my case there were no parties that demanded payment or adversary parties to my BK except for one person that was thrown out of civil court and BK court for having no semblance of a case. That's the "alias" case that draws so much discussion here on IHUB and is highlighted by R2.

All necessary disclosures were made. Patent Filed in 2005 and issued in 2009. No action was ever taken by me to follow up on that patent and it was given a very nominal amount of value by the BK Trustee.

Incorrect. All bank statements for companies I used to work for prior to my BK were disclosed to the BK Trustee. That included Sniperela. Then it went up the flagpole to a special department for review. After a year of supplying information it was deemed that I legitmately fit the criteria for the Bk and it was discharged.
As for the comment that I "dump shares". I nor any affilate has sold any shares on the public markets. The company announced that in a Press Release.
Telling you that my girlfriend runs a real estate company and that company mentioned on their website they are a non-affiliate shareholder of Medbox is not a disclosure at all.

It's not a disclosure at all. It is public knowledge as she is the sole officer and director of that corporation. That corporation also listed on their website that they are pro-medbox. If my future wife (I call her that since we haven't set a date yet but I have a feeling we will be married some day), chooses to publicly declare that her corporation is a fan of the technology I helped create, that just makes her a good life partner IMO. She has seen me struggle getting the company off the ground and is a diehard fan because she knows who I am as a person and the tough road I have traveled. Her misguided attempt to be a Medbox supporter was stopped by Medbox management, not because of illegality but because it really served no purpose. The website is being revised by that company to reflect a real estate focus as that always was the true focus. I think the 5 people on Ihub that cared enough to go visit her site made up the majority of traffic to the site since it's creation. The site was not publicised or even SEO'd at all.
"Aliases" were a matter of one attorney's opinion and was from 2009. That opinion was thrown out of court by a judge, so it isn't even worth a response. See, when you are outspoken like I am, people see a target on your back. It's just the way the world works sometimes. However, refining my business etiquette has also allowed me to cease even allegations from surfacing since again, when someone has zero margin for error like I have, and will have for the rest of my life, the level of care to each and every client is amplified tremendously.
As for you taking a position in the company, or anyone else on this board taking a position, I cannot give any insight to that. All I am doing is clearing up my past history so it doesn't negatively effect the company going forward. I have zero opinion on the investment worthiness of Medbox.

I can't comment on this at all. I appreciate shareholders coming to the company's aid but this kind of public display is not condoned by Medbox at all and is not validated by management.
Here's the reality... I have zero margin for error in my business dealings. That sets me apart from most people that hide in the shadows, do their dirty work, and never are uncovered for their wrong doing. I stay in the light because I need to. Again, I have nothing to hide because I can't hide a thing. I must be transparent in every thing I do and that's how I live.
The complaint you speak of that names Sniperella was thrown out by a judge for lack of foundation. The allegations were proven to be without merit.
Sniperella was a consulting firm I worked with in 2009. They helped clients build and permit dispensaries and my future wife was in charge of furnishing them. These dispensaries did not have machines since PVM (now Medbox) started business in 2010. My future wife and I ceased working with Sniperella at the end of 2009. Sniperella loaned $70,000 to PVM and that money was paid back in installments which is reflected on the books of Medbox.
I'm sorry the explanantion wasn't more exciting. Usually the truth is kind of boring.
Check back in a couple months and I'm sure you will find what you are looking for and that information is updated. As for me, I legally can't comment except to say that I have nothing to worry about. Everything I do is under a microscope... that is self-inflicted and I don't mind that at all. I listed myself as a control person in a public company. I have nothing to fear at all as I have the support of every client or shareholder I have come in contact with since business commenced in 2010.
See you guys after the Form 10 is filed... As far as alleged investigations go, we have all our ducks in a row and the parperwork to back it up. No fear.

The entity you reference is not connected to me in any shape or form other than the fact that I incorporated an entity for my future wife so she can do real estate investments by using her real estate license. The fact that the entity is a non-affiliated shareholder makes no difference to anyone with any sense and they had mentioned on their website that they have no business relationship with Medbox other than being a shareholder. Furthermore Medbox has no need to do raises, that's why the company is filing a Form 10 instead of an S1. The company chooses not to sell shares to widows and orphans. We can leave that for other companies. Thanks...
The reality is that nothing posted on this board about me stems from anything happening in the last 3 years since Medbox was born. All allegations predated my involvement with this company or its subsidiaries. Furthermore, its not a coincidence that there are no recent allegations with anyone that has done business with Medbox or its subsidiaries. That's because there are no complaints against the company by its clients... the only complaints come from nameless people in cyberspace. I'll live with that.
It's all a matter of perception and context... I'm not going to add additional fuel to this fire and argue with you guys about it. The company will not suffer any tremendous setbacks based on these posts. I will be fine and so will the company. My only objective right now is helping management get the form 10 filed as stated in the company's PR's... the rest will mend itself.

Yah, they don't typically allow people charged with serious offenses to walk around free of shackles and chains. How is it that I am free? Is it a miracle? A mistake? Could it be that the matter, if existing at all, was already resolved? All I can say is that you might be surprised at the answer. Either way, it doesn't matter. A smear campaign on a "control person" is pretty transparent in the investment community. Regardless, that "control" is relative as it can be transferred legally without much effort at all. The company is bigger than my ego and there are a lot of people that believe in us. I will always do what's best for the company. You can't stop progress... Take care guys.

Filing a personal bankruptcy is not anything to be ashamed of. I lost a house in the housing bubble in Los Angeles just like many others did. Not sure why that would be other than the fact that I was the "incorporator" when the corporation was formed in 2012 and I reserved their web domain for them as the actual principles are shareholders in MDBX as stated in their website. Document preparation services do that all the time. I am not a principle of that corporation.

I have never been affiliated to New-Age as an officer, shareholder, or otherwise. If I secured a domain name on GoDaddy for an unafilliated company from Medbox, that isn't improper in anyway. As stated on their website, they are shareholders.
