It's not a coincidence that Cirque again emphasized the Kodiak Capital deal in their 1 June 2015 NR. The A/S needs to be raised to obtain capital rather today than tomorrow imo.
Cirque previously announced on October 27, 2014 that it had entered into a $5 million common stock purchase agreement with Kodiak Capital Group, LLC, a Newport Beach, California institutional investor. Cirque agreed to file a registration statement with the SEC covering the shares that may be issued to Kodiak under the terms of the purchase agreement. Upon the SEC declaring the registration statement effective, Cirque will have the right at its sole discretion over a period of one year to sell up to $5 million of common stock under the terms set forth in the agreement.
“We are excited to have reached the point in the growth of our company to receive an investment from a strategic institutional investor like Kodiak. This development represents yet another milestone in the relatively short history of our company,” stated Roger W. Silverthorn, Cirque Energy Chairman, President and Chief Executive Officer. “With the anticipated stockholder approval of the proposed increase in our authorized common shares June 10, the company plans to file a registration statement with the SEC shortly thereafter.”
“We are equally delighted to assist Cirque in providing needed capital as it moves forward with the commercialization of its waste-to-energy technology and its corporate development and acquisition plans,” stated Ryan Hodson, Managing Director of Kodiak.

Just stumbled over an interesting article about Wal-Mart's energy strategy. The AKUO-deal is also been mentioned, although not by name. Although there's nothing mentioned about waste-conversion I think in the future DGU's would perfectly fit into their corporate energy goals.

Lastly, in this specific situation, by no means I don't approach this with assumptions but cold hard facts and data from the filings, nothing more.

Really, you don't have to worry. Management doesn't either. We all want this to succeed and it will happen. To me the wording in the Proxy Statement is just the normal, formal, business / juridical language.
Of course they stress out to vote, per definition a vote is "important" because it's your right.

Well said! One other, imo very important, thing that comes to my mind is de Kodiak Capital financing agreement. If Cirque Energy Inc. wants to take full advantage of the $ 5 mil. credit line it is inevitable that the A/S will be increased to 900 mil. Understand that they can't exceed the 9,99% treshold of the O/S under this agreement.
If I've read it correct so far there's only been a board approval (so not effectively issued as of today) to issue 15 mil. shares under this agreement. The agreement ends 31-12-2015.
So, based on the aforementioned and the Morris-deal there is certainly pressure from the financing side. Of course, amongst the obvious other factors.
