Correct and if you read the financials I cannot hold more than 9.99% which means I am below 288 million
But the other 45% is a combination of restricted shares, other certificate shareholders in paper form (which are almost impossible to sell until they can clear them) and probably some individual brokers that are self clearing.
The only way to tell the true float is to get to TA list of free trading and restricted.
You have it backwards, CEDE is the company that holds certificates for the brokers and is what's in their electronic transfer system.
So 55% is in that system as free trading shares. When you buy or sell, shares are electronically transferred and CEDE may have the transfer agent reissue certificates if a broker's holding amount changes significantly.
They are known as the clearing firm.

Like, I said, the plan is to make those shares worth something either by executing a spin out or by fully merging it back into SDVI, which ever process will make the Graffiti Shares more valuable.
It won't be what I thought it would be when the planned Frankfurt IPO didn't happen, because of circumstances with Navarre not paying a almost $800k invoice that caused exorbitant legal fees fighting off creditors,etc. But that is all done and in the past. I'm moving forward and trying to get everything restarted.
Can you not see that from my message posts? You can be angry all you want, but that doesn't solve problems. I handed over the reigns to some very capable people to run and manage the businesses and I'm doing the funding. What more do you want out of me?
I'll keep the cursing to a minimum, even though I don't really have to be professional, I'm the Ex-CEO, Ex-Board member, etc for close to 5 years now. I didn't have to do any of this, I could have just gone on with my life and restarted something else, but I am an honorable person and wanted to try and fix these things and even possibly recover some of the millions I've list in SDVI.

I can say that there has been no dilution, so the price has been manipulated by either shorting or current shareholders and ZERO dilution has taken place.

Graffiti Shareholder Clarification:
I also wanted to clarity what Graffiti is and what I envision it will become.
The intent was always to take Graffiti public on the Frankfurt exchange, but Navarre really screwed up the plans. I personally invested $50k to sue Navarre, but they ended up insolvent and Graffiti only recovered about $17k out of it.
Once SDVI and Innovo Technologies is funding and operating smoothly and is self sustaining, I have have other public vehicles that Graffiti will role into. The entity I'm currently looking at is fully reporting, but that means that Graffiti will need full audits and financials.
Once SDVI is up and running smoothly, the plan is to put Graffiti Entertainment into one of these other public vehicles.
I hope this make sense to all the shareholder.

I am the Ex-CEO and Ex-Affiliate or Signature Devices, Inc.
The funding for the new acquisitions and scaling of the businesses and the sole individual funding has been through me.
There has been no dilution because I am the sole owner of the remainder of the issue-able shares per the financials.
There will only be dilution of the stock when I see fit to do so and at a very conservative rate, if any. The sole purpose of any dilution will be to raise capital for the company to scale operations (and profits). I am NOT interested in "pump and dump" or death spiral financing of any sort.
I have locked up the entire remaining common shares in my name and no dilution of shares can happen except through me.
My goal is to build a company that is working on the Internet of Things business. It does require funding, which I am currently seeking partner(s) to help fund the company with minimal funding, but only to scale sales and profits of current business activities.
I have also asked the IHUB admins to change my alias to klhurley, so that you know that it is me.
The accusations that I have made money off of a "pump and dump" scheme are ludicrous, as there has been no new issuance of stock. There cannot be any new issuance except through me, and I've agreed to not issue anything to myself until April 1st.
I am no longer taking advice from anyone who thinks I shouldn't post here. Too bad, I will post and reveal my intent, here and make sure that every potential shareholder knows the go-forward plan with Signature Devices.
My only intent is to try and move the company forward with funding scaling profits for the benefit of shareholders.

That's not a reverse merger, that's a reverse split.
It seems that there is close to 1 billion in the float, so a 200-1 reverse split would make it 5,000,000 shares in the float.

Lawsuit is David vs. Goliath.
Pinksheet company vs. NASDAQ company. Going to be much more expensive for the NASDAQ company as the market cap is already down $30 million. The pinksheet company only has a valuation of $200k. So what if SPDC wins against the pinksheet company, it will just go bankrupt and the damage to SPDC will already be done.
Even better, it won't effect SDVI, as Graffiti is a separate entity with probably much less market value.
The board at SPDC isn't too smart.

From $4.40 to $3.43, almost $1.00 drop in price. You would think the folks over at SPDC would have settled this out of court. I'm not sure who is running the show over there, but I'm sure GRAFF would have settled for a lot less $$$$$$ than the market cap loss.
