if you read further there are 11 billion shares that are being exchanged. So the o/s will be 13+ bil after the transaction is complete. Please someone correct me if I am worng, but that is how I read it.

I agree. 15 mil to over 100 mil. The sell off over the last few months indicated some dilution. I think they took a lot of shares last Friday and this monday though.
