I think people will be surprised and very happy when they found out all the things Prentice is doing to build this company. The problem is he is busy doing just that (out building the company) while daily operations are suffering. Growing pains for sure. I hope their first new hire is someone to run daily ops in Vegas.
I would think that Li should know who can sign it. I mean that is pretty basic stuff.
Wow - there are no words.
Hey guys - going from an R&D company to full production is a pretty intensive process. Add in new funding, production deals, staffing issues, facility upgrade and move etc. and you get many, many opportunities for miscues.
Right now we don't really know what the problem is. What we do know is that either a 10K or an NT must be filed on Monday. The only way this would not be true is if the issue is with the SEC. Waiting a little longer will not change the underlying value of the company. It may impact pps short term but only for the short term.
I know many, myself included, believe strongly that the company needs more staffing and certainly needs someone on the ground in Vegas handling day to day activities. However, the company may be in that awkward stage where they need the staffing but the funds are not yet available. We don't know what kind of funding they are getting but it may not be available until ALL the proper filings are done. The 10K was not just important for stock holders. The company needs the report done in order to take the next step on a lot of issues.
This is a highly intensive, sensitive and difficult transition. I AM CERTAIN that the company is more concerned about the 10K then we are as shareholders. Everything they have planned is contingent on it. You can be certain that they will determine what the problem is and address it.
All start-ups have miscues, disappointments and learning opportunities. It comes with the territory. I am fully confident that these guys will get it corrected. If it impacts pps for the next week or two use it as a buying opportunity. Worse case is management never puts everything together and they accept one of the acquisition or merger offers. Either way the early shareholders will do well.
Straighten your underwear out, get a cup of coffee or a beer and relax. This thing will rock despite the bumps in the road along the way.
FWIW and IMO :)
I can tell you that Brad is not selling - lol
Is it coincidence that the shorts can never show proof of anything they say and are easily caught in lies. True DD in CTDT completely disproves everything say.
Way to go KK - solid proof of the lies - lol I wonder how many shares he has shorted.
Nice explanation and update Q - Thanks
Sounds like they will continue to try to get it accepted which could be as early as Monday I suppose. Regardless I believe it will be worth the wait.
That is kinda vague Q - can you give us more. Is the meeting to fix the issues with the current 10K or as an after action item to make sure if does not re-occur. Are they going ahead with the current filing on Monday or is it now on hold? Inquiring minds want to know!
I think Q may be correct in saying this 10K could be the bomb. Just look at it from the SEC's point of view. Out of the blue a penny stock that has not been in the news is announcing they are going into production with a ground breaking market disruptive technology. Usually when a something new hits the market people are all ready aware of it and waiting for it. Look at drugs, medical components, etc. They always have FDA approval before production. Nobody has to approve CTDT's process. They are just going to start. SEC may have said "whoa" - you need to give us some proof before you just go out to the public saying you are doing this.
The 10K also may mention some big players (maybe not). But again these things are usually talked about well in advance. ZZZ company is in negotiations with qqq company-ect.
Again the SEC could simply be saying give us some proof.
There could be a LOT of really good info in the 10K. SEC could just be making sure it is all correct. After all it is no longer a forward looking statement that CTDT will be producing diamonds :)
Interesting that you should say that. In my last conversation with LT he was talking about power of social media. He said is they produced a 10K blue diamond it would go for around 80K. Put it in a platinum setting as a ring and it would go for 200K. Put in on Lebron James finger in game 7 of the NBA finals and it would go for 2 million. At least LT gets the idea!
If you call patented technology that is a disruptive force a joke then maybe. But the real joke will on anyone that sells now or shorts this stock.
My take FWIW - I fully believe LT did all he could on the 10k as did Li. I believe that Li filed it and forgot about it. He did not realize he had not been accepted by SEC until it was too late to possibly correct it. I am certain they will get it in early next week. It really has little bearing on company value. Hopefully it is valuable lesson they will never forget.
I still fully believe in the underlying strenghts of this stock - Those being patented processes, disruptive technologies, large profit margins, low share float, etc. There is real value here and as shareholders we will see that at some point in some manner whether it be through succesful CTDT operations, mergers, buyouts etc. Regardless of the form this thing takes the patents and processes are simply worth more than .10 pps. We can debate all day what the true value is but I doubt there is anyone here that does not think at least .30 to .40 pps. Warrants say at least .75 and there have been buyout offers already.
This was extremely frustrating and clearly points out the biggest weakness this company has. While I applaud there fiscal restraint and discipline there comes a time when a company must staff sufficiently and organize in a manner that allows consistent quality action in all aspects of their operations. 5 employees and 1 contract labor person has proven to not be sufficient. Mr. Prentice is traveling all over the world or working from his home in Oregon. During R&D phase that is not a problem. Moving to production and taking the appropriate actions and making the key decisions necessary cannot be done efficiently with absent COO. It is clear the company needs a full-time individual in Vegas overseeing operations. Perhaps LT is that person but if he is they need to give him the requisite authority to carry the job out. A late 10K will not sink this company but continuous poor operations can and will. If CTDT management can get their act together and manage this then stock holders will be well rewarded. If CTDT fails then we might see significantly less value but should still realize a reasonable profit.
Can't wait to see the 10K and follow-up PR's and 8K. We should all be enjoying the ride up soon. The real question is how high we go based on how well CTDT manages themselves or at what price we are bought out.
Good Luck to All and Have Awesome Weekends.
That's Prentice's official position but I think they have him spread way to thin. At this stage in there development they need someone in Vegas running things with the authority to make some of the decisions. Let Prentice work the negotiations, contracts, etc.
Yes it is possible (hundreds of companies do it). Hopefully LT and his friend Li will understand that you have not done everything you can do UNTIL you have confirmation. It takes follow-up, follow-up, follow-up. You can never assume something is done until it is confirmed.
Maybe we should tell Prentice that if he put out a PR people might not freak out so much over a delay in filing.
From SEC website:
3. Hours of Operation/Date of Filing
Rule 12 of Regulation S-T provides that electronic filings may be submitted by direct transmission via the Internet, dial-up lines or leased lines to the Commission each business day from 8:00 a.m. to 10:00 p.m. Eastern time. Currently, however, filings may be submitted electronically as early as 6 a.m. Rule 13(a) of Regulation S-T provides that any direct transmission filing that commences after 5:30 p.m. will be dated the following business day. The exceptions to this rule are that registration statements filed to increase the number of shares, as provided by Securities Act Rule 462(b), and, effective June 30, 2003, Forms 3, 4 and 5, receive the same day's filing date if transmitted by 10:00 p.m. See Rule 13(a) of Regulation S-T and Release Nos. 33-7168 (May 11, 1995) and 33-8230 (May 7, 2003), respectively. Any direct transmission filing commencing before 5:30 p.m., if accepted, will receive that day's filing date.
NOTE: ANY direct transmission filing commencing before 5:30PM if accepted will receive that day's filing date.
So why was the filing not accepted?
Unfortunately as supportive of this stock as I am I disagree. SEC site says to ensure your forms are accepted and verify the time on them when transmitted. That means if the forms were accepted then time stamps would indicate filing time guidelines had been met. Sounds to me like they screwed something up. If the transmissions had happened and been sucessfully accepted an NT would not be needed.
I am not going to panic but it irritates me to no end. Prentice either needs to hire more people he trust or let those he has make some decisions. He is a bottleneck right. If he has too much responsibility DELEGATE.
I thought LT told Jay that the acct guy had signed off on the 10K and submitted it to SEC. Did they have something wrong?
So who knows how this works on the weekend? Q? Do they all just sit in a pile until Monday morning now?
Actually Jay posted that he talked with LT and it is already at the SEC - We are simply waiting on the government. The ONLY thing slower than CTDT - LOL
Well I am here until the cows come home - lol Hardest thing in trading is being patient.
It is getting old tiring. Have not heard back from LT on PR approval yet.
AT could be maneuvering in prep to fill an order.
If I had the powder I would be picking up all I could. I did pick up some earlier this week.
Not much in quantity but why now? With 10K imminent - knowing company is in black and ending experimental phase. I just don't get it.
Whats up with all the sell orders?
With 10K out this weekend Monday could see this open higher. I agree Jay - Best prices are this afternoon.
I have an e-mail into LT asking if Mr. Prentice has approved the PR plan put on his desk Monday. Have not heard back yet (LT is slower responding to e-mail then by phone and I am not in a position to call right now) but if I do will post it.
Hey Big - thanks for the post - I personally think that is a solid decision. Hope it turns out well for you and all of us. I appreciate the candor - It was "Big"
While it is not the end of the world it would be nice to see the 10K today so the market could absorb it over the weekend. A monday morning market after 10K will be much better than a Monday morning market still waiting for 10K.
You still have EDGAR on refresh?
Well at least you recognize it would be foolish of the seller. GLTU
Just remember that even when you sold those 500,000 shares the price did not go below .06. Fewer shares available now and they are in stronger hands. You will probably be lucky if you can get 100K under .095 at this point.
Then pay for them. Begging is unbecoming to you.
Q - did'nt you say there are some who cannot legally invest in the stock until the 10K is out? Is that true and if so who?
I don't have a problem with that. People have to take profit where they are comfortable. I will probably sell about 10K around $2.00 to get my initial investment out. Then I will let the rest do it's magic - LOL
I don't understand what is so hard to understand about:
"THE FILINGS ARE AS DONE AS I CAN MAKE EM WITHOUT BURNING EM..."
If things go well then it is likely that the stock will move to NASDAQ board. Based on the low float then any sustained increase in trading will almost necessitate a split. I, as well as others, believe the very minimum would be a 3x1. Of course it is pure speculation to assume a split will happen but the variables do support the likelihood - IMO
Bid is slowly creeping up. Meanwhile some goofball is desperately trying to get rid of his 4740 shares - lol
