Can you explain what effect section 8.2 (f) of the Intercloud/Mantra agreement will have on the convertible debt of Mantra?
(f) Debt Conversion. All debts of Buyer existing as of the Closing shall either be waived in a writing acceptable to Seller, or converted into equity of the Buyer effective no later than the Closing.

It doesn't matter where AW Solution or Mantra Venture Group sets up headquarters.
At present they are all separate entities. If AW Solution does become Mantra Venture Group, Mantra Energy Alternatives will remain a separate entity owned by it.

There also should be a major difference between the two balance sheets, especially since the restructuring will remove large debt off of Mantra's books..
When the next MVTG amalgamated financials are released we will have a more definitive and confirming picture

We have been given one more year for Mantra to make it to the next level. A year that if this crazy deal wasn't done Mantra might not have had.
You and every share holder should be extremely happy, you were just given Insurance that if Mantra technology never makes it to market your shares will not be worthless.

There are only three ways that could happen.

There will be no change to Mantra Energy Alternatives.
That would be a reverse merger. And it likely means MVTG shareholders will be swept aside so the parent company - AW can issue their own securities after a consolidation and symbol change

Here is my 2 cents.(strictly speculating here)
The owners of most of Mantra convertible debt are the owners of AW solution.
They removed the pressures of the convertible debt by a paper acquisition.
They took control of the company to gain not only control of the tech but also control of getting their original investment in Mantra back.
They assured the repay of their original loans to Mantra with the 2 million buyout of their company AW solution, which their would still control if Mantra 's technology failed.
They protected their ability to recoup their original investment by bringing in another tech so if Mantra technology failed they would have another technology to promote already in place to sell shares.
LOL, Bet you didn't feel that way when the stock was trading at 70 cents.

Whoa, let's not get to far ahead of ourselves, it is 75% of the lowest VWAP of the past 15 days as of April 27. 2018. Which could be (not saying will be) well over a $1.00 by then.
They can basically convert the whole $2M now for something like 0.0020 (75% of the lowest VWAP of the past 15 days) which equals 1 billion shares.
The A/S is 275M so that means an event of default as well

You act like a RS is a bad thing here after a reverse merger with only 120,000,000 shares outstanding the worst RS would no more than 10 to 1.
The way the terms were drawn up according to the 8k, a RS is not in the cards for the near future.
Guess which one is going to be sunset.. and which shareholders are going to get the shaft.
So the lender has old Mantra and AW services so now we shareholdes now own shares of a company with more assets. Meaning it worth more.

Way to early for me to make any assumptions. Waiting for more details, if it is old Mantra plus new assets very happy. If it's new assets no old Mantra not very happy. Even though new assets along might push this over 15 cents.

When in fact they were no where near close to it.
So there is nothing about PLUG you like and say is a bad investment
