yes...but what does it legally matter who is behind "our loan", the terms and condition define the situation, not the name behind it?!
What do you, yerboss, think can be manipulated?
8k from march 11th 2015:
As such, on March 6, 2015, William R. Fields, Marc Hardgrove, Charles L. Jarvie, Howard Lefkowitz and Tim McClure each submitted a notice of resignation resigning as director to the Company effective upon receipt of such notice by the Company. The resignations were not as a result of any disagreements with us.
I dont get why they don't conduct the easy fix to list the correct board of directors on their site.
The good thing is that you followed the developments and can make up your mind without others advising you.
In general the pennystock mistake made by many is 1) that while the price is falling they try to ave. down (catching a falling knife) or 2) climbing on board with two day delay to an initiated, but temporary climb. However, IF you want to invest in ECIG I say its a good time because the bottom has been established and neither 1) nor 2) is the case now. How about calling half of your shares the core position to hold long unless radical developments occur, and for the other half set mental selling targets for potential run ups ?!
But having the warrants exercised in the near future would bring twice the money for the company and they prob. need more cash flow than the 41M this year.
As to the absorbed shares and increased OS...well now the management hold or influence most of the shares and could set a vote to increase AS to, lets say 600M, and get away with it without us on board.
we could also worry of any health calamities hitting Dan because, lets say TSLA or AMZN or RCTP would run with different CEOs but not our precious investment....so my health as well as Dan's are of my concern regarding my finances :)
You are right but I am also sure Dan runs this all through connections and with a lot of "gentleman agreements"...otherwise he wouldn't even have gotten this financing at the present time. The whole story of ECIG is anyways already worth a novel.....we are being served, wall street style
Well...it came out on a friday because they knew we would read between the lines.
He knows that, even though warrant conversions bring equity, it is still a form of dilution, but tried to "PR us" since it is not a toxic dilution at any given PPS to cash in, also in which shorting can be covered with converted shares.
So the PR is a bit bull... but not a deception.
In his shoes I would do the same, even though as an investor I am frustrated that 1) the sub-$ bottom will be hard to leave and 2) the PR is not "nothing but the truth" but a chimera.
Thanks so much...I totally forgot to check on updates...have a nice weekend
Correct...but in general thats the case.
Are you suggesting these investors will be broke through ECIG too (because no matter if they do DD on ECIG or not, it is what it is) or are you suggesting with DD on ECIG the only money is too be made with flipping at the right time but not holding?
most potential retail future investors will ride the waves and not dissect warrants, conversion prices, share number designation as we did and do now.
Thus, in few weeks with the Q1, ER coming out it depends on these numbers and the momentum they bring if any. Down the road so many factors could lead to stagnation or hype once again. The market segment alone could drive the market cap up. Another big question is if there is interest for buy out.
Right...and with his shares he is not negotiating a buy out easily...certainly not for under $10 per share.
What does Dan want in the late stage of his career other than success once again...high compensation...nahh not necessary...however...but what about an ECIG PPS price of 60$70c that would let him enter the billionaires league???????
My walgreens here in providence, RI, btw has cut down on ecig and vape kits to just two competitors each....and guess what I just got there...my first fins for $4.90 in nicest retro look just behind the register at 5ft height
The baby step weeks are over. Recap of latest developments:::
1)No principle payments on new 42M non-dilutive loan due until Oct. 2016
2)Smallcaptraders.com recommendation:
Given the history of this company and its former market cap of nearly $500M, it’s safe to say that the
company has reached rock bottom. It has however
demonstrated that the management has not given up
and is working towards fixing the troubles that caused the share price’s demise. A very significant part of
those problems was the ever diluting convertible debt. As of today, this has been retired, and the
company
has issued a senior term loan worth approximately $41M. Additionally, it is safe to assume the company
will not be issuing equity any time soon and therefore dilution should remain at a minimum. These are all
positive signs for ECIG and the long i
nvestment thesis for this company remains. A recommendation to buy
and hold this stock is appropriate. The company has hit the bottom; only one way for it to go.
3)Short selling positions finally very uniform over longer stretches no matter what the trade volume or PPS move:

I accumulated 50k shares with an ave of 0.72 (high because one third was from pre RS and I never sold big positions....I will start to strip 5k share increments at a PPS of ~$2 and keep a core position of at least 25K for the 3 years that I believe Dan runs the show and vaping will drastically increase.
Have a nice spring everyone, esp. you Cuin2
no you are wrong and sound offensive....he posted earlier today expressing congrats to longs and admitted to have been wrong...don't post before researching please
I followed ECIG for 5 months now, read everything.
Given the new developments, which truly exceed expectations and provide long term stability, now I just summarize the chances IMO (with credit to Dans potential) for the next two years as follows:
Chance of bankrupsy: 2%
Ch. of PPS between 5 cents and 50 cents: 3%
Chance of PPS between 50 cents and no more (even at at peaks)than $1-2$: 20%
Ch. of PPS between 2$ and 4$: 25%
Ch. of PPS between 4$ and $10: 25%
Ch. of PPS higher than $10: 25%
I would be interested in anyones guess???!!!!
Lets forget about pre-split (retailers/float at pre-split were almost 100% of shares, since maxed; thus OTC hype).
These are not projections since we do not get the information we need...its just chances...also I said within the next two years.
In any case, taking your scepticism into account, how do you feel about the %ages that I assigned (realistic or too sunny?)
I followed ECIG for 5 months now, read everything.
Now I just summarize the chances IMO intuitionally (with credit to Dans potential) for the next two years as follows:
Chance of bankrupsy: 25%
Chance of PPS between 5 cents and 50 cents: 13%
Chance of PPS between 50 cents and no more at peaks of $1 - 2$: 20%
Chance of PPS between 2$ and 4$: 20%
Chance of PPS between 4$ and $10: 20%
Chance oo PPS higher than $10: 2%
I would be interested in anyones guess???!!!!
Thanks for clarification. When did that email exchange take place?
not talking about where they are on display but if there is advertising (media, tv, computer ads etc.)
saw several commercials on TV (now during Jurassi Park episode)in the last days by VUSE...anyone ever saw advertising for any ECIGD brands other than at gas stations?
Its not after hour trading but gets processed around the closing and gets posted within a minute or two:

This kind of guy and with his reputation at stake will not jump ship but rather fight for various years until all is lost or gained.
He would possibly leave earlier (he mentioned before that he is in it for three years)if the company can stay afloat without him, which is unlikely and, thus, he is stuck in his commitment (until all is lost or gained).
To avoid immediate bankruptsy maybe Mr. Smartypants?
I agree, however, in that he might not have fully recognized the bad state of the company when he signed up and now is fighting harder and trickier to save it than anticipated.
New Y Times article:
E-Cigarette Use by Teenagers Soars, but Smoking Drops
http://www.nytimes.com/2015/04/17/health/use-of-e-cigarettes-rises-sharply-among-teenagers-report-says.html?hp&action=click&pgtype=Homepage&module=first-column-region®ion=top-news&WT.nav=top-news&_r=0
"""In interviews, teenagers said that e-cigarettes had become almost as common at school as laptops, a change from several years ago, when few had seen the gadgets. But opinions were mixed on why they had caught on. A significant share said they were using the devices to quit smoking cigarettes or marijuana, while others said they had never smoked but liked being part of the trend and enjoyed the taste — two favorite flavors were Sweet Tart and Unicorn Puke, which one student described as “every flavor Skittle compressed into one.”"""
Baby steps day three:

EOD rally into a green close on a FRIDAY

D comes off We April 22nd
Q1 ER likely with very reasonable revenue (and likely reduced losses)due May 15th
Next week some anticipate news...in any case a lift off from the 0.3 rangefloor
Not bad for a friday...lets set up for next week (with or without news about having paid the last notes partially off)by each of us averaging down by buying between 1k and 5k today at a small-gapped ask...that should shake the few MMs off and could set up a spike leading to a small green close
Not bad for a friday...lets set up for next week by each of us buying 500k to 1 m today at 0.0007...that should shake the MMs off
Can't open the link...its probably the old one from April 2nd?!
Ok..thanks for clarification.
Let's hope they scrambled together the funds (after all it was their honest goal, otherwise that clause would not have been included)and manage to pay the coming note off, too. It sounds like a vage hope after all the mess. It would be a landmark for Dan's efforts being succesful.
Nice eve Yerboss
They are required within 5 business days past the deadline???
(If they managed to pay, and you are correct why would they wait until AH on a friday if they had the chance to get it in during a shaky trading week?)
Thanks
1. & 2. (to the april 3rd deadline) might or might not be released, even if they managed to pay.
3., 4. & 5. is happening probably rather in 5 weeks from now.
I'm doubtful that the management is doing anything toward investors info or PPS stabilization....however, I do believe they are working tiredlessly on dept, financing, distribution, prioritizing product improvement.
Hope you are right, though on 1. &2.
Would be nice but
1) not many retail sellers
2) not many buyers above 0.3
3) friday
4)no news or disclosed developments expected for the next weeks
Some retailers try to ave down...others are fearful of yet another slump...they all need a catalyst
A green friday on no news would require confidence [or desperation :) ]
Baby step side line action is what I expect
Baby steps day two:
High volume
A side-green close in sight after a green day
high volume run up; low volume drop
higher highs, higher lows

even though still acc. filer its a new status as small reporting company...thus, it should be within 45days (:::For purposes of filing annual and quarterly reports with the Securities and Exchange Commission, the due dates of such reports for a smaller reporting company are those of a non-accelerated filer ); they now despite being an accel. filer are also reporting as smaller rep. company, thus 45 delayed
Thanks...but how does the system know it was borrowing or covering...are you saying that the MMs have to report it by the end of the day (to OTC, NASDQ, NYSE etc.)???
Especially if its both (not just borrowing) how is it technically tracked to create these comprehensive daily short reports??????.
Very good rationale, very interesting post. I disagree, but this is the kind of discussion we need (not the pink glasses or that hungover attitude of the last days and both without analysis).
I agree on that it is an experiment...unlike you I think we might see consolidation and proliferation IF operations in the next 6 month can be CONTINUED to be financed wisely.
During recent reversals ECIG took some 3 days to double PPS... Steady trend could be quadruple in 6 days with some 2 pause days inbetween...so around $1.2 by the end of next week.
Then on the 22nd the D will come off, which technically doesn't mean anything but psychologically clears newbies to finally come on board.
