NMDT (NUCLEAR MATERIAL DETECTION TECHNOLOGIES)
In December 2006, the Company acquired Nuclear Material Detection Technologies, Inc. (“NMDT”), in a tax-free stock-for-stock exchange for 168,539,326 shares of the Company’s common stock valued at approximately $1,500,000. NMDT holds a license to a patented portable nuclear material detecting technology (the “License”). The license agreement provides for payments to the licensor of up to 7% of the net revenues from sales of products utilizing the patent rights, subject to minimum annual fees payable to the licensor, beginning in the second year of the licensing agreement, which range from $5,000 in year 2 to $30,000 in year five after the product is available for production. The Company was in the process of developing, with the licensor, a market-ready nuclear radiation detection device, called RadRope™, which inspectors at transportation hubs could utilize to rapidly detect the presence of nuclear material in sealed containers without the use of harmful x-rays, to service the logistics, transportation and general cargo industries.
The Company had anticipated that the device, with modifications being made to it from input received from potential customers, would have been completed by the Company’s anticipated end of the 1st quarter of 2009 date. This date was never met. In addition, the Company could not find alternative sources of funding to cover the continued expenses of modifications, royalties and marketing the product. Due to these events, the Company’s patent license was revoked in 2009 and the product returned to the patent holder in April of 2010. The Company has taken a full impairment in the amount of $1,316,854 on this investment.

Ship Rejected in China Port on ‘Abnormal’ Radiation Heading Back to Japan

A ship that had “abnormal” amounts of radiation after passing 67 nautical miles (124 kilometers) off Japan’s Fukushima prefecture, site of a crippled nuclear-power station, was heading back to the country after being rejected by authorities in China.
The MOL Presence is due to arrive in Kobe on March 30 from Xiamen, according to AISLive Ltd. ship-tracking data on Bloomberg. A Xiamen port official, who declined to give their name in a telephone call today, confirmed that the vessel had left and declined to elaborate.
An inspection detected “abnormal” amounts of radiation on the deck and the surface of containers on the Mitsui O.S.K. Lines Ltd. vessel after it arrived in Xiamen on March 21, according to a March 25 notice on the website of the Xiamen Entry-Exit Inspection and Quarantine Bureau. There were normal levels in crew areas, it said.
Kazumi Nakamura, a spokeswoman for Tokyo-based Mitsui O.S.K., said today she couldn’t comment as she was traveling. Calls to the City of Kobe’s port general affairs office and to the Port of Kobe’s general affairs office went unanswered.
Radiation Concerns
Concerns about radiation leaking from the Dai-Ichi power station have disrupted shipping from Japan with Hamburg-based Hapag-Lloyd AG halting Tokyo calls, the Japan Coast Guard advising ships to keep at least 30 kilometers from the plant and overseas ports scanning cargos. Tokyo port has tried to ease fears through steps including posting information about radiation levels online.
“Radiation is not at a level where we should be concerned,” Junko Tashiro, a port spokeswoman, said today by phone. The nuclear-power plant, damaged following a magnitude-9 earthquake on March 11, is about 220 kilometers north of Tokyo.
Companies including Sony Corp. and Toyota Motor Corp. have curtailed production since the quake and a subsequent tsunami because of damaged factories or parts shortages. The nuclear- power plant crisis has also caused electricity shortages.
U.S. Customs and Border Protection scanned 355 boxes at the Port of Los Angeles onboard the first container ship to arrive in the country from Japan following the quake, according to operator APL Ltd., a unit of Neptune Orient Lines Ltd. All boxes on the vessel, the APL Korea, were cleared for delivery.
Container Volumes
Japan accounts for about 3 percent of global container volumes, compared with about 30 percent for China, according to Barclays Plc. It is the third-largest container shipper to the U.S. behind China and South Korea, with auto parts being the largest component of cargos, according to Piers, a shipping data unit of United Business Media Ltd.
The MOL Presence used a berth in Xiamen before leaving and anchoring offshore on March 23, according to the port bureau. There was contamination at the berth, the bureau said. China is Japan biggest export and import market, according to the Japan External Trade Organization.
Hapag-Lloyd has omitted port stops in Nagoya, Tokyo and Yokohama because of “the current situation,” it said in a statement on its website dated March 22. A March 25 update showed that it was continuing to avoid these ports. A Hapag- Lloyd spokesman couldn’t immediately be reached to comment.
Other lines are continuing business in Japan as usual. Seoul-base Hyundai Merchant Marine Co. is operating its usual services, Lee Jun Ki, a spokesman, said by phone today. STX Pan Ocean Co., South Korea’s biggest bulk carrier, is also operating its vessels normally at Japanese ports, said Lim Wang Joo, a spokesman.
APL is continuing its regular calls to Kobe and Yokohama, Mike Zampa, a spokesman said today by phone. The shipping line has directed vessels to stay 200 nautical kilometers from the Fukushima area, he said.
The company has also stopped taking bookings for cargos to be hauled by land or barge into “high risk” areas near the nuclear plant, he said.

Radioactive fallout and potassium iodide

Millions of North Americans are suddenly aware of potassium iodide (PI) since Japan's nuclear plants started spewing out radioactive material. But how much will PI protect us from radioactive particles? Who should take it, and who should not?
During a nuclear explosion or meltdown, radioactive iodine (I-131) enters the atmosphere and it has a malignant effect on the thyroid gland.
The thyroid normally obtains iodine from iodized salt and shellfish to produce the hormone thyroxin. This hormone acts much like the accelerator of a car, controlling heart rate, temperature and energy level. Too much of it causes hyperthyroidism and too little, hypothyroidism.
But the thyroid gland isn't particular where it obtains iodine. It also has no way of distinguishing between radioactive I-131 from normal iodine. So when radioactive I-131 enters the atmosphere, the thyroid takes what's offered and absorbs I-131 as well. Fortunately, potassium iodide is extremely effective against I-131 and works as a blocking agent. PI quickly saturates the thyroid with ample amounts of good iodine, leaving no room for radioactive I-131.
But what doesn't potassium iodide do? There's a general misconception among the public that PI will protect the entire body from radiation. It doesn't. Rather, PI's role is to prevent the development of thyroid malignancy and has no effect on preventing other cancers. Nor does it have any power to prevent radioactive material from entering the body, or to nurse an injured thyroid gland, or other glands back to normal.
Unfortunately, there's no magic radiation antidote, the be-all-and-end-all, to protect us from all forms of radiation exposure. Nor does PI strengthen our immune system against radioactive material.
From a personal standpoint, I have a major interest in nuclear fallout, as I live in Toronto, a relatively short distance from Pickering's nuclear plant. So should I rush out and purchase potassium iodide? To find out, I called several pharmacies to see if I could purchase PI. I was in for a few surprises.
Some pharmacists replied that they were not certain if a doctor's prescription was needed, while others said that it was. At the end of many calls, none had PI capsules to sell, with or without a prescription. But PI could be ordered and this would take two days. So if Pickering blew up while I was writing this column, I would be in deep do-do. There are just too many unanswered questions to do me much good.
Sources in the U.S. told me that some states have stockpiles of PI. But no terrorist worth his salt is going to announce the date of an attack. Nor will there be any advance warning if an earthquake strikes Pickering. Moreover, PI should be taken two hours before exposure to I-131. In the confusion and terror that strikes following a radioactive blowout, it's highly unlikely people would get this protection handed to them. And how many will have enough foresight to try and purchase PI before a nuclear disaster?
People who have an allergy to iodine or shellfish should not take PI. And it's vital to never consume tincture of iodine. This could be fatal. The poison warning on the bottle is there for a good reason.
For the moment, it appears that radioactive material is not going to cross the Pacific from Japan. In fact, authorities say even if it does, the level of activity will be so small that it will not endanger life.
Let's hope that no other disaster strikes where a country has to face radioactive material. But if it does happen, we will all need more than PI. In addition to I-131, a nuclear disaster emits 400 other radioactive particles to contaminate the air, food and water that could end our lives. So just hope you're at the North Pole with a southerly wind blowing.

NOTE 4 - NOTES PAYABLE
At October 31, 2010 and 2009 the Company had two unsecured notes payable outstanding for $120,000 total, all currently due and bearing compound interest at 9% per annum. On March 20, 2008, Wave Uranium Holding (the "Company") entered into a securities purchase agreement (the "Agreement") with accredited investors (the "Investors") pursuant to which the Investors purchased an aggregate principal amount of $1,562,500 of 8% Original Issue Discount Senior Secured Convertible Debentures for an aggregate purchase price of $1,250,000 (the "Debentures"). The Debentures bore interest at 8% and mature twenty-four months from the date of issuance. The Debentures were convertible at the option of the holder at any time into shares of common stock, at an initial conversion price equal to $0.25 ("Initial Conversion Price").
In connection with the Agreement, each Investor received a warrant to purchase such number of shares of common stock equal to their subscription amount divided by the Initial Conversion Price ("Warrants"). Each Warrant is exercisable for a period of five years from the date of issuance at an initial exercise price of $90. The investors may exercise the Warrants on a cashless basis if the shares of common stock underlying the Warrants are not then registered pursuant to an effective registration statement. In the event the Investors exercise the Warrants on a cashless basis, then we will not receive any proceeds.
The conversion price of the Debentures and the exercise price of the Warrants are subject to full ratchet and anti-dilution adjustment for subsequent lower price issuances by the Company, as well as customary adjustments provisions for stock splits, stock dividends, recapitalizations and the like.
The full principal amount of the Debentures is due upon default under the terms of Debentures. Beginning on the seven (7) month anniversary of the closing of the Debentures and continuing on the same day of each successive month thereafter, the Company must prepay 1/18th of the aggregate face amount of the Debentures, plus all accrued interest thereon, either in cash or in commonstock, at the option of the Company. If the Debenture is prepaid in shares of common stock, the conversion price of such shares shall be equal to the lesser of (i) the conversion price then in effect and (ii) 80% of the average of the three (3) closing bid prices for the 20 consecutive trading days ending on the trading day that is immediately prior to the applicable redemption date.
Each of the Investors have contractually agreed to restrict their ability to exercise the Warrants and convert the Debentures such that the number of shares of the Company common stock held by each
of them and their affiliates after such conversion or exercise does not exceed 4.99% of the Company's then issued and outstanding shares of common stock.

It’s only a matter of time before your mobile phone swallows up yet another piece of technology: your credit card.
In this not-too-distant future, rather than pay for gas or dinner with a piece of plastic that you slide through a machine, you will simply tap your phone to pay the bill. For this to become standard in the United States, a number of technological changes need to happen, and companies are already working on them.
According to two people with knowledge of the inner workings of a coming iteration of the Apple iPhone — although not necessarily the next one — a chip made by Qualcomm for the phone’s processor will also include near-field communication technology, known as N.F.C. This technology enables short-range wireless communications between the phone and an N.F.C reader, and can be used to make mobile payments. It is unclear which version of an iPhone this technology would be built into.
One person familiar with the new Apple feature said the phone’s credit card information would be tied to information currently used on iTunes, which would make it simple for customers to set up the new mobile payment method on the iPhone.
Last year, Apple hired Benjamin Vigier, an expert in the mobile payments industry who works with N.F.C. extensively. Apple has also filed patents that demonstrate how such a system would work on the iPhone.
Apple isn’t the only company trying to create a phone that can make payments. Google is also exploring adding N.F.C. payment methods to the Google Android platform, according to a Google employee who asked not to be named because company employees are not allowed to speak publicly about unannounced features and products.
Eric E. Schmidt, Google’s chief executive, said at the Mobile World Congress in Spain this year that Google could work with advertisers to create a rich purchasing experience through the mobile phone using built-in N.F.C. chips.
A person familiar with new iterations of Microsoft’s Windows Phone 7 platform said a partner handset manufacturer is also exploring adding this technology to the next version of a Microsoft mobile phone. This person also said the new partnership with Nokia and Microsoft could catapult this technology into the mainstream as Nokia has said in the past that it plans to add N.F.C. technology to all its new phones in 2011.
A report recently released by Forrester Research, “2010: A Crossroads For NFC Mobile Payments,” noted that 2010 would most likely bring a new era of these mobile payments as companies that have experimented with N.F.C. as a payment method, begin using it in the real world.
