EFGU Float Locked
EFGU float locked
we got a way to go "New People" many of us bought in at the 7 'n 8's.. 15's.. etc.. my first small lot was 1.50 way back... so I think it's safe to say many will hold 'n ride this out.. and people from the 2-3's will make it trade-able (IMO) and I've been thinking we gotta float lock down already...

SHELL's
Sent By: levelnever To: joshua33 Date: Tuesday, June 01, 2010 2:37:11 PM
Joshua, yes shell companies do have to stay active and file annual reports with their respective SOS. However, there are shell stocks that are traded who are in default with their SOS. Personally, I tend not to consider the ones that are in default. In AEGP's case they remain active.
Often times R/M candidates can see some of these shell stocks as attractive. First, because it is less time and cost consuming than a traditional IPO process and second because some of the shells accumulated deficits (NOL) can be used as a write down for the R/M companies taxes in subsequent years. That said it is not the whole NOL that can be used in a R/M situation and there is usually an expiration on using these losses. It depends on the individual case but my general rule is not more than 10% of the overall NOL can be used to offset future taxes.
That said, you should be aware R/M plays are highly risky, but on the flip side highly profitable. I like AEGP due to its incredibly low O/S, A/S & Float in addition to recent connections that have surfaced. Will it mean anything for the PPS, only time will tell. I also do like the shell players who are in this stock. I encourage you to learn from some of them as they have alot of knowledge. Here is one good board to post additional questions on:

(83.33%)
This has me wondering ?? prior to the possible merger info below, EFGU was closer to 4.00 a share on it's own in "2007".. ??? any idea's ?? of the potential moving forward ?
(Question to ERIC of tdgi) Do you and Fred have any type of plans, other than performing well and making a ton of money, to bring new, large investors to the table? Are you working with any market makers?
Answer (by ERIC -tdgi): We are not working on any equity financings or with any "Market Makers." During the time that Hannover House was attempting to merge into Empire Film Group (2008 and until June 2009), we watched the Empire stock price plummet from $3.00 to $.02 cents, which arguably could be attributed to "Market Makers" who talk a fast game and promise a lot of funding, but ultimately proved to be shorters looking for a way to jam down the price in order to obtain shares at a discounted level below the ever spiraling share price
I also have always suspected Eric was or will be in talks w/EFGU again.. but there is no reason for these no class posters to be over here trying to undermind our progress with twisted opinions.
what is wrong with you people ? ..there's been a break up ! OK.. go away or talk about your 5%.. only, people don't want you here with your inability to see the truth. do you want us to go to your TDGI board talking stupid chit ? about your investment ? try, though it may be a challenge for some of you, but try to have some class or a hint of consideration... oH wait how about common sense.. ?
..are you missing something ? do you try to ralley your EX's friends and family to hang out with you ? WTF.. go away
Hope this goes well, I got a number of people involved in this based on the information I had at the time.. hope the BOD's are sober people of integrity, who know how to deal from the top of the deck.

some Reactions from y h oo board:
I just read some good reads on another site about this and the way it seems to me this might be a great thing. They had posted that with a increase of shares they might infact buy out another company or use the amount of shares to just protect MCET. In a normal situation I would be a little scared but in this one I am all for it. This could be a great trading tool for a buy out of another company and increase the value of MCET. MCET has been in business for a very long time and they are professionals not only in business but in research and that is why I am here. Smart,Smart people

Re: Whadda think ? 12 minutes ago Hey Mike,
Some will look at this as dilution of the stock and so forth. I on the other hand think this is great news for MCET. Dr. Chang is well respected in his field and was heavly involved when MCET was at it's most recent growth point. Also, the fact that La Jolla is investing in MCET still is a sign that they see a considerable amount of potential down the road with this company. They have been funding companies for awhile and I don't see them investing millions for a loss. In order for MCET to grow they will need to expand the amount of stocks they are holding to raise their bottom line. The other news in the letter about way's they will generate positive cash flow is also a positive sign. Glad to be sitting with the amount of shares at this time think this is a move in the right direction. Thanks to all who sold me shares at such low prices over the past month :)
THE RISK:
A share dilution scam happens when a company, typically traded in unregulated markets such as the OTC Bulletin Board and the Pink Sheets, repeatedly issues a massive amount of shares into the market for no reason, considerably devaluing share prices until they become almost worthless, causing huge losses to shareholders. Then, after share prices are at or near the minimum price a stock can trade and the share float has increased to an unsustainable level, those fraudulent companies tend to reverse split and continue repeating the same scheme
a positive reaction: Is it inherently bad when a company wishes to increase authorized shares ?
Ie: I am a buyer of eTrade, and I do my own research and I just wanted some input. I believe next month they wish to increase the authorized not outstanding shares from 600 mill, to 1.2 billion.

Actually, no its not. Let me explain, first just because they issue additional authorized shares does not mean they can cash in so to speak.
In addition, my experience has been most times when a company wishes to increase authorized shares is (((to retain control of their company usually from hostile take overs.))) ?? this could also be a safeguard while dealing w/the la jolla cove people ??
I will explain further, because I looked at etrade stock recently, they made a drop on opinions not facts, and their diminished price is pretty attractive for a company to offer $8 almost double, and what they are worried about is the shareholders would be willing for the $8 although the true value may be higher.
So in conculsion, they use the authorized shares as a protection measure from any change of control of ownership, in addition they can also use their authorized shares to acquire other companies rather than using their cash (of which they have in excess of 2 billion) they can use stock for stock transaction and actually increase wealth to the company of which increases wealth to your share.
So actually no it is not bad when a company increases authorized shares
you may be right, the new proxy vote I saw a few minutes ago wants to go to 775 ml A/S... ???
