people want to know the current stucture because they are buying shares now... and when 141 restructures, they will likely split the current shares in the process
i think we originally thought the current xxis o/s was 270K, but wildman says its 7 million or so
that's a big difference
if it were 300K, they'd have to split 1:1000 to hit 300 million shares
if it were 7 mil, that changes to about 1:44 or so
so if i buy 100 shares, i want to know how many 141 shares i'll end up with, so that split factor is important
risky business imo, but if it works, all the best to those who pull it off:D

you mean projections can change for a startup company bringing a new technology into a complex marketplace??? ;) excellent post allie. I think we all need to keep perspective on our investment. Sure, it would be great to be millionaires overnight, but we can't expect it, even if company projections at any time point in that direction. The fact that it is a slight possibility should be enticing enough.
We should, however, continue to expect updates from the company about their progress and explanations for any shortcomings or changes of the business plan. Good communication between us and them is key. I think Paul has gotten the message regarding shareholder frustration about projections. Let's put it behind us and move on to the real spzi issues of the week.
I'm in spzi for the long haul.

2 days left in October...
When will the IPO or RTO happen? End of October? Does it depend on Kauderer now?
I am not at liberty to divulge the timing of this information, however, I can tell you that much more information will be available by the end of October. It is dependant upon a number of factors including The Kauderer Group, FINRA (formerly the NASD) and others. Check for press releases as they will be coming soon.

I have no idea how such a report would affect the pps or if it could... that was not my intention. hopefully, it will have interesting facts about the development of spzi as a company. Who knows. I look forward to reading it regardless.

I agree wing. looking back a year on our chart (perhaps the time these gents bought in) the price was about .002. So they could certainly be selling now at a 200% profit and moving the money to another investment or for personal use.
I agree, behavior very much like what we've seen from some of our own board members.
My only concern would be that if this behavior continued... perhaps IW's questions to Paul will shed light on this... otherwise, a good time to add shares... probably a pain for the chartists though!

Thanks for bringing that info to us. (As is common practice around here, we should all try to verify the info ourselves) It explains our somewhat high volume drop in recent days.
Would've been a good time to add some more shares I reckon.
I wonder how the pps will move once those shares clear... looks like they're fairly well absorbed by now, based on the numbers you gave and the volume over the last couple days.
so these are just old 144's being authorized for sale on the general market then? not new 144's being issued, right?
That might partly explain the share price struggles over the last few days.

Actually, i had a bid in at 1.25, 1.40, and 1.26 this morning, for about 40 minutes each... just testing the waters with the little powder I have.
no bites yet... so i'm just gonna sit on 1.25 til they budge or we get a pr.

Some answers.
1. Communications from CEO over the six months indicate no more dilution in the foreseable future. See IBox above
He said at the recent presentation Spooz does not need money right now.
But they may need it later (a few months after launch) to develop even more. I get the impression that our o/s of 1.5 billion is pretty concrete. I think A/s right now is around 1.37 bil or so and hasn't moved in about half a year (occasionally, people from this board to confirm this).
2. Those updates will be posted on 141capital.com I emailed them and they said wait for PRs, which we are hoping to see soon.
3. Not sure, but I think our CEO has a good history of taking good care of the investors. Some of the companies early investors from many years ago still come by to say hello every once in a while. See Ibox above for more info.
Final advice: Make your decisions on your dd. Opinions vary extremely on this board. I've maxed my ignore list for my own sanity:D

Lots of unknowns right now... if 141 opens at $4 with an o/s of 300K, that's only a market cap of 1.2 million
I think people are buying shares ahead of the split right now, but it's anybody's guess.
If spooz has 120 million shares at 4 bucks a pop, I agree we'd shoot that high
I just don't think the $4 sp is pre-split, based on people's reports of the o/s.
Any value added to spzi is good by me. If SWARM continues to perform like it did in testing, our day will come sir!

Okay, good point. I should add on to previous posts- I am in no way assuming that these current pps's that are popping up relate in any way to our 120,000,000 shares mentioned previously. We have no idea how the share structure might change in the merge.
That said, it is great to see such high value shares alongside shareholder agenda outlines mentioning NASDAQ listing. Those $5 asks rang a few bells for me...

Major stock exchanges like the Nasdaq are exclusive clubs - their reputations rest on the companies they trade. As such, the Nasdaq won't allow just any company to be traded on their exchanges. They only want the cream of the crop - companies with a solid history and top-notch management behind them.
The Nasdaq has three sets of listing requirements. The company must meet at least one of the three requirement sets, as well as the main rules for all companies.
Listing Requirements for All Companies Rule 4420
Each company must have a minimum of 1.1 million publicly-traded shares upon listing, excluding those held by officers, directors or any beneficial owners of more then 10% of the company. The minimum bid price of the stock upon listing must be at least $5. Each listing firm is also required to follow Nasdaq Corporate Governance rules 4350, 4351 and 4360. Companies must also have at least 400 shareholders. A shareholder is defined by Nasdaq as a holder of over 100 shares.
Requirement Rule 4420 (a)
The company must have a minimum shareholder equity of $15 million. The operating income from either the last fiscal year, or two of the last three years, must total a minimum of $1 million. The company must have a minimum of three market makers that will provide liquidity to the trading of their stock. The market value of the publicly-held shares upon trading must be worth at least $8 million.
Requirement Rule 4420 (b)
The company must have a minimum shareholder equity of $30 million. The market value of the shares traded must be at least $18 million upon listing. The company also has to have a minimum operating history of two years. It is also required to have three market makers. What can be seen here is that if a company did not earn enough to meet the operating income minimum, they need to have greater shareholder equity and a larger market value.
Requirement Rule 4420 (c)
Under this requirement companies must have at least $75 million in total assets, total revenue, or listed securities. Listed securities as defined by the Nasdaq are securities listed on either a Nasdaq or another national exchange. The market value of the shares upon listing must be worth at least $20 million. They are also required to add an additional market maker for a total of four market makers.
A company has three ways to get listed on the Nasdaq depending on the underlying fundamentals of the company. If a company does not meet certain criteria such as the operating income minimum, it has to make it up with larger minimum amounts in another area like revenue. This helps to improve the quality of companies listed on the exchange.
It doesn't end there: after a company gets listed on the market, it must maintain certain standards to continue trading. Failure to meet the specifications set out by the stock exchange will result in its delisting. Falling below the minimum required share price, or market capitalization, is one of the major factors triggering a delisting. Again, the exact details of delisting depend on the exchange.

A few on the board admitted today to selling their shares, some with pretty decent positions. They are planning to get back in at a lower price.
With the 141 deals creeping in, I think this might be a risky move.
Before SPZI's last run, there was a pretty good rundown all the way to .0019 at one point. Not too long before that rundown it had hit .0045.
I don't know if any games are being played now by mm's but it is possible if they are privy to any 141 knowledge.

The last share price mentioned in the reuter's report before the 1.25 is .02 in 2001...

so we have a listed Texas company with little activity over the last 5 yrs
we have a recent shareholders meeting to discuss mergers
this shareholders mtg occurred via teleconference (probably not many shareholders for that to be the case)
we have 141 Capital in need of going public
and we have a recent pps/trade for XXIS at $1.25
if the share structure going into such a merger doesn't dilute spzi's 120 million shares, we could be talking $150 million value added to spzi overnight... that could take the spzi pps to $0.10 ... that would be crazy.
a lot of unsubstantiated speculation... let's see what happens.

To M&M and others who have sold, I hope it works out for you. I understand the frustration with the communication issues. I don't think anyone is mad about the launch being delayed. They are mad about the communication aspects surrounding the launch.
For me, this is a long term play. Thankfully, my avg is about .0042, so this drop, while disappointing, doesn't put me in the red just yet.
This is a volatile stock and probably will be until we get sustainable revenues in the books. With 1.5 million coming in over the next 3 quarters, we're getting close. Fact is, we need the launch or some 141 rev stream.
I WOULD BE CAREFUL JUMPING ONTO THE SIDELINES. This company has a small market cap and a fair amount of longs who are going to hold tight.
When this thing takes off, chasing the price might be an understatement. All it takes in one investor with big money.
I saw this happen with WWAT this spring. A man by the name of David Gelbaum came across the stock and said, hey, looks like a good long term play, and proceeded to by millions of shares (total o/s for wwat about 10X smaller than for spzi), driving the pps from 0.50 to 1.50. While that was happening, everyone thought the pps was going to come back down. It didn't. He kept buying til he had 10% of the company. By the time we figured out what happened, I had quadrupled my investment and suddenly had money to buy into spzi.
So what happens when spzi attracts this attention- a long term investor who might not care about getting shares at basement prices. I think we could see the pps go up 5X in the blink of an eye.
So if you pull out now, please get yourself in before that happens. When will that happen???- no idea! But it will probably happen before we expect it to if this company is the real deal.

To add on, another aspect of the revenue in the long term might be dividends. I imagine 141 will re-invest their profits for a while, but if all goes well, once they get to a certain point, they will probably start cutting dividend checks to their shareholders and a big fat one to spooz.

the 1.5 mil is in the bag though, and should be included
profit margins in the initial phase will be less, prob part of the reason for getting these "up front" payments
