Thats 1 st Q, Now we need 2 nd Q
billionaire - I am not there, I went there. I live in Orlando Florida.
I know that anything I say is speculation, . But, I have been in business since 1989. I am just a small Electrical Contractor, building Commercial buildings, and homes. I do not look at business as a catagory type. I look at it as, what IS the possability's.
I could not figure out why an Electronis Company would want an oil company, they just do not relate. I tried to took from satlelight at the property but it was blurry and I could not see a thing. My other investments I really do not need to see with my eyeballs, only my minds eye. But this one was getting to me. So I went to Bay City Texas to look.
Overall picture is that I aggree with this acqusition. If I was in their shoes I would have done the same thing. Maybe, or maybe-not for the same reasons as HISS, but I do see a future with this.
Overall picture is that I believe they just Ran Into this opertunity and took a look and saw the potential, using the shell, Nasdac, and local reasons. At the same time the use of the shell effect that the company (Evans) would give them. Its a few things rolled into one. I do not know everything about company's leveraging off each other, but I do know that Business is all a big boy game. You Have to know how to play. I am just a small business Man. But It doesnt matter how big or how small your business is, it all breaks down to knowing how to play WITH the Rules to get what you want. All though something is on paper now, doesn't mean that they can't change it later, Even knowing it now.
I really believe HISS see's more than just HISS. I have talked to people in that town and they told me Evans had a Monopoly there in Bay City. But they ran it into the ground. They got Greedy and over charged, and slowly lost.
I do not want to say to much about what is going on in that town because of compeditors watching all message boards and could cause problems for HISS in this whole process. But I can say its motivating.
I know that this is Pure Speculation, but afterall, we all have invested a lot of money and time to read through everyones speculatios, with reports to try and come up with the pieces to the puzzle called business.
I only wish I had more money to put in for more millions.

RedCloudPaint - Ok! I will go back and re-read these reports that you have listed. But where are you getting the info that Evans has sold off their assets to pay bills. I have not seen any report on anything of this. Just because someone wrights it here on the board does not mean its correct, thats speculation. Please show me where that report is.

Here is my scenario to HISC and EVSY.
HISS wanted to up list to the bigger board. They put in an application in to the sec. They started to promote, and work on HISS. They ran into a company (EVSI) that looked very appealing. They tell us that HISS has retracted their statement because they have an acquisition that could put them on the Nasdac board, and they could not pursue two things at a time, so they will retract that application to the SEC uplist. We all get big time excited. We wait ……We wait …… a couple of delays later we have a phone conference telling of the problems and the re-routing of the business structure. Then we We wait ……get a letter from the new CEO Fred Wicks. Explaining the reason we have to wait some more. Frustrating …
This is how I see the new and final direction.
HISS byes Evans. They keep the old BOD in place long enough to make all transaction happen and acquire the 300,000,000 shares HISS wants on the books, because they would have a tougher time if they took it over from EVSI and then tried to do it themselves. They just had the old BOD at Evans stay long enough to do this. No big reason other than it was easier. Also it gave HISS time to reform their office.
Once completed, Mr. Moody will assume the Evans CEO position, with his same BOD at HISS. They will start Evans on a rebuild road of recovery, implementing their new direction. (the speculation is that Evans could be a shell Company)
I know that HISS said that they will allow HISS to grow as a separate company from Evans (I think only for now), but I SPECULATE … Evans name will changed to Global-Tec. … Then Global Tec will keep the same Web page but change the name from HISS to Global Tec. OR, is It possible that Global Tec could acquire HISS…combining our shares together, remember they are dividends. Over all picture is … this would up list US.

Are you saying that all the assets were not sold when they auctioned off the assets to pay debts and avoid bankrupcy and that they retained a lot of those assets? The fact is, we just don't know what EVSY will become. It really sounds like you're saying this is not a shell company. Is that what you're saying? There is certainly more to this deal but we don't know what it is.

I hear you about that form but, doesn't that only apply to the otc and the big boards. I am under the impression that Pink sheets are not regulated by the SEC as much. If you look at the SEC surch using HISC it come up nothing. I have thought that is the reason why HISC has not up listed yet, so they have more room to move around.

Many of our shareholders have asked why we postponed the record date for the 1 for 50 stock
dividend in Evans Systems. There are a number of reasons for this. The most important reason
was the delay by the SEC for approval of the 14C that was filed by Evans Systems. The Board
did not anticipate this delay. As a result, we were forced to postpone the date twice. Otherwise, we were concerned that our shareholders might not achieve the maximum value of this transaction.
I’m pleased to inform you that the Evans Systems, Inc. 14 C has been approved by the SEC and we will be moving forward with the dividend.
Therefore, our Board will be announcing a final record date THAT WILL NOT BE POSTPONED in the very near future. We
will not set a new date until all reporting requirements have been approved.
We are sincerely sorry for this unfortunate circumstance.
However, once we have completed the Evans Systems acquisition of shares, HISS shareholders of record can expect to see the value of their new stock in Evans rise significantly. We have an
exciting business plan for Evans. Evans strategy will be to acquire private companies with
unique products and/or technologies. Some of these companies will be “spun off” as separate
public companies with Evans retaining a minority ownership. Other companies will be integrated
into Evans as permanent operating divisions. And some of the acquisitions will be placed into
HISS. The dividend our shareholder will receive in Evans, allows them to benefit from this
exciting business model. I want to emphasize one important point about the acquisition of Evans
shares. This transaction will enhance the value of HISS and not diminish it. HISS will not be
