swimom, come on, you want them to actually be able to pay their bills with production of product and subsequent sales of same. What a silly concept.
Unless the PEII management SHOWS that they are building return on shareholder investment by selling considerably more oil and gas and steadily give a flow of production information that will build shareholder confidence; this stock will wallow and retest the LOWS not the highs. It's obvious by today's share price and buy in levels. Confidence is all but gone in prospective investors.
OK, I'll leave for awhile, since I'm sure you all consider me a basher, so you guys can pump this stock. I'm going to look for a stock that can MAKE me money, not loose it, maybe more UBRG. Go team PEII!
Oh NO Naz, you must be a basher, because you can read and understand FACTS that are so obvious it's ridiculous. Anyone here that doesn't want people to waste there hard earned money in this stock is a basher. This stock is eventually going to .0001. Don't be there when that happens.
Even if Floyd gets S1 approval, even if he gets his $10M financing, it will be more of the same, he will open up a few more wells that promise to bring PEII to break even and a trickle will come out. He will stall while inflating the stock price any way he can to get hopeful investors money out of their pockets and into his. Don't be fooled. This is about what benefits FLOYD, no one else.
Not 30B shares but 15B shares, you can own every one of them and still FLOYD is in control, shareholders have ZERO say in the companys direction. Floyd has 51% CONTROL with his PREFERRED SHARES.
You don't get it Tammy, few are gifting shares, writing is on the wall in big bold letters, FLOYD is selling shares at any price. The downward pressure is there right now.
Floyd has over 13,000,000,000 shares more to unload so I'm sure he will say or do something eventually to raise the price of this stock. Just no reason to buy here. Sorry...
That's good but Floyd will sell at any price. BTW not looking to buy at .0015, people are starting to see this stock for what it is. Take off the rose colored glasses and you might too.

It may go up, when supporting data comes in to cause it. I don't see that in the 10-K, I see the stock floundering with little conviction, a SMART investor sees that and waits for a better inflection point to BUY. See, that's how you make money in any stock.
By now any interested in buying this stock has read the new 10-K and it's interesting that the stock hasn't flown to lofty heights, no matter how much manipulation some try. Maybe serious investors don't like what they read and that's why there are NO big buyers willing to buy at these levels. I see .0015 coming again soon, sorry.

Definition of 'General And Administrative Expense - G&A'
Expenditures related to the day-to-day operations of a business. General and administrative expenses pertain to operation expenses rather then that to expenses that can be directly related to the production of any goods or services. General and administrative expenses include rent, utilities, insurance and managerial salaries. So, NO it can increase debt, it's cost to run things on a day-day basis.
Lets say they have doubled their production numbers since then. That is still pathetic output, more money is going to G&A expenses then into new production, There have been NO present oil production and SALES numbers given. That is what is most important. I want to know where they are going, not where they have been. Show me the money value here.
Wow, not good. Net loss of $4,301,095 and total oil sales of only $276,421. At least they cut the net loss in half from last year but they had better oil sales in 2012. NOT GOOD!
I think the bottom is going to get re-tested. 14-15 before rebound, IF it happens. Sorry folks, just my opinion. I knew this was heading to test the bottom, no one listens to me though. Hopefully it pops back from there and people don't get too beat up.
My position is, I WANT this stock to fly high for everyone. I want it to do it though based on facts and an indication that management is learning from it's mistakes of the past and not repeat them at share holders expense. So far, I see that Floyd covers his butt real well but not his shareholders, that concerns me. Management needs to SHOW it cares about shareholders and stop diluting and start making money with SALES of product, like any well run business. When that happens, I will buy back in heavy!

Exactly Cakes, it's about making money and NOT crashing and burning. If the facts support buying back in, I will. NOT seeing it yet, just hearing a bunch of hype and that helps no one here. I have a feeling this stock is going to be a sub penny play for quite some time to come, doesn't mean you can't make money with it, just be careful about it. Lofty claims that have no basis helps NO ONE!
Tammy, sorry to step on your parade, I still have a small position in this stock and have as much right as you for being here. I can still own this stock and be realistic about it. If you can't take, why are you here?
Cakes10, I agree with your analysis, for the most part. It's a REASONABLE way to look at this stock, at this point. Little has been shown in the way of production numbers and that worries me A LOT! The share price could have been boosted considerably with a production and sales update on ANY of the wells and we hear nothing on the pipeline and any revenue it brings in; which alone, SHOULD be a significant revenue source, unless it's hooked up to a bunch of dry wells. That's why I stepped back from this stock and still view as high risk.

"The Institutional Investor shall receive 30,303,030 shares in exchange for the initial Exchange Amount of Debt", exactly what I said. So, 30,303,030 shares for $30,000 in debt. Read below -27- on the bottom of document, above Floyd's signature and it spells out the "]initial Exchange Amount".
Yes Charles, provided they extinguish all or most of their debt PRIOR to the S1A judgement. That would be a good thing.
So, according to the 8K the "Initial Debt Exchange Amount: $30,000" for 30,303,030 shares. The remaining debt the creditor now holds is $245,000. At the same exchange rate of .00099/share, it would mean a stock swap total of 247.47 MILLION SHARES! That's if the share price stays around .0020/share. I'm thinking that is substantial. If the avg. daily share price drops then more shares will have to be swapped to pay the debt. Just saying.
PEII entered a deal according to 8K to make payments in the form of stock swap (with a 45-50% discount to avg daily price) to the CREDITOR. The first payment was for $30K of debt for 30M+ shares at the discounted price of .00099/share. Payments are to reduce the $275,000 debt to holder with option "to acquire up to $118,268 of additional convertible notes of the Company". Debt still held by debtor is now reduced to $245,000 presently with option to purchase more. The CREDITOR has the option to cancel the agreement at any time. That's what I got out of the 8K, not saying it's a bad thing, so put the rocks and sticks away, just saying that is what it seems to say. Discuss amongst yourselves...
I just read it off the document. Just below page 27 and above Floyd's signature line, it's broken down. I thought it was $380,000 too but it's not. It's Initial Debt Exchange Amount of $30,000 (debt) in exchange for 30,303,030 shares for the initial exchange. You need to READ it.
Tom, toward the bottom of the newest 8K it clearly say the $30000 debt being exchanged for 30,303,030 shares at $0.00099 per share value.
Transparency is a great thing, if the company were to say file bankruptcy and they are transparent, then share holders would have little ability to succeed with a law suite. NOT saying that is what is going on, just an example. I think that the shale deal going flat was a blessing for PEII, don't think they could have come up with the money needed to close the deal. Just some thoughts...
So, on 2/27/14- 8K "total number of authorized stock of the Corporation from 6,010,000,000 to 15,010,000,000 shares consisting of: (i) 15,000,000,000 shares of common stock, par value $0.001 per share" 10M preferred @ .001/ share. On 3/31/14- NT 10K filed delaying filing of 10K then 4/2/14- 8K to change "common stock from $0.001 par value per common stock share to $0.0001 par value per common stock share." The preferred stock that Floyd holds stays at .001. Then, on 4/3/14 (date of earliest event- top of new 8K) PEII exchanges $393,268 of debt for 30M+ shares. Wonder where this is leading? Thoughts...

Some where in the jumbled words of the 8K it mentions a 3X that seems to indicated 1B shares X3 option, is that then 3B more shares as an option and at what price? Hard to read and not get a migraine from the word spacing. Who typed this document?
Looks like a 1B share debt swap for financing in the 8K. So, isn't that another dilution? Inform me, since I'm such an uninformed person.

I said, IN MY OPINION, I may be wrong but based on all the information that I read, this stock is likely going to .0014 sooner than .0024 again and most are buying larger share blocks so a spread of .0010 in price can cost one thousands. I'm not saying it will never see .0024, I just don't think if will "FLY" like some say.
