Capitalization: Our previously announced financing of $6M in debt financing, with a $4.75M drawdown at closing has been delayed but the investor updates us constantly. They have reported receiving funds from their investor now for the last eight weeks, and once various banking and fund set up fees have been paid, they have stated they will start funding NEAH. This investor has a very credible multi-year track record of investing in market disrupting emerging technology companies. The details of this investment were previously disclosed in the December 2015 letter to shareholders. The financing is critical to execute on the business plan of the Company. The Company is also evaluating other financing options.
Business update:
NEAH was invited to participate in the White House briefing on Feb 17. We have had various commercialization and capitalization discussions occur based on the networking at that event. As a direct result of attending the White House conference on Climate Change, we have been invited to attend three USTDA Reverse Trade Missions Focused on Energy Storage. The delegates are senior officials from South Africa, Jordon, Brazil, Colombia, India, the Philippines, Turkey and Vietnam.
I recently visited the United Arab Emirates (UAE) to explore certain licensing relationships to implement manufacturing and other partnership agreements. There is tremendous interest with the entities I met with to develop UAE into a renewable energy focused hub. We continue to explore and to finalize a mutually beneficial business relationship here.
We are in discussions with the Economic Development Authority of State in the USA regarding relocating to that State to enable their focus on renewable energy and battery storage. We expect this to get finalized in Q2 2016.
We continue to make progress on the previously announced MOU with a South Africa entity. We are in almost daily discussions with them, and are targeting an agreement with them by end of Q2 2016. This will provide a key production pathway for meeting our customer needs.
We have been negotiating a licensing agreement with an entity in India for the BuzzBar Suite and the Formira HOD products. India has been identified as one of the fastest growing markets for off-grid power, and this relationship can enable NEAH products to serve this region.
We have been negotiating a Formira HOD licensing with a group in Taiwan for the Greater China Region. Similar to India, the demand for off-grid power is significant, and continuing to grow in this region. This licensee partner is expected to visit us in the near future which will enable us to complete the anticipated transaction.
Our discussions with the DRDO are ongoing, and we expect to schedule a visit in Q2 2016.
We plan to submit for two separate grants for certain DOE funding with a National Laboratory in the US during the next 30 days.
Finally, the PowerChip® Battery continues to get tremendous interest from consumers and commercial entities. We are negotiating preliminary orders for this product, and due to the outsourced manufacturing model, we believe we can manufacture this very capital efficiently
While our capitalization situation is very challenging, the management is diligently working to complete various capitalization and commercialization activities that will help unlock the potential of the Company. Intellectual Property – 2013 Acquisition of Tekion Assets
Over the years the company has amassed a substantial stable of 14 patents, and various pending
patents and patent applications.
In late 2011, an independent, professional IP evaluation company, Dolcera Corp., assessed Neah
Power’s patent portfolio and determined a valuation range of approximately $800 million to $1.6 billion.
This valuation was based on the projected growth rates in various markets, the ability of the company to
garner market share, and the types of royalty arrangements that can be reasonably expected. All this is
contingent upon the uniqueness of the company’s proprietary technology. The company’s patents are
slated to expire in the years 2020 - 2030.
The acquisition of Tekion’s assets in November, 2013 brought to Neah Power several of the above
mentioned patents and the capability to build upon its silicon and formic acid technologies. It is upon
these new and innovative technologies that the promise of long-term growth has been based. It stands to
reason that the value of the assets from the Tekion acquisition reinforces the overall valuation of the
company.
Three Main Market Areas of Value
The Dolcera evaluation focused on three major markets, the military, transportation and stationary fuel
cell markets. In addition, because of the company’s strong links to the Indian government, that
government’s potential spending on military applications was also included.
We believe Dolcera’s valuation parameters are overly optimistic relative to the status of the company’s
current commercialization efforts. Projecting royalties is indeed a viable method by which to assess a
company’s value, but much verification will still be needed of the company’s technology before major
manufacturers or large-scale power generation entities are likely to step forward and embrace Neah
Power.

Licensing deal for serving the fast growing Africa market
Bothell, WA (Date, 2015) – Neah Power Systems, Inc. (OTCBB: NPWZ, NEAH POWER) an emerging leader in fuel cell-based power solutions and rechargeable lithium battery storage solutions for defense, commercial, and consumer applications, proudly announced that the Company has signed a memorandum of understanding (MOU) with a large South Africa based entity, to license the NEAH’s technology. This license would include the PowerChip® fuel cell technology, the Formira HOD® technology and theBuzzBar technology.

Formira HOD®
NEAH recently released an improved version of the Formira HOD, with BASF, the German Chemical Company, as a preferred supplier for the Formira fuel.
To date, NEAH Power has entered into various teaming agreements with system integrators and manufacturers to incorporate our products into their platforms, as well as resell our products to their customers. In addition, we are presently negotiating an order for several demonstration units with Clear Path Technologies, a leading security and defense system integrator which is developing markets for our fuel cell products in the U.S., Asia Pacific, and MENA regions.

DRDO Licensing
NEAH has recently been in high level communications with the DRDO. This has been driven by the recent appointment of the DRDO chief, whose position remained vacant for almost 5 months, since the termination of the previous DRDO chief in Jan 2015. This has created tremendous positive momentum to finalize the licensing proposal that was previously submitted to the DRDO. We are in commercial close at this time, pending a specific date for negotiation and finalization of the licensing agreement.
PowerChip® Battery Update
So far the performance of the battery has exceeded expectations, such that we have begun to discuss developmental and licensing opportunities with leading battery manufacturers, system integrators, and other companies involved in, or seeking entry into, the very lucrative energy storage sector. We are currently in preliminary discussions with consumer and computing companies, battery manufacturers, and parties who have expressed interest in investing directly into the battery opportunity. Any such direct investment into the battery opportunity could potentially lead to a spin out of this technology.
Customer Sales / Licensing Discussions
The Company is also actively engaged in the following sales and licensing initiatives which are expected to deliver results and sales revenues in the near term:
We have a non-binding MOU for a strategic Joint Venture with a South African Consortium comprised of a Provincial Government and Platinum Mining Conglomerates regarding the sale and transfer of a license to produce NEAH Power’s fuel cell products for sale in Africa and the Middle East. Said JV is expected to generate significant revenues, as well as provide a preferred source of raw materials for the production of NEAH Power fuel cells and reformers. This JV is expected to generate short term revenue and ongoing royalty payments creating significant long term value for the Company. We are finalizing dates to visit, and to potentially execute final documents during the visit, for this initiative.
Our Teaming Agreements with Clear Path Technologies, Tectonica (Pvt) Ltd, S4W Technologies, Silent Falcon and Black-I Robotics, to integrate NEAH Power’s power generation and energy storage technologies in mature product lines with established customer bases, while rapidly and cost-effectively developing global markets for its products. Some of the licensing agreements under negotiation, discussed in Part I, developed from these Teaming agreements. Anticipated sales revenues under these teaming agreements is expected to reach $20mm in three years.
We are discussing a strategic Joint Venture with a Street [b[color=red]]Furniture/Outdoor Advertising company regarding the sale and integration of NEAH Power’s remote power solutions for long-term operation of public advertising displays to be installed under existing municipal contracts. Silicon versus graphite
Replacing the graphite in a cell with silicon means that you can use less anode material and fill up that extra space with more cathode material – effectively increasing the overall energy that is contained within the same volume. It seem more than confidential that the poster giving lessons on shorting and the total volume reporting for yesterday are not in agreement. Wonder when the data is compiled for the various report. Total volume is different from three different sources (otc short report, Ihub and otc after hours website.
It also seem less than proper for shareholders to believe the stock lost value yesterday when it appears it did not ... something appears to be gamed here. The bid and ask on Ihub also seem to be starting from the lower number this morning as well... .002 and .0021 as well. Seems worth reporting to someone..

One more time on this. If any of you want to learn what the after hours Form T trades are, then pay attention. I worked for many years as a broker/trader for Wall Street firms.
In the OTC, after hours Form T trades are almost without exception "late prints". They are the result of accumulated buys or sells handled on a "not held" basis through block desks. They have nothing to do with short selling in particular, but with buying and selling in general.
Let's say you are an insider, promoter, or finance guy and who has a large block of shares you want to liquidate (the most common reason for Form T trades, in my experience). You can tell your broker (who in the penny market is usually someone who specializes in this kind of work) that you want to sell "up to XXX million shares at the best price possible". He turns the order over to a market maker (it may be one from his own firm or it may be a market maker with whom his firm has an order flow agreement). In other cases, the seller may instruct his broker to "sell up to 10% of the day's volume at a positive average weighted price". The broker usually monitors the progress of the order throughout the day.
At the end of the day, the market maker handling the order will place a T-trade print on the tape for an accumulated total at the average price at which the shares were sold if there was still a balance left to sell. If the entire order had been completed during trading hours, the print will go on the tape normally.
All of this can work the same for buyers as well. If you want to take a large position of lets say, 5 million shares, you can instruct your broker to accumulate the stock "at the best price possible" on a not held basis or "under the average weighted price". At the end of the day, if the order was not competed during market hours, the final print will occur as a T trade at an average price.
Occasionally the trade may have been completed earlier in the day, but the customer was unsure if he might want to add to the order. In those cases, the book is left open until the end of the day and the trade is printed after hours.
In more rare occasions, the final print may have been forgotten to be entered and those trades are also entered as Form T trades.
You can pretty much tell whether the Form T trades are from large block buyers are sellers by looking at the price at which the trade was entered. If it is at the lower end of the day's price range, and the stock had been under pressure that day, it was probably from a seller. By the same token, if it was printed at the higher end of the range and the stock had been strong that day, it was likely to have been from a buyer. This rule is not absolute, however.

Neah Power Systems, Inc. After months of due diligence, there are a few poorly publicized uses for a T Trade. The most important factor here is that the only requirement of market makers by FINRA is that they must report all trades in a day. They are not required to do so when the actual trade occurs.
To avoid creating “an unbalanced market”, market makers often do not report certain trades during the day to the public and then use a T Trade not to “scare” investors into thinking a market for that stock is going in one direction or the other at the spurring of one large investor.
If a market maker wants to accumulate a large amount of a stock in one trading day, that market maker may actually not report any of the trades that occurred until the trading day has ended so as not to alert the market to the collection. This practice is completely legal under the FINRA rules of the OTC Markets so long as the trade is reported at the end of the day.
To execute a Market on Close” order, a market maker may have an order to purchase the stock at a certain price at the end of the trading day. This is the most unlikely scenario because it needs to be assured that someone selling the stock and someone buying that stock are agreeing upon a price. Simply put, this is more likely with insider buying and selling.
The T Trade that the public sees is nothing more than one or all of the above scenarios. The T Trade reported at the end of the day can be from one market maker or many involved market makers. It can be a single purchase price but is usually an average of all of the previously unreported purchases from that business day.
Penny stocks are an exciting and lucrative business. As most everyone will tell you, it is not for the weak of heart. There is definite money to be made in the OTC Markets and more penny stock millionaires are made every day. But the best way to win the game is to know the rules!

The PowerChip Battery is already generating interest.
Neah Power has a deal with Santa Rosa, California,-firm Liquid Image to produce 100 batteries for wearable police body cameras. Those batteries are expected to hold enough charge for 13 hours instead of four hours with current standard rechargeable batteries, D’Couto said.
If testing is successful, Liquid Image wants to buy 200,000 PowerChip Batteries.
This type of battery technology could also be used for the increasing number of electric vehicles, D’Couto said. And that could extend the range for electric cars by hundreds of miles.
The design uses the same manufacturing technologies that made television sets, cell phones and laptops more compact and capable, D’Couto said.

In 2012, Polaris received a $50,000 grant through Drive Oregon’s Matching Grant Program. “The timing was
perfect,” Morris says. “We were an official company and we had investment money, but we did not have some of
the operational funds we needed…It was perfectly timed to get us established and help us get some of the initial
material we needed.”
Polaris’ involvement in Drive Oregon has also led to valuable relationships with new business partners, including
start-up company RYNO Motors. As Morris tells it, “We really first met and got to know each other through Drive
Oregon activities. When RYNO got closer to prototyping their own battery, Chris Hoffman (CEO) engaged us to
help them analyze battery design as well as sourcing and transportation options. This has been a very positive
relationship for us.”

size through the complex process of battery prototyping to full production. Morris sees a real opportunity in

Status of the Shorai Acquisition

Below is a summary of some of the Company’s business development initiatives which, together with other public disclosures made by the Company (including those contained in our most recently published letter to shareholders), should be taken into consideration when considering a loan or investment.
Formira HOD®
NEAH recently released an improved version of the Formira HOD, with BASF, the German Chemical Company, as a preferred supplier for the Formira fuel.
To date, NEAH Power has entered into various teaming agreements with system integrators and manufacturers to incorporate our products into their platforms, as well as resell our products to their customers. In addition, we are presently negotiating an order for several demonstration units with Clear Path Technologies, a leading security and defense system integrator which is developing markets for our fuel cell products in the U.S., Asia Pacific, and MENA regions.

DRDO Licensing
NEAH has recently been in high level communications with the DRDO. This has been driven by the recent appointment of the DRDO chief, whose position remained vacant for almost 5 months, since the termination of the previous DRDO chief in Jan 2015. This has created tremendous positive momentum to finalize the licensing proposal that was previously submitted to the DRDO. We are in commercial close at this time, pending a specific date for negotiation and finalization of the licensing agreement.
PowerChip® Battery Update
So far the performance of the battery has exceeded expectations, such that we have begun to discuss developmental and licensing opportunities with leading battery manufacturers, system integrators, and other companies involved in, or seeking entry into, the very lucrative energy storage sector. We are currently in preliminary discussions with consumer and computing companies, battery manufacturers, and parties who have expressed interest in investing directly into the battery opportunity. Any such direct investment into the battery opportunity could potentially lead to a spin out of this technology.
Customer Sales / Licensing Discussions
The Company is also actively engaged in the following sales and licensing initiatives which are expected to deliver results and sales revenues in the near term:
We have a non-binding MOU for a strategic Joint Venture with a South African Consortium comprised of a Provincial Government and Platinum Mining Conglomerates regarding the sale and transfer of a license to produce NEAH Power’s fuel cell products for sale in Africa and the Middle East. Said JV is expected to generate significant revenues, as well as provide a preferred source of raw materials for the production of NEAH Power fuel cells and reformers. This JV[/b] is expected to generate short term revenue and ongoing royalty payments creating significant long term value for the Company. We are finalizing dates to visit, and to potentially execute final documents during the visit, for this initiative.
Our Teaming Agreements with Clear Path Technologies, Tectonica (Pvt) Ltd, S4W Technologies, Silent Falcon and Black-I Robotics, to integrate NEAH Power’s power generation and energy storage technologies in mature product lines with established customer bases, while rapidly and cost-effectively developing global markets for its products. Some of the licensing agreements under negotiation, discussed in Part I, developed from these Teaming agreements. Anticipated sales revenues under these teaming agreements is expected to reach $20mm in three years.
We are discussing a strategic Joint Venture with a Street Furniture/Outdoor Advertising company regarding the sale and integration of NEAH Power’s remote power solutions for long-term operation of public advertising displays to be installed under existing municipal contracts. Anticipated sales revenues under this JV is expected to reach $6mm in two years.

Capital Sourcing and Commercialization of the Company
Capital Sourcing: The company had previously entered into a senior secured loan term sheet with Signal Lake Neah, LLC, a Connecticut based investment fund (www.signallake.com). Bart Stuck, Managing Member of Signal Lake General Partner, LLC which is the Managing member of Signal Lake Neah, LLC stated, "The Company has a strong IP portfolio, and the customer interest is very appealing. We had administrative and logistical delays in the formation of our fund, but our current estimate is we expect to close by May 2016." The loan agreement provides for $6 million in debt financing with an initial draw down of $4.5 million at closing. For each drawdown, interest is accrued at LIBOR plus 4% with maximum interest rate of 6%. There is no repayment within the first three years. We are receiving status updates regularly. Additionally, the Company is pursuing other funding opportunities in the US, Middle East and other regions.
New facility location: We are in the process of moving out of our Bothell, WA facility since we had excess un-utilized capacity at this location. During this period we will focus on the battery testing and development, which is happening at a third party facility in Beaverton, OR and the Formira HOD® development, which is occurring with consultants located in Vancouver, British Columbia. This further allows us to conserve capital while we close out our funding and licensing negotiations.
Business Update:
I had recently visited the United Arab Emirates (UAE) at the beginning of March, and again at the end of March to explore certain licensing relationships to implement manufacturing and other partnership agreements. There is clear, and enthusiastic interest, and we are negotiating to mutual benefit with them. We will update as this effort finalizes.
We are in discussions with the Economic Development Authority of two large States in the USA regarding relocating to enable their focus on renewable energy and battery storage. We expect this to get finalized in Q2 2016.
We continue to make progress on the previously announced MOU with a South Africa entity. We are scheduling a visit by this entity to our location, which is expected to happen in the April / May 2016 timeframe.
Our negotiations with the India entity for the Formira HOD is ongoing, and we expect completion of a deal in the Q2 2016 timeframe.
Our discussions with the DRDO are ongoing, and we are exploring a partnership with a different entity in India to represent us in these discussions with the DRDO. This should help speed up the transaction with the DRDO.
Finally, the PowerChip® Battery continues to get tremendous interest due to its differentiated performance, manufacturability and scaleability.
While our capital sourcing is ongoing, we are diligently working to complete various initiatives that will help unlock the potential of the Company.

The note bears interest at the rate of 8% per annum on the unpaid principal balance. All interest and principal must be repaid on or prior to April 01, 2017. The note and interest are convertible into common stock at the price of sixty percent (60%) of the lowest trading price in the prior 20 trading days before conversion.
The Holder of the note shall have the right, from time to time, commencing upon the Issue Date to convert all or any part of the outstanding and unpaid principal amount of this Note into fully paid and non-assessable shares of Common Stock, as such Common Stock exists on the Issue Date, or any shares of capital stock or other securities of the Borrower into which such Common Stock shall hereafter be changed or reclassified at the conversion price. The number of shares of Common Stock to be issued upon each conversion of this Note shall be determined by dividing the Conversion Amount by the Conversion Price on the date specified in the notice of conversion.
The conversion price per share of Common Stock (the “Conversion Price”) shall be determined (on a pre-Qualified Financing basis) by: (i) calculating the percentage of the entire unpaid principal amount of this Note sought to be converted (the “Conversion Percentage”); (ii) multiplying the sum of Three Million (3,000,000.00) dollars by the Conversion Percentage (the “Conversion Value Amount”) ; (iii) then, multiplying the number of issued and outstanding Common Shares of the Company on the Conversion Date by the Conversion Percentage (the “Conversion Share Pool”), and; (iv) then, dividing the Conversion Value Amount by the Conversion Share Pool. In the event that the Borrower consummates a Qualified Financing at a pre-money valuation of less than Three Million (3,000,000.00) dollars, for the purposes of determining the Conversion Price, such pre-money valuation if lower than Three Million (3,000,000) dollars shall replace “Three Million (3,000,000.00) dollars” above. Companies face two immediate hurdles: money and time. Without millions of dollars and several years to create sample batteries and test new products, businesses can flounder, unable to showcase products to investors or customers.
The missing link could be Polaris Battery Labs, Morris' new Beaverton-based manufacturing and testing lab that might even the playing field for U.S. battery companies.
The battery industry is "completely dominated by Asian companies, yet all of the inventions come out of the U.S.," said Morris, 57, who has acted as a consultant for battery startups since 2003.
Morris previously spent 21 years with Motorola. He recently served as vice president of operations at battery company Enevate.
Morris said his for-hire lab is rare in the U.S., and demand is strong. Nearly 40 potential customers, mostly American, have expressed interest in working with Polaris once its lab opens in July, Morris said.
An anonymous investor based in Asia, who Morris said "owns the No. 5 battery-tech company in the world," paid $850,000 of Polaris' startup costs. Polaris also won a $50,000 grant from electric-vehicle industry group Drive Oregon, and the Oregon Nanoscience and Microtechnologies Institute awarded $50,000 to Polaris, Portland State University and Oregon Institute of Technology.

From 2011 Apple seems to have a patent for the fuel cell and Neah seems to be ahead of their schedule.. so may Neah is on schedule with their fuel cell development... maybe everyone involved think the same way...wonder who owns the motorola patents now...?

Imagine futuristic laptops even thinner and lighter than the MacBook Air, capable of running for several days or even weeks without recharging–Apple certainly is, as a couple U.S. patents published yesterday reveal.

While batteries will have a place in home energy systems, storage battery technology is not advanced enough to be a cost-effective addition to a generator used as a backup power source. [47] Two leaders in renewable technologies are collaborating on a home battery solution that will enable individual solar power producers to store surplus energy at point of generation for later reuse. [26] DER systems typically use renewable energy sources, including, but not limited to, small hydro, biomass, biogas, solar power, wind power, geothermal power.
