1. Mar.6, 2007 – USAC – symbol change to PKTO is announced on www.otcbb.com at 2pm. USAC runs from 0.0002 to 0.003. Seems this was an unannounced reverse merger.
2. Mar.7, 2007 – Opens as PKTO and continues running from 0.0075 to 0.049.
3. No one knew the O/S or A/S. Turns out the A/S was 1 billion as per state of Delaware, but no one still knows what the O/S is. After the peak of 0.05..stock plummets...dilution.
and I don't consider a stock whose PPS has appreciated via a R/S a runner LOL

To illustrate your point...
The 8K filed Feb 27 was an automatic necessary filing. IMO it triggered automatically without any notice-thus no demand from the PIPE at this point. The Alembic 8K differed in that no 8K was necessary until notice/demand for payment was made.
Q: Is an Item 2.04 Form 8-K required if all facts necessary to an event triggering acceleration or increase in a direct financial obligation under an agreement have occurred but the counterparty has not declared, or provided notice of, a default?
A: It depends on how the agreement is written. If, as is often the case, such declaration or notice is necessary prior to increase or acceleration of the agreement, then Item 2.04 is not triggered. If no such declaration or notice is necessary and the increase or acceleration is triggered automatically on the occurrence of an event without declaration or notice, disclosure is required under Item 2.04.
I'm sure the PIPEers knew the default date of the interest due--however,IMO,the 8K would have been filed with no action on their part
IMO this will be worked out between the parties as will the Alembic matter without all the doom and gloom predictions---I prefer your "healthy people, butterflies, and puppy dogs" future...

Alembic is another matter, as they have not chosen at this time to demand payment as is evidenced by the lack of demand, ie triggering event.
Item 2.04 Triggering Events that Accelerate or Increase a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement.
Demand for Payment by Noteholder. The Company borrowed the sum of $3,000,000 from Alembic Limited and has reduced the principal balance of the loan over time to $1,000,000. The due date for the loan was September 30, 2007. It has asserted that as of October 19, 2007, there was an aggregate of $235,549 of accrued plus unpaid interest outstanding with respect to the loan. On October 31, 2007 Alembic delivered a letter to the Company stating that an event of default has occurred due to failure to pay the loan when due, and demanding that in the event the default is not cured within ten days following the date of the letter, the entire obligation evidenced by the loan will be due and payable. The Company has not as of the date of filing of this Form 8-K cured the above default.
Might have something to do with when the financiers can sell their shares???...Not sure when that is...but with the amount they now will have, they will need liquidlty...
Any positive PR's now might only lead to short-lived gains with the co. still in a fragile state...
so I guess what I'm sayin' is---if I had a bazillion shares and couldn't sell them as yet---then wait until all things are ready fundamentally and then let them PR's rip...

I have no info as to sales/revs or their ability/inability to satisfy their creditors---in this particular case the PIPE people---hopefully they're workin' on it---
the purpose of my post was to state my opinion on the filing of that 8k----as opposed to the earlier cries of complete doom and gloom of assets being demanded and all bets are off and bankrupcy, yada yada yada----actually, the Devil made me do it LOL

On Aug 31, 2007 the company lowered the PIPE price to .01 if, in return, the financiers would forego their interest due Aug 31 for 180 days---Feb 27th was exactly 180 days and became a trigger date for the 8k if no payment made---nothing more, nothing less...IMO
