Non-Dilutive Financing one of the best forms of financing in the public sector. Essentially, this is the process of getting people who truly believe in your business to invest their money in you — knowing they can’t sell for at least 6 months. This is Non-Toxic Financing. The alternatives would be to get loans that require the company to make payments with sometimes interest rates. Reported in a recent Form 8-K, OWCP successfully (and quickly) raised $1.6 million by selling fewer than 4.8 million shares this way. So, again, these 4.8 million shares cannot be sold until at least 6 months. Plus! These shares were bought during different weeks, which means in the rare event that everybody wanted to sell their shares immediately at the 6 month mark, they would all be spaced out throughout the MONTH.
A Form 4 is a document...
that must be filed with the Securities and Exchange Commission (SEC) whenever there is a material change in the holdings of company insiders.
Insiders required to submit a Form 4 include directors and officers of the company as well as any shareholders owning 10% or more of the company's outstanding stock.
Unless I'm missing something here, I don't see Mark selling any of his shares... do you?

I can only speculate it's an MM game. How many times do you see NITE hiding hundreds of thousands of shares behind 10,000.
Pure spec, but I've bought millions of shares via USAA, but could only do so in 499,999 blocks...who's to say, the MMs aren't hiding the two extra 9s? Fun to think about, either way...they're all BUYS!!!

IPR explanation
Let's see if that buyer shows up today in the T Trade. I'm guessing another large AH buy recording today...well over 1.2 million. Maybe $3 mil in aggregate
This is the OTC, that is always a possibility.
But, based on the past 5 days and MM games, it should dip a little more and turn back up. On Thursday it dipped back to .0196 and finished .024... that's the day my large buy was a t trade and I watched NITE/CDEL play their games to fill my order for nearly an hour. No L2, big dips. The following days similar action was seen. All IMO

Pink Sheets and Form T trades
Since the Pink Sheets does not accept pre-market or after hours trades, any stocks traded exclusively on Pink Sheets that contain the "T" indicator on a trade, is a trade that did not meet the NASD 90-second posting rule as per above. If the "T" trade appears at the beginning of the day it is because it wasn't posted at Pink Sheets before 5:00 PM on the preceding day.
There are three types of late reports:
1. Those with a time stamp within a minute and a half after closing are just normal
90-second delays.
Rule 6620.1 OTC Market Makers shall, within 90 seconds after execution, transmit through ACT last sale reports of transactions in OTC Equity Securities executed during normal market hours.
In this case the market makers may have conducted a trade within seconds of closing, but is delayed in reporting until after closing it is showing up a minute after closing. This delay, which is permitted, is often misconstrued as manipulation.
2. Then we have trades later than 90 seconds after closing. These trades fall into two categories and typically involve larger size lots.
a. The first category is sometimes used by financial institutions that are non-market makers to report larger transactions that actually occurred during market hours, but since they do not have access to the ACT (Automated Confirmation Transaction Service) use Form T to report. In essence, bypassing the MMs.
MMs are basically prohibited from these "Off Market transaction" as spelled out in:
A pattern or practice of late reporting without exceptional circumstances may be considered conduct inconsistent with high standards of commercial honor and just and equitable principles of trade, in violation of Rule 2110.
These ”Off Market” trades are typically used by larger investors to buy larger lots at prearranged prices without risk of driving the price upward or downward.
b. The second category involves so called “ex-clearing” lots. Certain transactions may clear and settle outside of the regular clearing system ("ex-clearing" transactions), where two dealers make an arrangement to settle trades between them outside the clearing system.
The process used to balance street side transactions depends on the type of comparison generated and the settlement method for the particular trade.

Keep in mind this probably was happening right around the time BMIC was churning...maybe lunch time. This happened with me last week. That tells me there wasn't many shares available to fill my large order...and the same as yesterday and today. Again, you wont see any of that action on L2.
I suspect we'll see this a bit more moving forward.

BMIC was playing the game I was in last Thursday (NITE/CDEL) with the same results.
Take note when you see stagnation and walk down. This happened yesterday too with PUMA.
