re PTSC........
A form 4 was filed today to convert 1.3M shares from Warrants.
It was filed by the Trustee of the Estate of the former majority shareholder, who died a few years ago.
That Trustee, Gloria Felcyn, also happens to be a Director of the company.
The Estate has been tied up until just a few days ago.
Now, it has been settled is being distributed among the heirs.
I've been watching this company for two or three years while they struggled.............(because of the Estate tying up so much of the OS)
Now, I feel that something is going to happen.
I don't know what or if it will be good or bad, but Management is finally shuffling papers which they couldn't touch before.
The OS appears to be about 125M to 130M, (not good), but not so much that it would prevent a run should buyers show up.
Linchuck, I just looked at a three-month chart for KFL...
Each time it has had a 7+M day it was followed by a selloff.
Today, it had an uptic and the Bollinger Bands are starting to come together.
If tomorrow shows another uptic, I agree, it could move.
On the other hand, if no uptic tomorrow, IMO, it could move toward new lows.
One way or another, if the bands keep coming together, it's setting up for a move.
FWIW, coming on no news and no rumors,(that I've heard), I have to believe it's one block trader playing the stock.

Linchuck, I think I can understand part of the reason you feel that way about USGA....
If you look at the PR you see phrases such as "will market" instead of "hope to market" as many pumper PRs state.
Also, phrases such as "represents immediate revenues" rather than "expect" or "anticipate" as others say.
IMO, these guys seem confident enough to make some pretty hard statements.

They have a reverse merger in the works with two other porn companies, one of which, Blu-tv, is making money and will probably be the surviving company.
Keep in mind that the OS is 92M and there will most likely be a reverse split if the merger goes through..
They have a 60-day window for DD on the merger.

Once you get past the first line in that PR,(my reaction was, HUH?..:), the rest of the PR is good news.
And, the PPS is responding accordingly.

I case you're not familiar with Bollinger Bands, when the bands come together it's a sign of increased movement in the price.
When the bands open up it's a sign that the movement is over.
When the candlestick price indicator breaks through the upper band the price usually continues on an uptrend.
When the price turns downward and breaks back through the upper band it's a sign that the uptrend is over and a downtrend may be starting.
On the one-month chart of PHFR that's exactly what you see.

Notice that the price has been running flat and so have the bands.
When the price starts in an upward trend the bands start coming together.
If the bands keep getting closer together the uptrend should continue.......
When they open up the trend should stop or reverse.
The only problem with using Bollinger Bands is that they don't differentiate between up and down.
Although I can't remember seeing it, the bands could come together for the beginning of a downtrend too.
To overcome this it's best to know a bit about the company and what kind of trend you can "expect."
That being done, they're pretty accurate.

Both Blu-tv and Jade Entertainment need something like this proposed reverse merger.
In April of 02 Jade attempted an IPO for the OTCBB with an expected symbol of JENT.
For reasons I haven't seen, it never happened.
Most likely, they just couldn't pay the bills.(IPOs aren't cheap), so a reverse merger like this is a much more practical way of getting a listing.
One of the questions is; Who will be the surviving company, Blu or Jade?
For sure, Blu-TV is in a good position to make something happen with a listing.
As for Jade, after their failed attempt to go public they just kind of went POOF..
From an investors point of view; The current OS, as of May 15, for DMNX is over 92M...
If the merger goes through, there will almost have to be a reverse split!
Probably at least 1:20 or as much as 1:100 or higher.
If the merger goes through in the next sixty days, as stated, and there is a RS it will be as much as six months or longer before the PPS settles back down to a sub-penny level.
Meanwhile, current shareholders will have their clocks cleaned in the RS.
But.....before any of this happens, it could be a great short play.
It looks like, in the last day or two, someone bought 100K or so, which pushed the PPS up about 50-100%....
Obviously, at .003, the PPS is volatile and if buyers show up it could move significantly.
Joe, the DMNX deal seems to be the beginning of a standard reverse merger. Let me get back with more DD on this.

Mark Graff is convinced that people aren't buying enough pay-per-view porno, so he has a solution: the creation of a adult PPV channel called Blu-TV, slated to launch in the third quarter.
"I want our channel to become the National Geographic of erotica," says Graff, a 20-year industry vet who founded the Spice Channel, the hit adult network eventually swallowed up by Playboy Enterprises.
Graff says cable and satellite subscribers are bored with the sameness of porn movies shot in California's San Fernando Valley, so he plans to fill Blu-TV's schedule with adult films from around the globe. Blu-TV owns an equity stake in XY Pictures, which has a library of 1,500 porn pics made in Europe. Graff will market branded blocks of international programming under umbrella headings like "Blu Nile," "Euro-Trash" and "Spanish Fly."
To spice up domestic offerings, Blu-TV will focus on themed programs, including underground and urban.
Graff now has to sell cable operators and satellite distributors on taking Blu-TV.
Toward that end, his editors will be stingy with the scissors. Based on past performance, the more explicit the movie, the better the PPV buy rate. "We'll run movies as hard as the hardest-core network in the business," he says. And he'll be flexible on the deal with cable operators, who not only won't pay any license fees to Blu-TV but could pocket more than 90% of each PPV dollar.
Analyst Dennis McAlpine says getting carriage will be tough, as Playboy is dominant in the field, distributing five nets that run the gamut from soft-core to va-va-voom. "But Mark Graff really knows the business," McAlpine says. "I wouldn't bet against him."

(OTC:GLKS) is one of 219 web companies out of a total of 420 publicly traded web companies that has generated negative Cash Flow from Operations or OPS (Operational-cashflow Per Share) in at least three of its four most recent fiscal quarters. United Trading.Com also carries StockDiagnostics.com's second lowest OPS Rating of '7'. Other notables in this group of 219 web companies with an OPS Rating of '7 or lower'include Akamai Technologies (NASDAQ:AKAM), priceline.com (NASDAQ:PCLN) and Drugstore.com (NASDAQ:DSCM).
United Trading.Com's five year high for its shares occurred on August 3, 1998 with its shares priced at $26.56. The 1 year high is $0.30 and the 1 year low for its shares is $0.001. Shares for United Trading.Com are currently trading at $0.05. On July 22, 2003, StockDiagnostics.com released its findings for its research study on web stocks. The findings concluded that 35% or 235 of the 691 publicly traded web companies that filed financial statements between 2000 and March 31, 2003 are no longer in business. Further findings concluded that 84% or 198 of the web companies no longer in business never generated positive annualized Cash Flow from Operations or had a positive OPS Rating (1 through 4) assigned by StockDiagnostics.com for any of the 13 quarters examined in the study. Since December of 2002, there are four web companies featured in the weekly OPS Newsletter, which is published by StockDiagnostics.com which have been acquired by larger suitors.
They include Overture (NASDAQ:OVER) which was bought out by Yahoo on July 14, 2003, generating a 64% gain to subscribers. Each of the three other web buyouts occurred within 10 days of being featured in the OPS Newsletter. They include Lending Tree (NASDAQ:TREE) and uDate.com, both of which were bought out by Barry Diller's company, Interactive Corp (NASDAQ:IACI) for gains of 90% and 212% respectively. Multex.com was also bought out by Reuters within seven days after it was featured in the OPS Newsletter representing a gain of 60%.
Additionally, two other web companies were bought out after being upgraded to StockDiagnostics.com's highest OPS Rating of '1'. They are Ticketmaster, which was also bought by Diller's Interactive Corp and Hoover's which was bought out by Dun & Bradstreet. Both had been upgraded to StockDiagnostics.com's highest OPS Rating of '1'just prior to their respective buyouts.
Because of the recent symbol change and little to no volume, it's difficult charting this company or getting information for them, but.......

This is a NASDAQ SC company that was trading for about $140 a couple of years ago,( I know, I know,....so what?).
They have the ability to either make money or attract attention.
Basically a Movie production company, they also have a couple of subsidiaries in the health care field.
Right now, the PPS has support in the dollar area. That's the magic number they have to keep for their NAZ listing, but the numbers,(for lack of a better word), indicate that the PPS needs to drop more before it can bounce.
Once it loses this support the downtrend should increase.
JUNI, for your radar screen.....
Did a 1:8 RS last June and dumped 1.5M into the new OS in July.
Current OS is about 10M
Trading at about a buck, watch for a bounce around .28
Watch for ARSW to bottom/bounce in the .004 area.
It should be good for at least 200% before it falls back.

Second, item #3 is for 10M shares, also free-trading, that will probably get dumped right away.(a "consultant" would be taking them as payment for his services and, unless he wanted to invest in the company, he would roll them over asap....gotta pay the rent,etc.)
We may already be seeing that, which would account for the PPS dropping the way it has.....IMO

morg, maybe you can straighten this out for me....
Aren't those 60M shares registered to be used for employee options,(for the employee to buy), and don't they have set price of .025?
To me, this means that if the employee exercises the option he must pay .025.
Another possibility is that if they are being given to employees in lieu of salary, as your friend says, and the employee can't sell them until/unless the PPS gets back up to .025

As it turns out, the company was pretty much tied up because one of the majority shareholders had died and his estate was frozen.

I believe the shares they issued are meant to be used to exercise options for employees.(and assorted others).
The conversion price is considerably higher than the currant PPS, and the option is good for 10-years.
Anyone converting under the current situation would be taking a major loss coming out the door......dumb....dumb.
But, people don't always do what they should.....:)

If I owned it, which I don't at this point, I wouldn't panic and sell..........
I like post-RS plays because they are pretty predictable and VERY profitable.
Usually, a stock coming out of a RS will eventually bottom and bounce.........and that bounce is often good for at least 200%
In this case, I called for a bottom/bounce at around .004 and, IMO, it's still headed in that direction.
That number isn't exact, but it's pretty close.
In this case, when they filed the S8 and issued all those shares the kinda threw a monkey wrench into the works.
If those shares are dumped it will change the volatility of the PPS.
To follow up on my type of play, I plan to buy in somewhere under a penny.

I said "next week" because whatever is going to happen won't be overnight.
If they start dumping large blocks of shares it probably won't be until next week or even next month.
