Before I sold it was 200M A/S and 200M O/S maxed out. Now we have paid promoters out in force. It was 42M back in February of 09 so a ton of dilution with more coming.
Edit: I think I'll look at more data. It doesn't even look as good as I just posted 5 minutes ago.
As expected, now we have FRHV being promoted by your normal paid promoters, I'm sure the company will enjoy selling some shares now. Can't wait for the news of the A/S increase also. But since the O/S has increased from 42M in February of 2009 to 200M now, the company has plenty of shares to sell into any rally without even raising the A/S yet.

I'm reasonably reassured by what Dominic stated in his e-mail to you. Besides all the attacks on those standing on their moral and religious principals, some on the board are still failing to understand that we were promised that these adult products would NOT be part of the merger. That is the point everyone is missing. I specifically asked Linda about the BMC adult products and she said they would NOT be part of the deal. I am holding her to that and it looks like they're listening.
I respect that greatly and I plan on doing the same thing if they plan on keeping their "adult" business. Not only will I sell because of that but because Linda promised me that that division would NOT be part of this deal. We'll see ya around MiamiGent!
Sorry but that is not the 8K which was promised. It was supposed to be the super 8K with all the financial data of the acquired companies. I personally asked this question months ago. Where is the 8K as promised? This is turning into a disaster.
There is still no SEC filing on how we acquired the AC LaRocca pizza company. Did we use cash that we apparently don't have or did we issue shares? Who knows. I was very disappointed with the 50M+ shares issued at .008 to retire just 380K in debt. It tells me either they have no cash or they just wanted to line their pockets with cheap shares. I'm pretty steamed right now. No wonder they haven't returned my e-mails in weeks.
And I would add update the iBox since your the mod. Get the current SS on there and maybe add more detail. A/S is 200M not 120M and the current O/S is around 150M per the company this week. Someone else should call and confirm this.
I wonder how long it will be before the A/S is raised. Will it be 300M, 400M or 500M? It's just sad how this turned out. Last February this had only 42M outstanding shares and now it's 200M and growing every week. I suspect this will crater over the coming weeks as people find out about this or maybe it'll wait until the A/S is raised. I should have known with the gagged TA and lack of communication from the company the past month. I'm just glad I got out of this with a profit! Maybe this will be another EVRN where they eventually raised the A/S to 950M plus preferred shares. GL to those remaining (which doesn't seem like many).

We do need to get the iBox updated with the current share structure. The A/S is 200M as per the SEC filings in November and the current O/S is around 150M per the company when I talked to them this week. Someone else can confirm this.
It's unfortunate. It could have been a decent company but the rapidly rising O/S, poor communication and lack of transparency was just too much. More money to spread elsewhere now. GLTU!

I'm out! You can read my post on the FRHV board today. The lack of communication the past month should have been a tip-off. Thankfully I still made a little money. Now I've got more cash for a few others I've been looking at.
I suspect my FRHV will now turn out to be a lame brainer.
They paid down some notes payable by issuing over 50M in restricted shares at a severe discount to the current sp (.008) and another 7M in restricted shares for consulting services at .0096. Magically, the total share count is exactly 200M right at the A/S.
I would not recommend it anymore. It may still turn out to be a good deal down the road but I sold all my shares as soon as I found this out. The O/S has ballooned from 42M in Feb of 09 to 200M now.
Sounds good. I just sold another one of my winners and may look to add some more shares in the coming days.
But we closed on Wednesday.
So Thursday, April 1st should have been day 1.
Then Monday, Tuesday and Wednesday of this week the way I read it.

The rest (over 7M) were given to whoever they used for consulting services at another huge discount to current share price of .0096.
And how convenient, the total shares outstanding now is exactly 200 million. Exactly what our authorized is. So now our O/S has ballooned from 42M last February to 200M now.
As of March 16, 2010, there were 142,582,396 shares of Common Stock +
50,122,544 restricted common shares at an average per share price of $0.008 +
7,295,060 restricted common shares for financial consulting services to the Company at a per share price of $0.0096. = exactly 200M!
Some will defend this move to lower debt or the fact that they are restricted shares, blah blah blah. All I know is they were given over 57M shares at a extremely discounted price and our A/S is maxed out. The next step will be to raise the A/S.
I sold as soon as I saw that. What a joke. GL to those that stick it out. I'm just glad I still made some money.

Today is the biggest day for RTGV in my eyes. Much bigger than this merger or whatever you want to call it. If this 8K doesn't show some impressive numbers, RTGV will take a long time to recover. I'm just afraid of what we might see here. I hope it's better than I expect that's all I can say. The market certainly doesn't have any faith in what they're going to see today.

What we need to be doing is getting the federal government out of all things unconstitutional. Let's work on defending the country (and printing money). The number one job of the federal government and leave the rest to the states. How can anyone be thrilled by this administration? We're going to add another 10 trillion in debt over the next 10 years! Are you kidding me. We can't handle that. Maybe that's the whole point. To end this country as we know it and turn it into a socialistic state. Heck, this current administration is run by a bunch of 60s radicals anyways. November can't come soon enough. God help us all!

You're saying Digital-Clarity doesn't have revenues? I'm sure that's not the case. I don't know if they're making a profit but they certainly have an impressive client list.

Just like most start-up companies, It always takes longer than you think to get things rolling. I wasn't around in 2008. All I know now is horseshoes are being manufactured and we've even had our first sale. They've been tested and at least according to the company and Thoro'Bred they've been well received at the Cincinnati Hoof Care Summit a couple months ago. Let's see how the manufacturing goes in the next few months and eventually bigger sales.

Unfortunately, you're right on imo. It doesn't take a genius to put 2 and 2 together. Raise the A/S to nearly a billion, hire a promoter, start putting out PR's left and right and then sell shares into it. Maybe at some point if the company is truly interested in selling product and growing, it could still be an investment down the road after all the shares have been sold but until then it's just too toxic and the valuation doesn't add up anyways.
He did mention that they have a few more deals that sound close to going through and those would be PR'd when completed. I also mentioned getting us some press when manufacturing is up to snuff and I think we'll hear something along those lines when it's ready. I was told from Thoro'Bred that the shoes were available through their distributors but it sounds like that's not quite the case yet. Sounds like they're still trying to make enough shoes first before they go that far. I'm still reasonably happy with what I've been hearing, especially at .0025.

I've talked with both Thoro'Bred and the company now and I know the manufacturing is underway but it's just progressing slowly. So I'm reasonably convinced this is a real company with a real product but it's also progressing really slowly like a real business. I always like to play with valuations and right now it would only take 15K in net profit to support our price going forward.
15k/150M = .0001 x 20PE = .002.
Can you imagine if they actually make 150K or more? It wouldn't take much to make a quick run back to a penny or two for starters.
150K/150M = .001 x 20 = .02 pps. Nearly a 10 bagger from here with small profits. What if we ever sold 5M in shoes or anywhere close to that. And we all know that these pennys will run much more than that from these levels if good news starts to flow.
I'd really like someone else to call the company this week and get their take on where we're at. It won't take much in the way of news to get this to make a run imo. The valuation is getting pretty darn cheap. I may just buy some more if we retest those brief all-time lows. Can't hurt at this price. I just used the number listed on the Hybred website for those interested.

Did some more DD today and we're making slow but steady progress. Manufacturing part is taking longer than expected but it is proceeding forward. First shipment to 'Team Outlaw' did occur as PR'd. It appears they are still working on getting enough shoes manufactured before they can be ordered through all the Thoro'Bred distributors. The company is available for anyone who wants to do their own DD. The also reiterated the 5 million in revs figure for 2010. I'm not that optimistic but we are selling horseshoes and as soon as HYII can get more manufactured they'll be available on a wider basis through HYII and Thoro'Bred distributors.

The total O/S is 7M that may be the float too if there are no restricted shares. But that is up from 5.1M which had remained unchanged for a couple years until the end of 2009.

I was following this leading up to the 10K but I can see why everyone has disappeared now.
Net loss: 2.7M (even if you take out the goodwill it's only 32K in net profit for 2009).
O/S after remaining stagnant for years went from 5.1M to 7M.
Very slow growth this year: 1 to 3 stores.
49M diluted O/S.
I can see why the pps is stagnating in the single digits.
It's also tough with only 100 shareholders. Too sleepy to get in and out if needed. I was hoping for something a little more interesting. Anyone here still see potential this year?

The A/S has been 500M since October of 2008 (not 120M).
Just looking around for new stocks and saw the huge discrepancy.
