Welp, I would say 95% of humans are in the category of "either". I've been saying that since I was an arrogant pup in my teens.
Problem is, the people I know in Malibu/Sta Monica they already own the market, but that is a $120,000 car, nice ride. I cannot drop down $10 million and try to penetrate the market that I know nothing about. Years past maybe.
Welp, tax deductible for the donor, which is not tax free. It is tax free for the recipient. It depends one the donors and how many. This guy is a clown.
if you are ever in HNL, go around the airport to Fed Ex and Blue Hawaiian on the water, there is a DC-9 from Hawaiian Air on display. It was donated to Hawaii for research and training. My gradfather retired in his last flight on that jet, and I was on it that day. His son, my uncle flew that jet too, but he flies the east coast now on EMBs and A Buses, not for Hawaiian. My dad, TS3 clearance, I know nothing.
Yep, but I don't think those persons used the company as their personal accounts, nor wrote checks from their respective personal accounts on behalf of BLTA, butt I do Igor, Tony and Barry, and that is the alter-ego. If that is true, they will never earn a living again.
There is one thing about buying crabs and buying a corporate jet, but there is one thing about proving alter-ego. I would like to see their personal bank accounts to see if they used their personal accounts and the corporation's bank accounts and a bit of forensic accounting, we can see alter-ego. But the again, they have nothing to sue for. They can have IRS and SEC issues and have knocks on the door at 4 am. Igor is gone, so it is only Tony and Barry, it is some leg work if you are willing.
I don't think Tony has $1 million laying around.
People's Express is a name from the past, I guess they bought the name and tried to start an airline. PSA is another name from the past, and I don't mean the nasty DC-9 crash in San Diego. Someone bought the name and so far they are flying.
The two founders of Jetblue successfully started a great airline, and have now parted ways, Levy coughed up $125 million and started Houston Air, and Needham started Breeze.
Only Barry, Igor and Tony can screw up a 30 year w#t dream.
No, they spent it on legal fees, personal bills or moved $ around.
You can file suit against a rock or a beet, but what are you going to get out of it? $100,000 in a legal retainer
Blanton, all risk, no reward. Former CPA with a recently expired license, just like Don Freddy. What, nobody can pay the state fees? Company is insolvent, no paycheck...
No money for a D&O for Blanton?
Company as according to the Don Freddy claims in Depo has a negative balance in the company's only bank account and cannot even provide indemnification.
How sick.
More Blue Sky...
I never heard of Luis, but retail and Cos did not have access to our trading rooms, and I never called Cos and threatened them. As I said some time ago, I traded a lot of Cifras and I had no clue was a Cifra was, only recently I found out it was bought out by Walmart as the Walmart of Mexico. We didn't have time to vet trades, just order flow, numbers and letters...and trading patterns to send to compliance. I used to trade contra with Trimark which is now NITE all day every day, they were not nice.
As far as NITE, I go under their building in Jersey City all the time, you have to from the PATH to the NJ Light Rail. And if you jump the tracks, Shop Rite is there for a bottle of Scotch.
The trader and Knight Trimark was Andrew and he was out of of the Westchester, NY office and he clipped me quite a few times, but I got back at him. We never met personally, I met most of my contra traders from all over the planet, but I think he was pissed when I short squeezed him for 400%.
Welp, he is right and wrong. If I were still trading, I could Blue Sheet his stock, needs favors from friends. But I can get CEDE info in a day. I just cannot get his shareholder list from the TA, but then again I don't need to look at his 54% ownership anyway. But he is right, only an officer can request an SPR from DTCC, but then again, he doesn't know how Blue Sheets are obtained. Finra requests DTCC to provide the SPR and FINRA contacts each clearing firm to Blue Sheet the stock. It can take only seconds. I BS stocks every day, I hit a function key and plugged in the symbol and the time frame and it was printing instantly. stinky ceos are not very smart.
I saw that. I cannot even say anything.
Don't disagree
Correct, DTCC does not have access to the shareholder list, only the TA and the issuer. DTCC does have access to CEDE and all the clearing firms, but not physical holdings. An issuer can pay and request a Securities Positions Report from DTCC and request a current Shareholder List, and a Transfer Activity Report from the TA and see who owns what and where it went. It is a science and takes a few $ because you have to do it in a dynamic time frame, not static.
My invention is worth $100 Trillion because I got drunk last night and said so.
$1.48 in assets and $0.00 in Revenue is the true definition of a Shell Company...

Every town has pre-schools, elementary schools, middle schools, high schools. Drones have limited range, fairly certain not very many municipal areas want drugs flying all over kids.
Where is the Biz Plan? You can put it on your website using a secure portal with a login, password and an NDA for an electronic sig. But I doubt you actually spent six months drafting a 500 page $50,000 B-Plan. Because you don't know how to. You post on the internet all day every day and the posts are incoherent
As you prolly know from a post past, this is the one and only I have ever been to as my daughters took me to it on a drive from So. Cal. to Nor. Cal. It is in Pismo Beach/SLO City (San Louis Obispo)...I was impressed at how professional they were and, well you can see, it is a nice place...

Your friend is correct, our Academic Team was 10 persons and only five were on stage at a time. We all had certain skill sets. However, our team leader was an anomaly.
But you made a good choice, and Cornell is one of the best schools. I took psych and econ, psych for a reason cause I knew I was determined to go to Wall St and I wanted to know what makes people think. I didn't take stats as I didn't think I needed it. Both daughters took stats, younger daughter had to for her Marine Science major. Just they are not at an Ivy League, they are in state schools as we are paying cash for it and younger daughter is very specific and only applied to one school and now is interning at Monterey Bay Aq. I had to fly to San Jose and dragged her butt and shoved her in their face. Her life is much improved and she is pursuing her career at a premier locale.
But like you, I applaud you for taking the initiative and to go to one the best schools to push yourself for what you are pursuing.
Hmm, invasive medical device that has not gone through clinical trials? Did you go to their website and see their claims?
Was not a fan of Calc nor Trig. Was proficient but not excellent.
What I was excellent in was Base Numbers, conversions and formulas and was on the Academic Team and we were undefeated for three years in a row. In some cases depending on the formula, I had 3 seconds to answer, and in others 15 seconds to answer. No paper, pencil, calculator.
We live in Base 10, but computer programers live in Base 2. I really miss the fraction trading, I could convert 1/128 to 1/8 (buy side, sell side) into decimals and convert it back in seconds and execute a trade, it was my skill. But after all these years, lost that skill. Need a chalk board now, lol.
I guess that is why I was attracted to equities trading, I had three phones with five lines each and when they were all lit up, processing in seconds is key.
Now I am an old fart, everything moves slowly.
She has access to two platforms and is a night-owl, up 'til 2 am. Remember, she has taken over 5 years of Calc, and I don't know what she does at midnight with laptop.
But her older sister doesn't give a chit on top of a mountain in Central America, all I see is distributions to younger daughter and Venmo and food bills going out the chex account and she pays the credit card every month.
For 21, its her job and she is doing a good job, I don't want to be a helicopter parent. If I say something, the phone goes dead. Which is why I think her sister is taking from the trust and using her sister....grrr
THEY ARE PROHIBITED FROM PROVIDED LEGAL AND ACCOUNTING SERVICES, WHAT PART OF THAT DO YOU NOT GET?
Welp, I have contacted the SEC 100's of times, and I have some persons on speed dial, including some accountants at home, they know me, and I ask...
..."hypothetically...and I get a response...hypothetically..." Butt I don't get a real response. This way I don't pay $2,800 per hour for four partners at my law firm just outside of Stanford in Palo Alto, CA. So, I do my work and pass it on to my firm and still get a nice invoice.
But I don't create documents like this issuer. I know my counsel team's language, and dear spouse is a CPA/Auditor and looks over my work.
This is clown work.
To provide support to file yes, but not the issuer's with legal and accountin, NO
Welp, I don't have to leave home, but someone has to deliver food, so I guess we are all skrewd. I guess back to the Dark Ages we go.
I know he is ahead of his time and too young, but I hope Mayor Pete does well tonight. He might not beat Trump one on one, but 2024 might be his year.
I saw that. I will have to look up their former sector and see who is in that department and random call.
Can you re: ACCR find the legal and accounting reviewer at the SEC, I know your busy butt me too. It is audit and tax season and spouse is yanking me away. Butt ACCR needs to be turned in.
You don't need two years of tax returns to get current you st@#$@d c@#$ of a ceo. And the SEC is not your issuers auditor, nor your attorney, not yesterday, not today, and not tomorrow. They are not to provide assistance so give it up already
Yah, but we don't get Corona, good thing we did our Med. cruise before this mess.
Yah, now the pundits are pushing cancelling the Olympics, there is another down move if that happens.
It was due, no?
LOLOL...Since I travel a lot to random places, we take Claratin, Zyrtec and Flonase. I can see them excavated in 150 years. Good post.
I guess what I am saying is they don't need the $ for awhile, but are they catching a falling knife, or is this a good entry point? One daughter lives on volcano in Guatemala the other still has 1 year in college and will be going on expedition as a marine biologist around the planet. She is my sounding board, but someday she wants to buy a house, but not now. But she has cash on the sidelines and has a brain, and thinks what is her entry, her sister could not give a hoot. Soooo she is making thoughts on not just her but her sis.
What is an "ADGAR CODE"? And how can one abuse it. I have 100s of codes over the years and one terminated employee filed an unauth. 8-K, and in one case a sub-contractor unintentionally filed a different issuer's 6F, but that was over 32 years. But I love all the unaudited filings on ACCR's Edgar. Talk about abuse. That is why the SEC requires an issuer to change the password every year, or you are locked out.
