As a result of continued losses, limited cash and other resources and the uncertainty as to the Company's ability to effect a merger or a similar transaction with the intent to acquire a different operating business, there is substantial doubt about the Company's ability to continue as a going concern.

Our executive officers, directors, and their affiliates beneficially own 5,148,646 shares or approximately 51.85% of the common stock outstanding based on 9,929,212 shares of common stock outstanding as of February 8, 2007. Of that number, Mr. Israel, our CEO, beneficially owns 3,525,788 shares or approximately 35.5% of the common stock. As a result, these stockholders acting in concert may have significant influence on votes to elect or remove any or all of our directors and to control substantially all corporate activities in which we are involved, including tender offers, mergers, proxy contests or other purchases of common stock.

Hi LJ, understood, I fully appreciate that this is the case, and I dont anticipate getting hung up and micro analysing Micro Caps technically, fundamentally or any other way to be honest, but I have a real hunger for information at the moment and where I have an opportunity to ask questions of experienced traders (even if it may suggest I'm a little nieve, or thick...) I want to take the opportunity to clear the questions in my head and then move on to the next topic. Hope you'll bear with me and forgive me bombarding the board with questions on these topics. Took a look at your You Tube videos Tsafi, great stuff, I have been on overdrive learning all I can about fundamental and technical analysis, the one thing I really havent been able to dig up too much information about is Level 2. I have a very basic understanding of the information provided in the Level 2 window and your videos helped me consolidate that and added a little to my knowledge base. You ended your second Level 2 video with a teaser for your next video, anticipating manipulation of the stock, which is something that interests me greatly. I understand that with Level 2 you can usually identify which Market Maker is controlling the stock price (is Ax the correct terminology?), this is something I want to learn much more about, so any help you could offer, other sites etc, would be greatly appreciated.

Thanks LJ, yeah I thought some more about Hops response to my question last night, I can see how many variables seem to grow exponentially when you start to look at the fundamentals of the company, their reasons for filing, and what effect the filings may have on a stocks price.
It is my understanding that the market in general regard OTC stocks with some disdain, that they are of little value and often times engage in fraudulent behaviour, but I am sure there are good, honest companies out there who are trying to make it. Given that particular scenario, is it possible that a company who files S8's and distribute stock amongst a happy workforce, who believe that the company is going places, and hold onto the stock in anticipation of it increasing in value, would actually see very little immediate effect on the stock price and that the price may even rise given these circumstances, on the confidence of the employees. Not sure this ever really happens, but it was just one permutation I thought about last night...

On your comments about the 424B3 filings; I read on your chart board that these are final registration statements to register stock under previously filed SB-2, S1 and S2 filings. Is this due to a mandatory time period which must pass between the 424B3 filing and the SB-2 etc imposed by the SEC, in order to give investors a fair shake... or is this just overblown bureacracy in play and does a company simply have the perogative of filing the 424B3 and then subsequently the SB-2 (which I presume then takes immediate effect)at their own convenience?
Just off to stick my head under a cold shower for 5 minutes....
I was under the impression that the SEC makes the information available as soon as they have it. Or is that only for electronic filings?
Generally what kind of company would you expect to file paper filings over electronic, or is just a preferred 'slowest possible' method of releasing news which may adversely affect a stocks price, whilst still abiding by the rules ?
Thanks Tsafi, you make a really good point about going back over their previous filings and examining their prior chart history, both to see whether they habitually dilute their stock and how long it takes for that dilution to be fully absorbed, much appreciated.

My jaw is on the floor, I am absolutely speechless... its an absolute disgrace, companies like Cornell financing these dying stocks just so they can profit in their demise, Hedge Funds blatantly naked shorting and Market Makers colluding to manipulate stock prices... I never knew this kind of behaviour was tolerated in the American financial system... I might seem a little nieve, but this is nothing short of theft and straight up fraud, with the average trader who is just trying to make a few bucks paying the price... these ba***rds should be strung up with piano wire.

you make a good point... One of the reasons I'm digging around these boards and attempting to learn something from traders, is that I am keen to understand not only the emotional and technical aspects of how to trade, but also how to conduct my own thorough due diligence of companies that grab my interest. I dont suppose there is anything inherently wrong with people asking, "what do you think of this or that stock" if you want a second opinion, but to rely on anothers assessment when it comes to fundamentals, seems to defeat the point somewhat.
My initial comments about TIDE were based on the one posting I saw together with a chart, I had not looked any closer at the company details, but now I see, as you suggest, that they operate a natural gas pipeline between Eagle Pass, Texas and Piedras Negras, Mexico. Not sure how heavily, if at all, they rely on Oil from Mexico, but I read recently that Mexico is having trouble keeping up with domestic supply and that it may put the squeeze on exports. As for the bureacratic status quo that exists in countries like Mexico... a nightmare, and thats before you even deal with corruption issues.

I see... Is it common for companies like Cornell to short the companys stock, attempt to drive the price down then close out the Short position with the shares received from the conversion? If thats one of the potential hazards, I think I've read about this somewhere before...

So would the general rule of thumb be that people don't exactly run screaming from stocks associated with Cornell, but rather tread very carefully, make shorter plays and risk less capital?

I have to admit that my first thought when I read the filings was that the President purchased the 500,000 shares to try and kick the price back upstairs, followed swiftly by the registration of the 35million shares and stock grants and options, through which he will more than make his money back if the price continues to sink.
Of course I'm not suggesting that anything untoward is going on, I'm sure everything is quite above board, but I have learnt more in the past few days from reading these boards, about crooked MM's colluding to rip of investors hard earned cash, not to mention the unwillingness of the SEC to defend the average American investor whilst turning a blind eye to the practices of the large Wall Steet Institutions. On the face of it, it all seems very depressing, but forewarned is forearmed, and I am less likely to become a victim knowing what I now know... I appreciate this site, and thanks again for your opinion.

I read somewhere recently (have been reading so many boards, I cant remember where I found it...) that the SEC has changed the period from 2 years to 1 for the permitted sale of restricted shares. When dilution of the kind you are discussing on this board takes place is it clear what percentage, if any, are restricted shares (which would pretty much take them out of the picture, I would have thought, at least for the following 12 months)are those details contained in the filing, or does it require a little more digging and perhaps a call to investor relations?

I appreciate your comments on the stocks ability to break through those resistance levels on high volume. Your other comments were pretty much my understanding, hence my confusion. The acquisition of shares by insiders, especially the last 500,000 by the President would seem to be a very favorable sign, but hand in hand with a filing which telegraphs a potential diluting flood of 35,000,000 shares, especially given the way the chart looks at present, smacks a little of Sh**ing on your own doorstep at a time when they surely are looking for the price to rebound. Maybe thats a nieve interpretation given my lack of experience.
You said if the shares are restricted it will be some time before they can be sold. I think I read recently that the SEC has just changed the period from 2 years to 1 for restricted shares. Would reading the filing in more detail reveal whether they are or not indeed restricted, or do you just pick up the phone to TIDE Investor Relations?

Hop, a question from an eager would be trader if you dont mind..
I am lurking around a lot of Investors Hub boards and learning a lot in the process. My question for you is as follows; I understand the concept of these filings contributing to the dilution of existing outstanding shares. My question is what kind of a formula are you using as a best guess for when the additional shares have been fully absorbed so to speak, so that value can then continue to be added to the price. Is it as simple as calculating the percentage of volume above mean from the date of filing, multiplied by the number of trading days required to eat up the additional amount of stock, combined with keeping an eye on the chart with a Mark I eyeball? Or is it something infinitely more complicated?

I have been trolling the internet for the past few months in an attempt learn a little something about trading. There is certainly a lot to absorb, but of all the sites I've visited, InvestorsHub seems to be by far the best, I came by this site after purchasing 3 months access to Trade Ideas software.
The upbeat, friendly candor and mass of informative links are a pleasure to behold. I will be lurking in the background, attempting to glean whatever lessons I can from your posts. I'm learning more everyday and have a great feeling about throwing my hat into the ring and making some money... It's got to be a better way to earn a living than trading small arms fire...
Apologies for the pre-amble, but I do have a question. On Feb 13th Nasdaq notified PECO II Inc (PIII)of non compliance with certain continued listing requirements . On Feb 16 a Form 4 was filed at 16:46hrs by a 10% owner of PIII (http://www.secform4.com/845072-000104432107000108.htm) detailing 557,121 shares acquired between 12/15/06 and 01/11/07. The share price shot up 0.07 to 0.87 at approx 15:30.
I understand that the bid price for PIII needs to be above $1.00 for 30 consecutive days between now and August 13th 2007 to ensure continued listing on NASDAQ, but given that the acquisition of this stock is historical in that it has already been purchased, what effect did the Form 4 have on fridays end of day stock price and where do you see it going from here? Forgive the long winded question, but I am trying to learn something, appreciate your patience.

Thanks for that, yeah I tried a couple of other simple scans and still didnt pull anything up, so I would appreciate it if you could look a little further into this.
I purchased access to your software as a heads up to developing opportunities, and I only hold about 3 or 4 positions at any one time, so it isnt that big a deal as my trading platform alerts cover the fundamentals, but it would be nice to be able to track the positions I am holding using your software, I especially like the fibonacci buy and sell signals and it would be interesting to track these alerts on those stocks.

Thanks for your timely response... I thought the same thing, so I ran an alert window from scratch preconfiguration, I then added new highs, high relative and strong volume on days when high volume was seen (AEMD - Feb 07th, AENS - Feb 09th, NIHK - Feb 08th, PLRS - Feb 08th and MENV -Jan 29th)and still received nothing.
I thought that your alerts might not work for Nano Cap stocks, but I have seen other stocks listed at values below those which I have listed and which trade between 0.02 and 1.50 approx.
Another issue that may not be helping the situation, is my ability to pick a correct date in your history window for a period of time I want to study. The local time is showing in my window which is 12 hrs ahead of EST, I am using the local time to bracket the period of EST required, but the results I am getting are not consistent, is it possible for me to change the time to reflect EST?
Finally... its 02:16 now on the eastern seaboard... get some sleep...

downloaded and purchased 3 months access to TI last night. First impression, I'm blown away, sure this will be an invaluable heads up tool.
One question: some of the stocks I am trying to backtest do not appear on your system. Does this mean that nobody has instigated a search for them, and as such no historical data is available, or that the symbols cannot be added to your system? Approx 50% of the stocks I'm looking at fall into this category of not appearing on your system, so I'm hoping they can be added.
Looking forward to running TI live tonight (in the morning, it's all relative, I'm 12 hrs ahead of the E.Coast at present...)and tweaking the software to see what crops up.
