I know many reading this will get very emotional both long and short and will look for any reason to make this sound bigger or smaller or impossible or dumb. There's also many people who do not want this to happen for their own personal benefits. So here's some common things that are said and a general counter to it.
FUD: "*The merger might fail or get blocked resulting in this going bad."*Counter: SPACs don't fail for the reasons described or eluded to by the outlets. u/independence_hall has a great post "The SEC and FINRA DO NOT have the legal authority or power to block the DWAC/TMTG merger" please see his post history and read it. He did the leg work and debunked this. It's almost a zero chance of happening.
FUD: "People won't want to advertise there"
Counter: There will be direct monetization outside of ads (see TMTG+ section) also Companies will have to go where people are advertising with their attention and dollars. It's easy for companies to dissociate from where their ads are located when the free market forces their hand. "Our ads are located in places that do not represent our beliefs as a company, we are solely interested in providing business to our customers despite their personal identities" " see it's not that hard to find work arounds for minor problems like this. Content creators will likely be supporting each other as well with a cut going to the host (much like Twitch, web3.0 etc.)

Revenue growth provides share price base. Speculation is what drives share price from its base. One word from Apple and this is a $3 stock.
Not true, the COR limit of .83 which applies to drivers, woods, hybrids, and irons pertains to the clubs “sweet spot”. That is the area of the club face with the maximum energy transfer. The further away from the sweet spot on the club face, the lower the COR value.
With BMG, they can dampen the face to reduce the COR at the sweet spot (meaning lowering it down to .83), but still get .83 in areas outside the sweet spot. Making a much larger sweet spot on the club face.
There is no restriction for putters, so it can still be used without limit for this club.

Josh already answered this. Apple doesn't own the trademark in Japan, therefore Li capitalized on this so he can use the Liquidmetal brand in Japan. Can it help us? Perhaps peripherally. But I still think we are held hostage by Apple. Li is trying to sell product for us without them, but it will be a long road. This is only going to happen with Apple. It the high end incetive of TC's plan. The dollar per share seems to be the non-Apple route.
It appears that MacB is a sales company with an EU customer base.
They would engage the customer and then place the order through LQMT US who would then have Yihao manufacture and ship the parts to the customer.
I don't want to sound to bullish as I have been here too long, but going with a specific sales group who more than likely already has existing customers/clients, would imply that there are buying customers lined up. There are a number of different sales companies they could partner with, or they didn't have to partner at all and just try to sell direct (albeit that hasn't done well in the past).
But this is a bit different as this is a sales partner and not a manufacturing partner as we have seen in the past.
The downside is that I do not think there would need to be an 8K here for sales made by MacB. As we have a partnership and not a direct sales contract. If MacB has a sales contract with customer X, then we would be the supplier to MacB. Not a direct contracted customer. So we may not see an 8K and may have to wait for the financials. So I think we are still waiting for the quarterly financials....again.
It seems like this company is going out of its way to keep such a low profile. And it is extremely frustrating to investors. But there is only one reason for them keeping such a low profile, and that is that Apple is still in the mix here.

The machines that this company makes is NOT part of LQMT IP. This is a huge company that makes all types of machines. As I told you before, the BASE injection machine is purchased from them and then Li uses his LQMT IP to modify the machine to make it his. Can't make this any clearer for you. You can believe any false thesis you like.
He owns no part of that company. The company is in the "maze" because Li has a "JV" with this company where they buy the BASE die cast machines from them. Then one of Li's companies retrofits this base machine into a LQMT machine. That is the only reason it is in the "maze".

Yes, I have stated this multiple times here...two year lock-up means he can't sell them for two years. He reports the transaction when those shares are exercised (sold), NOT when vested.

Exactly correct, TC is greedy and not only would he not be happy with that small base salary, but he would not have signed the employment contract unless he knew for sure that he had a very good chance at meeting the stated goals.
